AccordingtothelawsandregulationsofLaborLawofP.R.C.,thecontractismadetobeabidedbythebothpartiesbasedonequalityandfreewill.

1.EmploymentPeriod

Thecontractdurationis2years.ThecontractshalltakeeffectfromApr.2,2001toApr.1,2003.

2.JobContent

PartyAappointsPartyBasManagerinPrinterBusinessDepartment.

3.LaborProtectionandWorkingConditions

PartyAisrequiredtoprovidePartyBwiththeconditionsoflaborsafetyandsanitation,andnecessarylaborprotectiveequipmenttoPartBaccordingtorelevantregulationsofthestateandgovernment.

4.WorkingTime

Accordingtotherelevantregulationsofthestateandgovernment,PartyBworks40hoursaweekand8hoursadayaveragely.PartyAshallpromisePartyBatleastadayoffperweek.PartyAcanprolongtheworkingtimebynegotiatingwithPartyBincaseofbusinessneed,buttheextendedtimeisnotpermittedtobemorethanthelongestextendedworkingtimeregulatedbythestate.

5.LaborremunerationandWelfareTreatment

（1）PartyAshouldpaythesalaryinformofcurrencyRMB3,000ontimeandpositionallowanceRMB1,000permonthwithoutdeductionanddefault.

（2）Inadditiontothesalary,PartyBcangetbonusofcertainamount.Thestandardofdeliveringbonusis:

dependingontheoperationstatusofthedepartmentandindividualperformance,andofferedatthebeginningofthecomingyear.

（3）IfPartyAextendstheworktime,PartyAshouldcompensatePartyB150%salaryfortheovertime.IfPartyAarrangesPartyBtoworkduringrestdays,PartyAshouldcompensatePartyB200%salary.IfPartyAarrangesPartyBtoworkduringlegalholidays,PartyAshouldcompensatePartyB300%salary.

（4）PartyAshouldpaypartofthesocialinsurancepremiumforPartyBaccordingtotheconcerningregulationsandthelawsofthestate,andPartyBiswillingtoentrustPartyAtodeducttheotherpartofthesocialinsurancepremium.

（5）IfPartyBisinjuredforworkorafflictedwithoccupationaldiseasewithintheemploymentperiod,PartyAshouldhandlethemattersaccordingtotherelatedstatelaws.

6.WorkingDiscipline

（1）PartyAhastherighttoformulatetheregulationsoftheunitaccordingtorelatedregulationsofthestateandthecitytoguaranteetherightsandobligationsofPartyB.PartyAhasarighttosupervisetheworkperformanceofPartyB.

（2）PartyBshouldobeythepresentrelatedlaws,regulationsandpolicies,andcompletetheoccupationaltaskactively.

7.Alteration,extension,cancellationandterminationoftheContract

（1）Thecontractcanbealteredifitisnecessaryaccordingtotheactualsituation;bothpartiesshouldnegotiatefriendlyandsigntheagreementoflaborcontractalteration.Iftheagreementcannotreachafternegotiation,PartyAhastherighttoterminatethecontractandnoticePartyBbywrittenform30daysinadvance.

（2）Whentheagreedconditionsofcontractcancellationoccur,thiscontractiscancelledimmediately.30daysbeforethecancellation,bothpartiesshouldinformeachotherinwrittenformtoextendorcancelthecontract.Ifbothpartiesarewillingtoextendthecontractafternegotiation,theextensioncontractshouldbesignedbeforethecancellationterm.

（3）Basedonnegotiationbetweenbothpartiesuponconsensus,thiscontractcanbeterminated.

（4）PartyAhastherighttoterminatethecontractifPartyBisinoneofthefollowingsituations（Intermsofthelastthreeitems,PartyAshallinformPartyBinwrittenform30daysinadvanceandpayPartyBrelevanteconomiccompensationaccordingtorelevantregulationsofthestateandcity.）:

1）PartyBbreachesdutiesandcausesseriousdamagesorviolatingthelabordisciplines.

2）PartyBisinvolvedinacriminallawsuit.

3）PartyBissickorinjuredbecauseofemploymentandcannotfulfillherresponsibilitiescontinuouslyafterhersickness.

4）PartyBisincompetentforthejob,evenafterthetrainingortheadjustment.

5）Theobjectivesituationsthatthecontractisbasedontakechangesandcausethecontractfailingtobeimplemented,andthecontractcannotbereachedafterbothparties’negotiation.

（5）PartyAhasnorighttostopthecontractincasethatoneofthefollowingsituationshappens:

（excludingitem1and2intheabovepoint）

1）PartyBhasoccupationaldiseaseorhurtfromtheworkandlosetheabilityofworking.

2）PartyBissickorhurtsnotfromthework,butwithinthetreatmentperiod.

3）PartyBisinpregnancy,confinementorlactationperiod.

4）Othersituationsaccordingtothelawsandregulations.

（6）PartyBhastherighttoterminatethecontractincasethatoneofthefollowingsituationshappens:

1）PartyAforcesPartyBtoundertakeactivitiesbyviolence,threatorrestrictionofPartyB’shumanfreedom.

2）PartyAcannotpayPartyB’ssalaryorprovideherwiththeworkconditionsaccordingtothecontract.

3）PartyAdoesnotpaythesocialinsuranceforPartyBaccordingtotheHandbookofEmployees.

（7）Inadditiontotheitemsabove,PartyBshouldnegotiatewithPartyAinwrittenform30daysinadvance.IfPartyAagreestounconditionallyterminatethecontractorhasnoreplywithin30days,PartyAshouldterminatethecontractwithPartyBassoonaspossible.

（8）Whenthedurationofthecontractends,orsituationfortheterminationofthecontracthappens,thelaborcontractiscancelledimmediately.

8.Responsibilitiesofbreachingthecontract

Bothpartiesshouldobeythelaborcontract,eitherpartywhobreachesthecontractandcausesdamagetootherPartyshouldgivecompensation.

9.Others

（1）ThecontractisprintedduplicationsforPartyAandBeach,whichareefficientsincethesigningdayandhavethesamelegaleffect.

（2）Disputesshallbesettledthroughnegotiationorapplyformediation,arbitrationandbringalawsuit.

（3）Unmentionedmattersinthislaborcontractshallbesettledthroughnegotiation.

（4）Ifthecontentofthecontractisnotinaccordancewiththestateormunicipalregulations,itshouldbeimplementedaccordingtorelevantstateandmunicipalregulations.

（5）OthercontentsdeterminedbyParties:
