1.2
Interpretation
Inthesecontractterms,includingtheprovisionsofthe"
costplusreasonableprofit"
phrases,requiretheprofitsforthefeeofoneovertwenty（5%）
1.3
Communications
Allcommunicationsshouldbesenttothefollowingaddress,untilachangeofaddressnoticeissendtotheotherpartysofar.
1.5
Priorityofdocuments
ThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Incaseofambiguityordiscrepancy,shouldbeinaccordancewiththelawdecidedtoorder.Whenengineersthinkitisnecessarytoexplainsuchvagueandambiguous,heisentitledtoissueanyinstruction.
1.6
ContractAgreement
Theformatoftheagreementisinthetenderdocumentsastheappendixoftheparticularconditions.
1.7
JointandSeveralLiability
Unlessinaccordancewiththecontractualobligationsrequiredortocomplywithapplicablelegalpurposes,thecontractorshallpresentthecontractasprivateandconfidentialfiles.Withoutthepriorconsentofemployer,thecontractorshallnotinanyprofessionalortechnicalpaperspublished,permitted,ordisclosureofanyoftheengineeringdetails.
THEEMPLOYER
2.1
RightofAccesstotheSite
ThecontractorcouldentertheconstructionsiteafterSeptember1，TherightandpossessionmaynotbeexclusivetotheContractor.
2.3
sPersonnel
sPersonnelhasdutytoprotecttheenvironmentoftheconstructionsite.
Additionaltermsandconditions:
Theemployershouldcompletethefollowingworks:
（1）Gothroughthelandrequisition,demolitionwork,smoothconstructionsite,etc,maketheconstructioncoincidentconditions.
（2）Thetimeandplaceofcompletingthewater,electricity,communicationslinesneedbytheconstructions.
（3）Thewater,electricity,communicationslinesshouldbecompletedbythecontractorself,andthecostshouldbebornebyhimself,whichhasbeenincludedinthecontractprice.
（4）Thetimeofprovidingrelateddata:
Within3daysaftersigntheagreement.
（5）PromiseaboutcompletingRelatedconventions:
Completewithin7daysafterrelateddatahadbeensubmitbycontractorandSupervisor.
（6）Thetimeofthespotinspection:
EmployerisresponsibleforcontactingthedesignunitfortechnicalteststotheContractor,provisionofroadsmeasuringcontrolpiles,standardpointandelevation.
（7）ThepromiseoforganizingdrawingsreviewingandDesignDetails:
Threedaysbeforethestart.
（8）ThepromiseofCoordinatingconservationefforts:
Respondbycontractor.
（9）Otherworksandpromisebythecontractor:
Employerfailstoperformtheaboveparagraph
（1）
（8）obligations,resultinginscheduledelays,thecontractorshall
submitawrittenapplicationandobtaintheEmployer’
agreeto
extendtheschedule,otherwise,thedurationcannotbeextended.EmployerwillinformtheContractorinwritingoftheirdutiesdelegatedbytheSupervisingengineerandcostengineer.
TheContractorshallcompletetheStartandcompletionformalitieswithin30daysaftertherelevantnotificationsissued,andpaytherelatedcostinaccordancewithregulations.If
theContractorfailstotimelypayrelatedfeesandresultinthedelaysforapplytheseformalities,theEmployershallbeentitledtodeductrelatedexpensesfromthecontractprice,andthecontractorshallpay20000Yuanforthedefault.
2.Thepromisethattheemployerprovidethenameofstandardsandspecifications,drawingsandtechnicalrequirementstothecontractor:
（1）Allnational,provincialandmunicipalstandardsandnormsprocurementbythecontractoritself,thedeveloperdoesnotprovide.
（2）EmployertotheContractortoprovidedrawingsdateandcopynumber:
pre-constructionprovidesfoursetsofdrawingstothecontractor（excludingstandardatlas）.Contractordoesneedtoincreasethenumberofsetsofdrawings,subjecttotheconsentoftheEmployer,thecostbornebythecontractor.
（3）Theconfidentialityrequirementsondrawings:
Theownershipofthedrawingsownedbycontractor,theContractorshallnotdiscloseittothethirdpartieswithoutpermission.
3.Therepresentativeappointedbytheemployer:

3.1
Engineer'
sDutiesandAuthority
TheEngineershallobtainthespecificapprovaloftheEmployerbeforetakingactionunderthefollowingSub-ClausesoftheseConditions:

ManagementmeetingTheEngineerortheContractor'
sRepresentativemayrequiretheothertoattendamanagementmeetinginordertoreviewthearrangementsforfuturework.TheEngineershallrecordthebusinessofmanagementmeetingsandsupplycopiesoftherecordtothoseattendingthemeeting6except:
exampletextbetweenlinesmaybecopiedandtotheEmployer.Intherecord,responsibilitiesforanyactionstobetakenshallbeinaccordancewiththeContract.
4.TheContractor
4.1
Contractor'
sGeneralObligations
Temporaryworksorthosearedesignedbytheemployerarenotallbornebythecontractorresponsibility.
4.2
PerformanceSecurity
Deletethefourthsentenceofclause4.2（）,andreplacewith:
Iftheperformancesecurityusestheformofbankguarantee
，then，
（a）Performancebondshouldbeissuedbyconstructionbankwithintheterritoryofthecountry,or
（b）Employercouldaccepttheperformancesecurityissueddirectlybytheforeignbanks.
Iftheperformancesecurityisnotintheformofabankguarantee,theperformancesecurityshouldbeissuedbythefinancialinstitutionwhichisregisteredorobtainedlicenseinthehostcountry.
4.3
sRepresentative
Addconditions:
（a）Thecontractor'
srepresentativeandallsuchpersonsshouldbeabletousemandarinfluently.
（b）Ifthecontractor'
srepresentativeandallsuchpersonscannotusemandarinfluently,Thecontractorshallappointonequalifiedinterpretersispresentinalltheworking
time.
4.4
Subcontractors
（a）Ifthesubcontractvalueless0.01%thanacceptedcontractamount,withoutpriorconsent.
（b）AstosomematerialssuchasPrefabricatedMemberormachinedpart,thesuppliershallobtaintheengineer'
spriorconsent.
（c）Aslongaspossible,thecontractorshouldprovideafairandreasonableopportunityforanyqualifiedsupplierformthehostcountry.
4.12UnforeseeablePhysicalConditions
Deletetheparagraph（b）oftheclause4.12,andreplacewith:
Paymentofanyrelatecosts,Its80%willbeaddedtotheContractPrice.（Therestofcostshouldbebornebycontractor）
4.17Contractor'
sEquipment
TheContractorshallberesponsibleforallContractor'
sEquipment.WhenbroughtontotheSite,Contractor'
sEquipmentshallbedeemedtobeexclusivelyintendedfortheexecutionoftheWorks.TheContractorshallnotremovefromtheSiteanymajoritemsofContractor'
sEquipmentwithouttheconsentoftheEngineer.However,consentshallnotberequiredforvehiclestransportingGoodsorContractor'
sPersonneloffSite.
Thecontractor’sequipmentownedbycontractor（directlyorindirectly）,shouldbeconsideredastheemployer'
spropertysinceaccesstothesite.Ownershipofsuchpropertyshallnot:
（a）Affecttheemployer'
