WHEREAS,PARTYBoperatesasiteontheWorldWideWebandAmericaOnLine,whichcontainschannelsincludingbutnotlimitedtoParentSoup,ParentsPlace,BetterHealthandArmchairMillionaireaswellascareer,fitness&
beauty,food,relationshipsandworkfromhomechannels(collectivelythe"
Network"
).
WHEREAS,PARTYAseekstodriveNetworkusers("
Users"
)toitsWorldWideWebsite(the"
PARTYAWebsite"
),toacquirerepeatcustomers,toincreasebookpurchasesfocusingonlifestylecategoriessuchasparenting,health,financeandcareer,andtoreinforcethePARTYAbrandasthe"
Earth'
sBiggestBookstore"
WHEREAS,PARTYBandPARTYAnowdesiretoenterintothisAgreementwherebyPARTYAshallbeanexclusivesponsorandretailerthroughouttheNetwork(the"
Program"
)subjecttothetermsandconditionsstatedherein.
Section1.Exclusivity

ForthetermofthisAgreementandanysubsequentrenewalthereto,PARTYBagreesthatPARTYAshallbetheexclusivebooksponsorandretailer,withrespecttoentitieswhoseprimarybusinessisthatofabookretailer,throughouttheNetworkandthatnoadvertising,links,promotionalinformationormarketingmaterialsfororrelatingtoanyoftheentitieslistedinExhibitAheretooranyotherindividual,entityorwebsitewhichderivesmorethantenpercent(10%)ofitsannualgrossrevenuefromthesalesofbooksormagazines(whetherinprinted,audio,electronicorotherformat)orisprimarilyfunctioningorprimarilyknownasasellerofbooksormagazines,shallbeplacedordisplayedontheNetwork.Inaddition,PARTYBwillnot(a)sell,orpermitanyotherpersonorentitytosell,anybooksormagazinesontheNetwork;
or(b)use,orpermitanyotherpersonorentitytouse,alloranypartofPARTYB'
scustomerinformationdatabasetosellanybooksormagazines;
provided,thatsuchbooksormagazinesareavailablefromPARTYA.Nothinghereinshall(a)preventanauthororsubjectmatterexpertfromdiscussingorpromotingthesaleofaparticularbookormagazineontheNetwork,providedthatsuchauthororexpertdoesnotrecommendorpromotethepurchaseofsuchbookormagazinefromaspecificpartyotherthanPARTYA;
or(b)preventanyothersponsorfromsellingbooksormagazinesonitsownwebsite,providedthatthesaleofsuchbooksormagazinesisnotpromotedorreferencedontheNetwork.IntheeventthatPARTYBproducesorpublishesanyprivatelabelbooks,PARTYBwillofferPARTYAthefirstrightofrefusalastotheabilitytosellsuchbooksbeforesuchopportunityisofferedtoanythirdparty.PARTYA'
ssponsorshipandexclusivitywithregardtoproductsotherthanbooksormagazinesshallbedeterminedonacasebycasebasis,wherebyPARTYAshallprovidePARTYBwithwrittennoticeofanyotherproductsitseekstoincludewithinthescopeofthisAgreement,andPARTYBshallhavesolediscretionastowhethersuchotherproduct(s)shallbeincluded.
2.1Term
TheinitialtermofthisAgreement(the"
InitialTerm"
)shallcommenceontheEffectiveDateandshallcontinueforaperiodoftwelve(12)monthsfromthedatethatallofthePromotionalPlacementsandOpportunitiesdescribedinSection3belowareavailableontheNetwork(the"
ImplementationDate"
)unlessterminatedearlierorextendedasprovidedherein.PromptlyaftertheImplementationDatehasoccurred,thepartiesshallingoodfaithagreeuponanddocumentinwritingsuchImplementationDate.Uponmutualagreementofthepartieswithinnolessthansixty(60)dayspriortotheexpirationdateoftheInitialTerm,theAgreementmayberenewedforanadditionaltwelve(12)monthterm(the"
RenewalTerm"
).ThePartiesagreetodiscuss,ingoodfaith,priortotheendoftheInitialTerm,thestatusoftherelationshipofthePartiesandthetermsoftheAgreement.Notwithstandingtheforegoing,ifthepartiesagreetorenewtheAgreement,thetermsoftheAgreement,includingwithoutlimitationthecompensationtermsstatedinSection7below,shallremaininfullforceandeffectwithoutamendment.However,ifpriortosixty(60)butnomorethanninety(90)daysbeforetheexpirationoftheInitialTerm,PARTYBreceivesabonafideofferfromathirdpartytobecometheexclusivebooksponsorandretailerthroughouttheNetworkonfinancialtermsmoreadvantageoustoPARTYBthanthosestatedinSection7hereinandprovidesPARTYAwithwrittennoticeandacopyofsuchoffer,PARTYAmustnotifyPARTYBinwritingwithinthirty(30)daysofreceivingsuchnoticewhetheritiswillingtoamendtheAgreementtomatchthefinancialtermsofferedbysuchthirdpartyfortheRenewalTerm.IfPARTYAnotifiesPARTYBthatitiswillingtorenewtheAgreementupontheamendedfinancialterms,thenthosetermsshallbeappliedtotheRenewalTerm,notwithstandinganythinginthisAgreementtothecontrary.IfPARTYAdoesnotnotifyPARTYBthatitiswillingtoamendthefinancialtermsoftheAgreementfortheRenewalTermwithinthirty(30)daysofreceivingsuchnotice,thenPARTYBshallhavefifteen(15)daysthereaftertogivePARTYAwrittennoticetoterminatethisAgreementattheendoftheInitialTermandmaythenenterintoanAgreementwithsuchthirdpartyontheamendedtermsofferedtoPARTYA.
2.2Termination
IntheeventofamaterialbreachbyeitherpartyofanytermofthisAgreement,the
nonbreachingparty
mayterminatethisAgreementbywrittennoticetothebreachingpartyifthebreachingpartyfailstocuresuchmaterialbreachwithinthirty(30)daysofreceiptofwrittennoticethereof.EitherpartymayterminatethisAgreementeffectiveuponwrittennoticestatingitsintentiontoterminateintheeventtheotherparty(a)ceasestofunctionasagoingconcernortoconductoperationsinthenormalcourseofbusiness,or(b)hasapetitionfiledbyoragainstitunderanystateorfederalbankruptcyorinsolvencylawwhichpetitionhasnotbeendismissedorsetasidewithinsixty(60)daysofitsfiling.
2.3Survival
Sections9,11,12,13,15and16hereofshallsurviveanyterminationofthisAgreement.
ThroughoutthetermofthisAgreement,andanyextensionsorrenewalsthereof,PARTYBwillprovidelinks,advertisementsandotherpromotionalplacementsandopportunitiestopromotePARTYAanditssponsorshipoftheNetwork(collectivelythe"
PromotionalPlacementsandOpportunities"
)inamannertobeagreeduponbytheparties.ThePromotionalPlacementsandOpportunitiesprovidedbyPARTYBwillataminimumbenolessprominentorfrequentthanthoseprovidedtoanyotherNetworksponsororadvertiser.ThepartieswillcooperateingoodfaithtodevelopandimplementsuchPromotionalPlacementsandOpportunitiesandtomaximizetheeffectivenessofallsuchPromotionalPlacementsandOpportunities.ThePromotionalPlacementsandOpportunitiesasdescribedhereinshallbeavailableontheNetworknolaterthanMay31andshallinclude,withoutlimitation,thefollowingpromotions:
3.1BookClubSponsorship
3.1.1PARTYBshallcreateandmakeavailableaNetwork-wideBookClub("
BookClub"
)whichshallbesponsoredexclusivelybyPARTYAandaccessiblefromthePARTYB.comhomepagelocatedattheURL:
http:
//www.PARTYB.com.MembersoftheNetworkwillbeinvitedtobecomeBookClubMembers("
BookClubMembers"
)andthosewhojointheBookClubwillbeeligibleforspecialpromotionalbenefitsincludingbutnotlimitedtobook-relatedgiftsanddiscountsfromPARTYBandPARTYA.BookClubMemberswillalsohavetheopportunitytosubmitquestionstofeaturedbookauthors.PARTYAwillcooperatewithPARTYBintheimplementationoftheseandotherspecialpromotionalpremiumsinconnectionwiththeBookClub,butwillhavenofinancialobligationtoPARTYBforsuchpromotions.Subjecttoavailabilityandbudget,thePartiesagreetoworktogethertoproduceandpromoteco-brandedpremiums.
3.1.2PARTYB,itseditorsandproducers,shallselectbooktitlesfromtheAlibrarywhichshallbeprominentlyfeaturedintheBookClubthroughouttheNetwork("
SelectedTitles"
)andshallprovideadirectlinktothePARTYAWebSiteforthepurchaseofsuchSelectedTitles.SelectedTitlesmaybeworksoffictionornon-fictionanditisanticipatedthatselectionofSelectedTitlesmayalsobemadebyBookClubMembers.PARTYBshallselectandfeaturethosetitleswhichconcernsubjectsand/orissuesthatappealtotheUsersand/orwhichhavebeenpublishedwithin3monthsofthedatethetitleisfeaturedand/orwouldappearontheNetworkforthefirsttimeanywhereonline.
3.1.3InconnectionwithSelectedTitles,PARTYBshallpostexcerptsfromfeaturedauthorsandshallho
