WHEREAS:

A.SuppliercarriesonbusinessasaÄ[developer,manufacturerand]SupplierofÄ[TypeofProduct（s）];

B.BuyercarriesonbusinessasÄ[aretaileroftheproduct（s）describedinrecitalA（the“Products”]Ä[manufacturerofÄ[TypeofFinishedProduct（s）]incorporatingtheproduct（s）describedinrecitalA];

C.SupplierhasagreedtoselltoBuyertheaforesaidproduct（s）onthetermsandconditionshereinafterappearing;and

D.Afterconsultations,thepartiesagreethatBuyerwillpurchaseÄ[all]ofitsrequirementsfortheProductsfromSupplier.

now,THEREFORE,afterreachingaconsensusthroughconsultationsconductedonthebasisoftheprinciplesofequality,freewillandgoodfaith,thepartiesconcludethefollowingagreement:

1.DEFINITIONS

1.1"Affiliate"shallmean（i）acorporationperformingactivitiesrelatingtoBuyer'sbusinessinwhichBuyerownsandcontrols,directlyorindirectly,atleastfiftypercent（50%）oftheoutstandingsharesentitledtovotefortheboardofdirectors;（ii）afranchiseeorlicenseeofBuyer;or（iii）ajointventurewithathirdparty（x）whichjointventureperformsactivitiesrelatingtoBuyer'sbusiness,and（y）inwhichBuyerownsorcontrolsatleastÄ[twentypercent（20%）]equityinterest.

1.2“Products”shallmeanSupplier'sÄ[Product]forÄ[Insertdescription],asmorefullydescribedinExhibitA.Thepartiesagreethat,fromtimetotimeandsubjecttomutualagreement,thepartiesmayamendtheProductslistanddescriptionsinExhibitA.Whenusedwithoutcapitalization,thetermproductsÄ[replaceproductswithothertermasnecessary]shallrefertoproductsgenerallyandnotjustthosemanufacturedbySupplier.

1.3"IntellectualProperty"shallmeanallrightsofapersonorentityin,to,orarisingoutof:

（i）anypatent（includinginventions,utilitymodelsanddesigns）;（ii）well-knowntrademarksandregisteredtrademarks（includingproducttrademarks,servicemarks,collectivemarksandcertificationmarks）;（iii）copyrightsandotherrightsrelatingthereto;and（iv）anyintellectualpropertyprotectedbyotherlaws.

1.4"Specifications"meansthespecificationsfortheProducts,assetforthinExhibitA.

1.5"PurchaseOrder"meansawrittenorderfromBuyer（oranyofitsAffiliates）deliveredtoSupplierrequestingSuppliertomanufactureandselltheProductsandstatingtheproposedunitnumbersandspecificationsoftheProducts,thelocationatwhichtheProductswillbeinstalled（ifany）andanyspecialconditionsthereofthatmightaffectthemanufacture,installationortestingoftheProducts,shippinginstructions,anyrequestforSuppliertosupplylabourforinstallation,arequestedtestingscheduleandprocedure,andtherequesteddeliverydate.ThePurchaseOrdermayalsoincludeareferencetoaTechnicalProposalsentbySuppliertoBuyer,includingsuchinformationasprice,scopeofwork,systemfunctionality,anddeliveryschedule.

2.SUPPLYANDpurchase

2.1OnandsubjecttothetermsandconditionsofthisAgreement,SupplieragreestoÄ[manufactureand]selltoBuyerandBuyerherebyagreestopurchasefromSupplier,Ä[all][notlessthanÄ______percent（Ä__%）]ofBuyer’sannualrequirementsfortheproductsdescribedorlistedinExhibit“A”tothisAgreement（“theProducts”）.

OptionalClausesForSupplierandBuyerExclusivity（2.2and2.3）:

2.2SupplierExclusivity.ProvidedthatBuyerfulfilsallitsobligationspursuanttothisAgreement,Suppliershallnot,withoutBuyer’spriorwrittenconsent,sellorsupply（orpermitanyotherpersonorentitytosellorsupply）anyProductstoanythirdpartyinÄ[Territory]carryingonbusinesswhichiscompetitiveormaycompetewiththatcarriedonbyBuyer.

2.3BuyerExclusivityandSoleSource.ForsolongasSuppliermanufacturesandsellstoBuyeritsrequiredsupplyoftheProducts,BuyeragreestopurchaseallofitsrequirementsoftheProductsfromSupplier.IfSupplierfailstoprovideBuyerwithallitsrequiredsupplyoftheProductsorderedpursuanttothisAgreementonanyparticularPurchaseOrderonthedeliverydatesreasonablyrequiredbyBuyer,suchfailureshallnotbeconsideredabreachofthisAgreementbutwillentitleBuyertopurchaseenoughequivalentproductsfromathirdpartytofulfiltheparticularPurchaseOrder.Theforegoingnotwithstanding,subjecttoBuyer'sfulfillingitsobligationssetforthinSection7（BuyerMinimumOrderCriteria）ofthisAgreement,Supplier'sobligationspursuanttoSection2.2shallremaininfullforceandeffect.

2.4BuyerForecast.Ä[BuyerestimatesthatitsrequirementsfortheProductsintheÄ[]yearsendingÄ[],20Ä[]to[]20[]willbeassetoutinExhibit“B”ProductDemandForecast,tothisAgreement.

2.5Forecasts.BuyershallprovideSupplierwithaforecastofitsrequirementsforProductsinrespectofeachcalendarmonthduringthecontinuanceinforceofthisAgreement.EachsuchforecastshallbeprovidednotlaterthanÄ[]monthspriortothecalendarmonthtowhichitrelates.ItisexpresslyacknowledgedbythepartiesthatallsuchforecastsshallbeindicativeofBuyer’sestimatedrequirements,butshallnotconstitutelegallybindingpurchaseordersforthepurposesofclause2ofthisAgreement.

2.6SupplierwarrantstoBuyerthatitwillÄ[makeavailablesufficientmanufacturingcapacity][ensuresuppliesofsufficientquantitiesofProducts]tosatisfyallofBuyer’srequirementsinÄ[all][both]such[years]providedthatBuyergivesSuppliernotlessthanÄ[Period]writtennoticepriortothecommencementofeachsuchÄ[year]ofitsintentiontopurchaseitsentirerequirementfortheProductsfromSupplier].

OptionalClauseRegardingProductPermits:

2.7Permits.PriortotheinstallationoftheProducts,BuyershallprocureandpayforallnecessaryÄ[licenses,permits,authorisationsandinspections]requiredinconnectionwiththeProducts.SuppliershallnotberesponsibleforanyfailureoftheProductsortheirinstallationtocomplywithÄ[codes,regulations,standards]ofÄ[appropriategovernmentagencyordepartment].

3.PURCHASEORDERS

3.1AllsuppliesandpurchasesofProductspursuanttothisAgreementshallbemadeinaccordancewithindividualpurchaseordersplacedbyBuyerwithSupplier.AcceptancebySupplierofanysuchpurchaseordershallbeindicatedbywrittenacknowledgementthereofbySupplier.IntheeventofanyconflictbetweenthetermsandconditionsofanypurchaseorderandthetermsandconditionsofthisAgreement,thelattershallprevailsubjecttotheexpressagreementbythepartiesthattheformershouldprevail.

3.2CancellationofPurchaseOrder.BuyershallhavetherighttocancelanypurchaseorderorpartthereofbygivingwrittennoticetoSuppliernotlaterthanthirty（30）daysaftersuchpurchaseorderwasplaced.Insuchevent,SuppliershallceaseallworkinrelationtosuchcancelledpurchaseorderbutshallbeentitledtoreceivefromBuyer,subjecttotheproductionofsuchdocumentaryevidenceasBuyermayreasonablyrequire,reimbursementofcostsincurredbySupplierinconnectionwithpreparatoryworkundertakenpriortothegivingofsuchwrittennoticeincluding,withoutlimitation,materialsandlabourcosts.

3.3PersonnelforInstallationorOtherAssistance.AnyrequestthatSuppliersupplylabouratthedeliverysite（s）forinstallationorotherassistanceshallbestatedinthePurchaseOrderandthecostofsuchlabour,includinganypremiumforovertime,shallbenegotiatedforeachorder.
