TERMSANDCONDITIONSOFAGREEMENTBETWEENOWNERANDARCHITECT

ARTICLE1

ARCHITECT'SRESPONSIBILITIES

1.1ARCHITECT'SSERVICES

1.1.1TheArchitect'sservicesconsistofthoseservicesperformedby

theArchitect,Architect'semployeesandArchitect'sconsultantsas

enumeratedinArticles2and3ofthisAgreementandanyotherservices

includedinArticle12.

1.1.2TheArchitect'sservicesshallbeperformedasexpeditiouslyasis

consistentwithprofessionalskillandcareandtheorderlyprogressofthe

Work.Uponrequestoftheowner,theArchitectshallsubmitfortheOwner's

approvalaschedulefortheperformanceoftheArchitect'sserviceswhich

maybeadjustedastheProjectproceeds,andshallincludeallowancesfor

periodsoftimerequiredfortheOwner'sreviewandforapprovalof

submissionsbyauthoritieshavingjurisdictionovertheProject.Time

limitsestablishedbythisscheduleapprovedbytheownershallnot,except

forreasonablecause,beexceededbytheArchitectorOwner.

1.1.3TheservicescoveredbythisAgreementaresubjecttothetime

limitationscontainedinSubparagraph11.5.1.

ARTICLE2

SCOPEOFARCHITECT'SBASICSERVICES

2.1DEFINITION

2.1.1TheArchitect'sBasicServicesconsistofthosedescribedin

Paragraphs2.2through2.6andanyotherservicesidentifiedinArticle12

aspartofBasicServices,andincludenormalstructural,mechanicaland

electricalengineeringservices.

2.2SCHEMATICDESIGNPHASE

2.2.1TheArchitectshallreviewtheprogramfurnishedbytheOwnerto

ascertaintherequirementsoftheProjectandshallarriveatamutual

understandingofsuchrequirementswiththeOwner.

2.2.2TheArchitectshallprovideapreliminaryevaluationoftheOwner's

program,scheduleandconstructionbudgetrequirements,eachintermsofthe

other,subjecttothelimitationssetforthinSubparagraph5.2.1.

2.2.3TheArchitectshallreviewwiththeOwneralternativeapproachesto

designandconstructionoftheProject.

2.2.4Basedonthemutuallyagreed-uponprogram,scheduleandconstruction

budgetrequirements,theArchitectshallprepare,forapprovalbytheOwner,

SchematicDesignDocumentsconsistingofdrawingsandotherdocuments

illustratingthescaleandrelationshipofProjectcomponents.

2.2.5TheArchitectshallsubmittotheOwnerapreliminaryestimateof

ConstructionCostbasedoncurrentarea,blouseorotherunitcosts.

2.3DESIGNDEVELOPMENTPHASE

2.3.1BasedontheapprovedSchematicDesignDocumentsandanyadjustments

authorizedbytheOwnerintheprogram,scheduleorconstructionbudget,the

Architectshallprepare,forapprovalbytheOwner,DesignDevelopment

Documentsconsistingofdrawingsandotherdocumentstofixanddescribethe

sizeandcharacteroftheProjectastoarchitectural,structural,mechanical

andelectricalsystems,materialsandsuchotherelementsasmaybe

appropriate.

2.3.2TheArchitectshalladvisetheOwnerofanyadjustmentstothe

preliminaryestimateofConstructionCost.

2.4CONSTRUCTIONDOCUMENTSPHASE

2.4.1BasedontheapprovedDesignDevelopmentDocumentsandanyfurther

adjustmentsinthescopeorqualityoftheProjectofintheconstruction

budgetauthorizedbytheOwner,theArchitectshallprepare,forapprovalby

theOwner,ConstructionDocumentsconsistingofDrawingsandSpecifications

settingforthindetailtherequirementsfortheconstructionoftheProject.

2.4.2TheArchitectshallassisttheOwnerinthepreparationofthenecessary

biddinginformation,biddingforms,theConditionsoftheContract,andthe

formofAgreementbetweentheOwnerandContractor.

2.4.3TheArchitectshalladvisetheOwnerofanyadjustmentstoprevious

preliminaryestimatesofConstructionCostindicatedbychangesin

requirementsorgeneralmarketconditions.

2.4.4TheArchitectshallassisttheOwnerinconnectionwiththeOwner's

responsibilityforfilingdocumentsrequiredfortheapprovalofgovernmental

authoritieshavingjurisdictionovertheProject.

2.5BIDDINGORNEGOTIATIONPHASE

2.5.1TheArchitect,followingtheOwner'sapprovaloftheConstruction

DocumentsandofthelatestpreliminaryestimateofConstructionCost,shall

assisttheOwnerinobtainingbidsornegotiatedproposalsandassistin

awardingandpreparingcontractsforconstruction.

2.6CONSTRUCTIONPHASE--ADMINISTRATIONOFTHECONSTRUCTIONCONTRACT

2.6.1TheArchitect'sresponsibilitytoprovideBasicServicesforthe

ConstructionPhaseunderthisAgreementcommenceswiththeawardofthe

ContractforConstructionandterminatesattheearlieroftheissuanceto

theOwnerofthefinalCertificateforPaymentor60daysafterthedateof

SubstantialCompletionoftheWork.

2.6.2TheArchitectshallprovideadministrationoftheContractfor

ConstructionassetforthbelowandintheeditionofAIADocumentA201,

GeneralConditionsoftheContractforConstruction,currentasofthedate

ofthisAgreement,unlessotherwiseprovidedinthisAgreement.

2.6.3Duties,responsibilitiesandlimitationsofauthorityoftheArchitect

shallnotberestricted,modifiedorextendedwithoutwrittenagreementof

theOwnerandArchitectwithconsentoftheContractor,whichconsentshall

notbeunreasonablywithheld.

2.6.4TheArchitectshallbearepresentativeofandshalladviseand

consultwiththeOwner

(1)duringconstructionuntilfinalpaymenttothe

Contractorisdue,and

(2)asanAdditionalServiceattheOwner'sdirection

fromtimetotimeduringthecorrectionperioddescribedintheContractfor

Construction.TheArchitectshallhaveauthoritytoactonbehalfofthe

OwneronlytotheextentprovidedinthisAgreementunlessotherwise

modifiedbywritteninstrument.

2.6.5TheArchitectshallvisitthesiteatintervalsappropriatetothe

stageofconstructionorasotherwiseagreedbytheOwnerandArchitectin

writingtobecomegenerallyfamiliarwiththeprogressandqualityoftheWork

completedandtodetermineingeneraliftheWorkisbeingperformedina

mannerindicatingthattheWorkwhencompletedwillbeinaccordancewiththe

ContractDocuments.However,theArchitectshallnotberequiredtomake

exhaustiveorcontinuouson-siteinspectionstocheckthequalityorquantity

oftheWork.Onthebasisofon-siteobservationsasanarchitect,the

ArchitectshallkeeptheOwnerinformedoftheprogressandqualityofthe

Work,andshallendeavortoguardtheOwneragainstdefectsanddeficiencies

intheWork.(Moreextensivesiterepresentationmaybeagreedtoasan

AdditionalService,asdescribedinParagraph3.2.)

2.6.6TheArchitectshallnothavecontroloverorchargeofandshallnotbe

responsibleforconstructionmeans,methods,techniques,sequencesor

procedures,orforsafetyprecautionsandprogramsinconnectionwiththe

Work,sincethesearesolelytheContractor'sresponsibilityunderthe

ContractforConstruction.TheArchitectshallnotberesponsibleforthe

Contractor'sschedulesorfailuretocarryouttheWorkinaccordancewith

theContractDocuments.TheArchitectshallnothavecontroloverorcharge

ofactsoromissionsoftheContractor,Subcontractors,ortheiragentsor

employees,orofanyotherpersonsperformingportionsoftheWork.

2.6.7TheArchitectshallatalltimeshaveaccesstotheWorkwhereverit

isinpreparationorprogress.

2.6.8ExceptasmayotherwisebeprovidedintheContractDocumentsorwhen

directcommunicationshavebeenspeciallyauthorized,theOwnerand

ContractorshallcommunicatethroughtheArchitect.Communicationsbyand

withtheArchitect'sconsultantsshallbethroughtheArchitect.

2.6.9BasedontheArchitect'sobservationsandevaluationsofthe

Contractor'sApplicationsforPayment,theArchitectshallreviewandcertify

theamountsduetheContractor.

2.6.10TheArchitect'scertificationforpaymentshallconstitutea

representationtotheOwner,basedontheArchitect'sobservationsatthe

siteasprovidedinSubparagraph2.6.5andonthedatacomprisingthe

Contractor'sApplicationforPayment,thattheWorkhasprogressedtothe

pointindicatedandthat,tothebestoftheArchitect'sknowledge,

informationandbelief,qualityoftheWorkisinaccordancewiththe

ContractDocuments.Theforegoingrepresentationsaresubjecttoan

evaluationoftheWorkforconformancewiththeContractDocumentsupon

SubstantialCompletion,toresultsofsubsequenttestsandinspections,to

minordeviationsfromtheContractDocumentscorrectablepriortocompletion

andtospecificqualificationsexpressedbytheArchitect.Theissuanceofa

CertificateforPaymentshallfurtherconstitutearepresentationthatthe

Contractorisentitledtopaymentintheamountcertified.However,the

issuanceofaCertificateforPaymentshallnotbearepresentationthatthe

Architecthas

(1)madeexhaustiveorcontinuouson-siteinspectionstocheck

thequalityorquantityoftheWork,

(2)reviewedconstructionmeans,

methods,techniques,sequencesorprocedures,(3)reviewedcopiesof

requisitionsreceivedfromSubcontractorsandmaterialsuppliersandother

datarequ
