2. AppointmentofEstateAgentbySeller
Theaboveseller(collectivelycalled‘‘Seller’’)herebyauthorisesandengagestheEstateAgent(5),subjecttoandinaccordancewiththetermsofthisAgreement,tointroducetohimaBuyer(6)ofthefollowingProperty(7):
PlotNo.265,BlockA,comprisingofTWELVE(12)MainAreasindicatedunderregisteredMAINUNITPLANNo.10referredtoas“ZONES”withinwhichregisteredZONE–01UNITPLANconsistof160UNITSregisteredasUNITPLAN№.10/1withtheRegistrarofTitles-MinistryofLands,HousingandHumanSettlementsDevelopmentatDaresSalaam–Tanzania,locatedatAmaniGomvu,MinondoSomangila,KigamboniArea,TemekeMunicipality,DaresSalaam,Tanzania(hereintobereferredtoasa“Property”);
3. ScopeofAgencyandDutiesofEstateAgent
TheEstateAgent’sdutiesshallbeassetoutinSchedule2tothisAgreement,inadditiontothedutiesplacedontheEstateAgentbytheothertermsinthisAgreementandanywrittenlaw.
4.Commission
(a)Thecommissionrateis3_%(9)ofthetransactednetprice(exclusiveofVAT)oftheProperty.
(b)90%amountofthecommissionwillbepaidiftheSellerentersintoabindingagreementforthesaleandpurchase(8)ofthePropertywithaBuyerintroducedbytheEstateAgent,andtheBuyerpaidforthedownpayment(atleast5%ofpurchasepriceoftheproperty);10%amountofthecommissionwillbepaidaferthebuyer’spaymentreach70%amountofpurchasepriceoftheproperty.
i.ThecommissionspecifiedisinclusiveofTAX.
ii.Thecommissionwillbepaidbymonthly.Everymonthfrom1stto3rd,theEstateAgentshallprovidethepaymentapplicationofthecommissionforlastmonth,theSellershallconfirmthepaymentapplicationandarrangeforpaymentbefore5thofthemonth.
(c)TheSellershallhavenoobligationtopayanycommissiontotheEstateAgentifcompletionofthePropertytransactionfallsthroughwithoutfaultonthepartoftheSeller.
5.DisclosureRequirements
(a)TheEstateAgentorSalespersondoesnothav(10)aconflictorpotentialconflictofinterestinactingfortheSeller.
(b)IftheEstateAgentorSalespersonhasdeclaredthatthereisnoconflictorpotentialconflictofinterestbutaconflictorpotentialconflictofinterestonlyarises(orhebecomesawareoftheconflictorpotentialconflictofinterest)aftertheexecutionofthisAgreement,theconflictorpotentialconflictofinterestmustbeimmediatelydisclosedinwritingtotheSeller.Uponsuchdisclosure,theEstateAgentandSalespersonmaycontinuetoactfortheSelleronlyiftheSeller,beingfullyinformed,consentsinwritingtotheEstateAgentandSalespersoncontinuingtoactforhim.
6.PropertyInspectionandCo-broking
(a)TheSelleragreestoallowtheEstateAgenttoshowthepropertytopotentialBuyer(s)(includingtheiragents)atmutuallyagreeabletime(s).
(b)TheEstateAgentmayco-operateorco-brokewithanotherEstateAgenttosecureBuyersfortheProperty.
(c)Ifco-brokingisallowed,thecommissionmaybesharedbetweentheEstateAgentandaco-brokingagentinsuchamountsasmaybeagreedbetweenthembuttheSellerisnotliabletopayanycommissiontotheco-brokingagent.
7.WarrantybySeller
TheSellerwarrantsthatheistheownerof/dulyauthorised
(1)toselltheProperty.
8. SchedulesandNotes
TheSchedulesandNotestoorinthisAgreementformpartofthisAgreement.
9.ApplicableLawandDisputeResolution
(a)ThisAgreementshallbegovernedbythelawsofTanzania.
(b)AnydisputebetweentheSellerandtheEstateAgentarisingoutoforinconnectionwiththisAgreement(includinganyquestionregardingitsexistence,validityortermination)shallfirstberesolvedinthefollowingmanner:
IntheeventofanydisputeordifferencearisingbetweenthePartiesinrelationtoorarisingoutofthisAgreement,thePartiesshallforthwith,uponreceiptofanoticeinwritingfromthePartyclaimingsuchdisputeordifference,attempttoresolvethedisputeordifferencethroughgoodfaithnegotiations.IntheeventthePartiesfailtoreachasettlementwithinaperiodofFourteen(14)businessdayseitherPartymayreferthedisputeordifferencetoarbitrationundertheprovisionsoftheArbitrationAct,Cap.15oftheLawsofTanzania.
TheappointmentoftheArbitratorshallbefinalandbindingontheParties.
ThearbitrationshalltakeplaceinDaresSalaam,Tanzaniaoranyotherplaceasmay
bedeterminedbytheParties.
ThedecisionoftheArbitratorshallbefinalandbindingontheParties;and
Thedecisionmaybemadeanorderofacourtofcompetentjurisdiction.
10.AdditionalTerms
Note:
TheprintedtermsprescribedinthisformofAgreementcannotbedeletedorvaried.Ifthepartieswishatanytimetoagreetooraddonanyotherterms,theymustbeinwriting,dated,insertedasAdditionalTermsbelowandinitialedbytheparties.Ifthespacebelowisinsufficient,theAdditionalTermsaretobewritten/printedinblackinkonaseparatesheetofpaperwhichmustbepinkincolorandinafontnotsmallerthanthefontoftheaboveterms.
TheAdditionalTermscannotconflictwith,varyorotherwiselimittheprescribedterms(11)ofthisAgreement.

(7)IfthereismorethanoneProperty,therelevantaddressesmayberecordedonaseparate
sheetandattachedtothisAgreement.Alternatively,aseparateagreementmaybeusedfor
eachProperty.
(8)Anagreementforsaleandpurchasemaytaketheformofanexecutedsaleandpurchase
agreementoranoptiontopurchasewhichhasbeenexercisedbytheBuyer.
(9)TheamountorrateofcommissionisnegotiablebetweentheSellerandtheEstateAgent.
(10)TheCodeofEthicsandProfessionalClientCareprescribestheEstateAgent’sand
Salesperson’sdutytodiscloseandavoidanypotentialoractualconflictofinterest.
(11)Wherethepartieshavemadeanychoiceabove,theymaysubsequentlyvarysuchchoicein
writingbutsuchvariationmustbedatedandinitialedbytheparties.Thepartiesmayalso
varythenon-prescribedAdditionalTermsbutsuchvariationmustbeinwriting,datedand
initialedbytheparties.
(12)IfthereisaSalespersonrepresentingtheEstateAgentintheproposedsaleoftheProperty,
theSalespersonshallsignandfillinhisparticulars.Otherwise,iftheEstateAgentactingin
theproposedsaleofthePropertyisanaturalperson,heshallsignandfillinhisparticulars.
IfthereismorethanonesuchSalespersonorEstateAgentwhoisanaturalpersonactingin
theproposedsaleoftheProperty,theirname(s)andparticular(s)shallalsobewritten,if
necessary,onaseparatesheetandattachedtothisAgreement.
SCHEDULE2
DUTIESOFESTATEAGENT
TheEstateAgentshall:
(a)providereasonableassistanceandadvicetotheSellerthroughouttheprocessofsaleofthe
Property.
(b)representtheSellerinnegotiationswithanyprospectiveBuyerinaccordancewithhis
instructions.
(c)promptlyforwardtotheSelleralloffers,proposalsorexpressionsofinterestfrompotential
