2.Debt:

allthepaymentsofPartyAindebtedtoPartyBunderthiscontract,includingtheprincipalofloans,interest,overdueinterest,compoundinterestandotherrelevantexpenses.

3.Purchasecontract:

CommercialHousingPurchase/SalesContract,Pre-saleContractofCommercialHousingorotherpurchaseagreementssignedbyandbetweenPartyAandPartyCtopurchasethecommercialhousinghereunder.

4.Pledge:

thegeneraltermforthecommercialhousingunderthispurchasecontractandalltherightsandinterestsrelatedtothecommercialhousing.

5.Mortgagepre-registration:

pre-ordercommercialhousingmortgageregistrationormortgageregistrationrecordstobeobtainedbyvirtueofsuchdataandinformationaspermitforpre-saleandpurchasecontract,etc.requiredtoacquiretheloanbeforePartyBhasnotgotthepropertyrightcertificateforitspurchasedcommercialhousing.

ArticleIVLoanterm

ArticleV Interestrateofloan

1.Themonthlyinterestrateoftheloanis.Iftheloantermiswithinoneyear（included）,therepaymentshallbepaidoffatthecontractinterestrate.Iftheloantermisovermorethanoneyear,incaseofadjustmentoftheprescribedinterestrate,newinterestrateprovisionsshallbecarriedoutinaccordancewiththecorrespondinggradeoftheinterestrateearlynextyear.

2.Theloaninterestrateshallbepaidmonthly,andtheexpirydateforinterestisthe20thdayofeachmonth.Iftheloantermiswithinoneyear（included）,therepaymentofprincipalwithinterestshallbemadeatonetime.

ArticleVI Loanappropriation

PartyAshall,withindaysafterthecompletionofthemortgagepre-registrationhereofandtheacquisitionofthemortgagepre-registrationcertificate,transfertheloanamountintothespecialhouse-saleaccountopenedbyPartyCatPartyA’sonceinthenameofthehousingpurchasepaymentofPartyB.

Incaseoffailuretocarryoutmortgagepre-registration,PartyAshall,within/daysafterPartyBhandsovertoPartyAthepurchasecontractandotherdataandinformationrequiredtoproceedpropertyrightcertificateandfulfillthenotarizationofthiscontract,transfertheloanamountintothespecialhouse-saleaccountopenedbyPartyCatPartyA’sonceinthenameofthehousingpurchasepaymentofPartyB.

ArticleVII Repaymentofloan

1.PartyBshallpaytheprincipalandinterestinfullamounttoPartyAonschedule.

2.Iftheloantermismorethanoneyear,onerepaymentperiodoftheprincipalandinterestoftheloanhereundershallbeonemonth.Therepaymentdateofeachperiodisthe20thdayofeachmonth.Thedown-paymentwillbemadeonthe20thdayofthefollowingmonthaftertheoccurrenceofloan.

3.PartyB,beforeacquiringtheloanlentbyPartyA,shallapplytoPartyAforabankcard（cardtype:

______/_______,andcardnumber:

_______/__________________）oropenadepositaccountatPartyA’s（accountnumber:

andopeningbank/place:

SubbranchofChongqingDadukouDistrictBranchCenteroftheAgriculturalBankofChina）.Beforetherepaymentdateofeachperiod,PartyBshalldeposittheprincipalandinterestoftheloanforthecurrentperiodinthesaidbankcardorthedepositaccount.PartyAshalldirectlydeductthepaymentrelatedtotheloanofthiscontractfromthesaidbankcardordepositaccount.Ifthedepositisinsufficienttobededucted,PartyAshallgiveagraceperiodof/day（s）;iftheaccountdepositisstillinadequatefordeductionafterthegraceperiodexpires,alltheprincipalandinterestoftheloantobepaidforthecurrentperiodshallbedeemedasdelinquency.

4.Thepaymentamountofeachperiodshallbecalculatedbyadopting

5.Prepayment:

IfPartyBmakesprepayment,itshallbeapprovedbyPartyAandcarryoutsuchactinaccordancewiththefollowingprovisions:

（1）PartyBmaypaypartoforalltheunmaturedloanbeforetherepaymentdateofeachperiod.

（2）PartyBshallmakeprepaymentbyfilinganapplicationtoPartyAinwriting3daysinadvance.

（3）IfPartyBprepayspartoforalltheloans,theloaninterestthathasbeencalculatedandcollectedshallnotbereturned.Theamounttobepaidinadvanceateachtimeshallnotbelessthanthatofoneregularpayment.

6.Delinquency

Fortheoverdueprincipalandinterestoftheloan,PartyBshallmaketherepaymentinthefollowingmethodasspecifiedin

（2）;

（1）PartyBdepositssufficientmoneyinthesaiddepositaccountorbankcard,whichshallbedeductedbyPartyAonthenextrepaymentdate.However,PartyA,betweenthedepositdateanddeductiondate,maystillchargePartyBfortheoverdueinterestanditscompoundinterest.

（2）PartyBcollectsthedelinquencylistfromtheCreditDepartmentofPartyA,andthenpayscashatthebusinesscounterwiththesaidlist.Fromthedatewhenthedelinquencyispaid,thecollectionofoverdueinterestanditscompoundinterestshallbeceased.

7.AnydisputearisingfromthehousepurchaseundertheCommercialHousingPurchase/SalesContractandPre-saleContractofCommercialHousingshallnotimpactthepaymentonscheduleoftheprincipalandinterestoftheloananditsrelevantexpenseshereunderandtheundertakingoftheguarantyliability.

ArticleVIII ObligationsofPartyA

1.Withinthetimelimitspecifiedinthecontract,PartyAshallprovidePartyBwithloansinfullamount.

2.PartyAshallcheckandkeeptheownershipdocumentsandotherdocumentsrelatedtothepledge.

3.Aftertheterminationofthemortgagehereof,PartyAshallreturntoPartyBtheownershipcertificateorotherregistrationcertificatesrelatedtothemortgageinitscustody.

4.AfterPartyCpaysoffthedelinquencyonbehalfofPartyBduetoitsincapabilityofperformingtherepaymentobligationsasagreed,PartyAshalldelivertoPartyCthecertificatesrelevanttothemortgageatitsdisposal.

ArticleIX ObligationsofPartyB

1.PartyBshallproperlykeepthedeliverablehousepropertyandberesponsibleforitsrepairandmaintenance,andensurethatitiskeptintact.

2.Beforepayingofftheloan,withoutthewrittenconsentofPartyA（beforeproperlyproceedingthehousepropertymortgageregistration,thewrittenapprovalfromPartyCisstillrequired）,PartyBshallnotsell,lease,grant,giveup,manage,pledgeagainpartoforallthemortgageassetsunderthiscontractorliquidateotherliabilitieswithpledgesandinotherways.

ArticleX Housepropertymortgage

1.Scopeofmortgageguarantee:

alltheexpensestorealizemortgagebyPartyA,suchasprincipalofloans,interest,overdueinterest,compoundinterest,defaultinterest,attorney’sfee,collateraldisposalchargeandtransferfee,etc.

2.Mortgageregistration（pre-registration）:

（1）PartyBshallprovidePowerofAttorneytoentrustPartyAorPartyAandPartyBshalljointlygothroughmortgagepre-registrationormortgageregistrationformalitiesofpre-ordercommercialhousingandcommercialhousingintherealestatemanagementauthoritiesthatareentitledtohandlethesaidformalitieswiththiscontract,purchasecontractandotherrelevantrealestateownershipdocumentations.

（2）Themortgagedrealestateownershipdocumentations,registeredCertificateforJusAliasformortgageandotherrelevantdocumentsshallbehandedovertoPartyAforsafekeeping.

3.Mortgageinsurance

（1）PartyBshallhavethemortgagedassetsinsuredasrequiredbyPartyA.

（2）PartyBshallnothavetheinsurancewithdrawnorinterruptedwithanyreasonunles
