10.单据：
卖给方应将下列单据提交银行议付/托收。

11.装运通知：
一俟装运完毕，卖方应即电告买方合同号、品名、已装载数量，发票总金额，毛重，运输工具名称及启运日期等。

12.检验与索赔：
InspectionandClaims：
①卖方在发货前由检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。
Thebuyersshallhavethequalities，specifications，quantitiesofthegoodscarefullyinspectedbytheInspectionAuthority，whichshallissueInspectionCertificatebeforeshipment.②货物到达目的的口岸后，买方可委托当
地的商品检验机构对货物进行复检。
如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的天内凭检验机构出具的检验证明书向卖方索赔。
Thebuyershaverighttohavethegoodsinspectedbythelocalcommodityinspectionauthorityafterthearrivalofthegoodsattheportofdestination.Ifthegoodsarefounddamaged/short/theirspecificationsandquantitiesnotincompliancewiththatspecifiedinthecontract，thebuyersshalllodgeclaimsagainstthesellersbasedontheInspectionCertificateissuedbytheCommodityInspectionAuthoritywithindaysafterthegoodsarrivalatthedestination.③如买方提供索赔，凡属品质异议须于货到目的的口岸之日起天提出;
凡属数量异议须于货到目的口岸之日起天提出。
对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。
Theclaims，ifanyregardingtothequalityofthegoodsshallbelodgedwithindaysafterarrivalofthegoodsatthedestination，ifanyregardingto
thequantitiesofthegoods，shallbelodgedwithindaysafterarrivalofthegoodsatthedestination.ThesellersshallnottakeanyresponsibilityifanyclaimsconcerningtheshippinggoodsisuptotheresponsibilityofInsuranceCompany/TransportationCompany/PostOffice.
13.人力不可抗拒：
如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
ForceMajeure：
Thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoForceMajeure.Butthesellersshalladvisethebuyersontimesofsuchoccurrence.
14.争议之解决方式：
Disputessettlement：
□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。
仲裁地点在中国深圳。
仲裁裁决是终局的，对双方均有约束力。

15.法律适用Lawapplication：
本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

DDU术语系根据国际商会《Incoterms1990》
16.文字：
本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。

7.付款条件（TermsofPayment）：
买方须于前将保兑的、不可撤销的、可转让的、可分割的即期付款信用证开到卖方，该信用证的有效期延至装运期后天在中国到期，并必须注明允许分批装运和转船。

买方未在规定的时间内开出信用证，卖方有权发出通知取消本合同，或接受
买方对本合同未执行的全部或部份，或对因此遭受的损失提出索赔。

10.品质/数量异议（Quality/Quantitydiscrepancy）：
如买方提出索赔，凡属品质异议须于货到目的口岸之日起30天内提出，凡属数量异议须于货到目的口岸之日起15天内提出，对所装货物所提任何异议于保险公司、轮船公司、其他有关运输机构或邮递机构所负责者，卖方不负任何责任。
Incaseofqualitydiscrepancy，claimshouldbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination，whileforquantitydiscrepancy，claimshouldbefiledbytheBuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetocausesforwhichtheInsuranceCompany，ShippingCompany，otherTransportationOrganization/orPostOfficeareliable.
11.由于发生人力不可抗拒的原因，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责。
本合同所指的不可抗力系指不可干预、不能避免且不能克服的客观情况。
TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentirelotoraportionofthegoodsunderthisSalesContractinconsequenceofanyForceMajeureincidentswhichmightoccur.ForceMajeureasreferredtointhiscontractmeansunforeseeable，unavoidableandinsurmountableobjectiveconditions.
12.仲裁（Arbitration）：
因凡本合同引起的或与本合同有关的任何争议，如果协商不能解决，应提交中国国际经济贸易仲裁委员会深圳分会。
按照申请仲裁时该会当时施行的仲裁规则进行仲裁。
AnydisputearisingfromorinconnectionwiththeSalesContractshallbesettledthroughfriendlynegotiation.Incasenosettlementcanbereached，thedisputeshallthenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission（CIETAC），ShenzheCommissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.
13.通知（Notices）：
所有通知用文写成，并按照如下地址用传真/电子邮件/快件送达给各方。
如果地址有变更，一方应在变更后日内书面通知另一方。
Allnoticeshallbewritteninandservedtobothpartiesby
fax/e-mail/courieraccordingtothefollowingaddresses.Ifanychangesoftheaddressesoccur，onepartyshallinformtheotherpartyofthechangeofaddresswithindaysafterthechange.
