5.收费/charge

5.1.

5.2.因本协议工作需要，乙方律师在武汉中心城区（不包括江夏、新洲、汉南、黄陂、

蔡甸、东西湖等远城区）内花费的交通费由乙方承担。

5.3.因本协议工作产生的文印费、翻译费、相关部门收费及武汉中心城区外的交通、食

宿等必要费用由甲方承担。

duetothelegalworkofthiscontract,thetextprintedfees,thetranslationfees,thegovernmentfeesandcharges,transportationexpenses,accommodation,cateringandothernecessaryexpensesthatmayoccuroutsidethewuhancentercityshouldbebornebypartya.

6.通知和送达/noticeandservice

6.1.甲乙双方因履行本协议而相互发出或者提供的所有通知、文件、资料，均以本协议

所列明的地址、传真或电子邮件送达，一方如果迁址或者变更电话、传真、电子邮件的，应当以书面形式通知对方。

6.2.使用传真方式的，在发出传真时视为送达；

以邮寄方式的，挂号寄出或投邮日视为

送达；

使用电子邮件方式的，邮件发送成功视为送达。

7.协议的终止/terminationofagreement

7.1.本协议的双方经协商一致后可终止本协议。

7.2.本代理协议涉及的纠纷各方达成和解，或一审（二审）判决、调解、案外和解及撤

回起诉，则属于乙方律师完成代理工作，本协议终止。

ifthepartiesofthedisputeinvolvedinthisagreementreachedasettlementagreement,mediation,reconciliationorgotthefirsttrial（secondtrial）judgment,orwithdrewtheprosecution,theagencyworkofpartybiscompletedandthisagreementisterminated.

7.3.本协议终止后，双方应进行相应的清理和工作交接。

upontheterminationofthisagreement,thepartiesshallmaketheappropriatecleanupandtransferofwork.

8.争议解决/disputeresolution

8.1.双方在履行本协议过程中发生争议的，由双方协商解决。

inthecourseofperformanceofthisagreement,disputesshouldberesolvedthroughfriendlyconsultations.

8.2.协商不能解决的，可向武汉仲裁委员会申请仲裁。

9.其他/others

9.1.本协议一式两份，双方各执一份，具有同等法律效力。

甲方委托乙方设计智能收发验证系统技术方案，乙方将设计开发方案的验证电路及负责整体思路的建立，为此订立以下协议，并由双方共同恪守。

article1definitions

第一条定义

1.1techniqueproposalofsmartt/rverificationsystem（hereinafterreferredtoas“thesolution”）shallmeanalltherequiredtechniquestoconstructthegeneralideawhichwillcommittheattachedtechnicalrequirements.thesolutionshallincludealltechnicaldetailsofalldesigningschemesandexperimentalverificationforkeycircuits.

智能收发验证系统技术方案（以下简称“方案”），是指设计满足附件要求的总体技术方案，所需要的解决方案。

该解决方案包括全部设计方案资料及关键电路验证技术资料。

1.2technicaldocumentationsshallmeanallthenecessarydocumentstodesignthesolutionandalltheverificationdocumentsthatpartybwilluseindesigningthesolution.

技术资料，指研发解决方案所必需的资料，包含乙方在设计方案的过程中，所使用的全部有关验证技术资料。

1.3“rd”shallmeanresearchanddevelopment.

“rd”，是指研究和开发。

1.4”t/r”shallmeantransmitandreceive.

“t/r”，是指发射和接收。

1.5”soc”shallmeansystemonchip.

“soc”,是指系统级芯片。

1.6”asic”shallmeanapplicationspecificintegratedcircuit.

”asic”,专用集成电路。

article2contentsscopesofcontract

第二条合同内容和范围

2.1therequirementsofthecontractsolution合同技术方案要求

2.1.1technicalcontent技术内容:

（1）designtechnicalproposal;

设计技术方案；

（2）keycircuitsverification;

验证关键电路；

（3）detailedtechnicalrequirementsseetechniqueattachment.

详细技术要求见技术协议附件。

2.1.2technicalmethodandstrategy技术方法和路线:

（1）shouldadoptsocandasictechnology;

采用soc和asic技术；

（2）shouldadoptthesmartt/rsystemtoverifythekeycircuits.

采用智能收发组件系统对关键电路进行实验验证。

2.2theobligationsofbothparties双方义务

2.2.1partybshallsubmittherdplantopartyawithintwomonthsafterthiscontractcomesintoeffect.

乙方应在本合同生效后2个月内向甲方提交研究开发计划。

2.2.2partybshallaccomplishthesolutiondesignworkaccordingtothefollowingschedule：

乙方应按下列进度完成方案设计工作：

（1）phaseone第一阶段：

1）initializationphase:

selectfoundary,obtaindesigndocuments,analyzeprocessfiles,establishcomputersystem,rentandpurchaseedasoftware,primarycommunicatedesignthoughtofverificationcircuitsandgeneralsolution;

启动阶段：

晶圆厂的选定、设计文件的获得、工艺文件的分析、计算机系统的建立、eda软件的租用及购买、验证电路与整体方案设计思路的初步沟通；

2）designphase:

moduledivisionofchip,principledesign,computersimulation,layoutdesign;

设计阶段：

芯片的模块划分、原理设计、计算机仿真、版图设计；

3）testphase:

primarytestandconsecutivetest.

测试阶段：

初测及继续测试。

（2）phasetwo:

alterthesolutionaccordingtothefirstphaseresults,andstartsecondrun.

第二阶段：

根据第一阶段测试结果对方案进行修改，同时配合总体设计进行修改。

2.2.3withthebothparties’confirmationandontherequestofpartya,partybshallprovidetechnicalguidanceandtrainingtothepersonneldesignatedbypartyaorprovidethetechnicalservicerelatedinthefulfillmentsolutionafterthesolutionisqualifiedbytheverificationcircuits.

双方确定，乙方应在合同方案的关键电路验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和培训，或提供与完成方案相关的技术服务。

2.2.4withtheconfirmationofthebothparties,withinthevalidityofthecontract,partyashall

aspartya’sprojectcontactpersonaspartyb’sprojectcontactperson.ifanychangesofthecontactpersonoccur,onepartyshallinformtheotherpartybasedonwrittenmaterialsinduetime.ifonepartyfailstopromptlyinformtheotherparty,itshallbeheldresponsibleforanyinfluenceordamagecausedbytheuntimelynotificationduringtheperformanceofthecontract.

双方确定，在本合同有效期内，甲方指定为甲方项目联系人，乙方指定为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式通知另一方。

未及时通知并影响本合同履行或造成损失的，应承担相应的责任。

2.3delivery交付

partybshalldeliverthecontractsolutiontopartyainaccordancewiththecontentsasspecifiedinitem2.2.2ofthecontract.

乙方应按本合同条款2.2.2规定的内容，将合同方案技术资料交付甲方。

2.4assessmentacceptance合同方案的验收

confirmedbythebothparties,partyashalladoptthesignedstandardsandmethodstoexamineandacceptthecontractsolutionbypartyb.

双方确定，按所签订的验收标准对乙方完成的合同方案技术进行验收。

2.4.1toensurethatthecontractsolutionsuppliedbypartybiscorrect，reliableandadvanced，partya,bshalljointlyperformtheassessmentandacceptanceofthetechnicalsolutionandcorecircuitinaccordancewiththeprovisionsofitems2.1-2.3ofthecontractandtechniqueattachment.ifthetechnicalsolutionarequalified,bothpartiesshalljointlysignacertificateofacceptanceintwocopies，oneforeachparty.

为了保证乙方提供合同方案的正确性、可靠性和先进性，由甲乙双方技术人员一起，按本合同2.1-2.3及技术协议附件规定，共同对技术方案设计和核心电路进行考核和验收.考核验收合格后，双方代表要签署验收合格证书一式两份，双方各执一份为凭。

2.4.2ifthesolutioncannotmeettherequirementsofthecontract,bothpartiesshallholdfriendlydiscussionstoanalyzethereasonsandtakemeasurestocorrectanydefectandprepareforthesecondassessmentandacceptanceofthecontractsolution.ifthesolutionarestillnotqualifiedafterthesecondassessmentandacceptanceandtheresponsibilityliesinpartyb,partybshallberesponsibleforallthelossesthuscaused,partyashallhavetherighttoterminatethecontractandraiseaclaimagainstpartybaccordingtoarticle6；

iftheresponsibilityliesinpartya,bothpartiesshallmutuallydiscussthefurtherimplementationsofthecontract.

如果考核验收达不到本合同的规定要求，则双方要友好协商，共同研究分析原因，采取措施，消除缺陷，进行第二次的考核和验收。

若经过第二次考核仍不合格，如属乙方责任，则乙方应承担由此而造成一切损失，甲方有权终止合同并按第6条的规定由甲方向乙方索赔，如属甲方责任，则双方应共同协商本合同的进一步执行问题。

2.5contracttechnicalsolutionresultsandrelatedintellectualpropertyownership

合同技术方案研发成果及相关知识产权的归属

confirmedbythebothparties,thetechnicalsolutionresultsandrelatedintellectualpropertyrightgeneratedfromthecontractshallbesettledbythefollowingmethods.

双方确定，因履行本合
