PURCHASERagreestopurchasetheequipmentandServices,andSELLERagreestoselltheequipmentsubjecttothetermsandconditionsofthisContract.
买方同意按照本合同的条款和条件购买设备，且卖方同意按照本合同的条款和条件出售设备。
ThetotalpricefortheequipmentisfourmillionandeightythousandUSD（the“Price”）.
BuyershallpaythePricetoSellerasfollows:
价格。
设备和服务的总价为
美元（“合同价格”）。
买方应以下列方式向卖方支付合同价格：
UnlessotherwisesetforthinthisContract,BuyershallmakeallpaymentsunderthisContractexclusivelytoSellerwithinfourteen（14）daysafterthedateofSeller’sinvoicetherefor.
UnlessanotheraddressisprovidedinwritingbyBuyertoSeller,allinvoicesshallbesentbySellertotheaddresssetforthinSection15.6.
AllofBuyer’spaymentsofthePriceshallbemadebymeansoftheLetterofCredit（asdefinedinSection3.4）,exceptthat:
（a）paymentoftheFirstInstallmentwillbemadebywiretransfertoSeller’sbankaccount;
and（b）iftheLetterofCreditisnotineffectwhenapaymentisdueorisnotsufficienttocovertheentireamountowedtoSeller,thenBuyerwillpaytheamountowed（orremainingportionthereofthatSellerdidnotreceivebydrawingontheLetterofCredit）toSellerbymeansofawiretransfertoSeller’sbankaccountbytheduedatesetforthabove.
Allpaymentsbywiretransferwillbemadeinaccordancewiththewireinstructionsset
forthinAnnex3whichmayberevisedfromtime-to-timeuponwrittennoticebySellertoBuyer.
Foravoidanceofdoubt,SellermayatitsoptiondrawontheLetterofCreditatadatelaterthantheapplicablepaymentduedatesetforthabove.
PaymentswillnotbeconsideredmadeuntilSellerhasacreditentryonitsbankaccountsinSwitzerland.
除非本合同另行规定，在卖方发票出具之日后的十四（14）天内，买方应向卖方独家支付本合同项下应向卖方支付的所有款项。
除非买方以书面方式向卖方告知其他地址，否则卖方应将所有发票送至第15.6款中列明的地址。
买方就合同价格的所有付款均应以信用证（定义见第3.4款）的方式支付，但（a）
首期付款应电汇至卖方银行账户，且（b）
如果付款到期时信用证无效或不足以支付应付给卖方的全部款项，则买方将以在上述到期日向卖方银行账户电汇款项的方式向卖方支付应付款项（或卖方在提取信用证下金额后未能获得的剩余款项）。
通过电汇支付的所有款项将根据附件3所述的电汇指示作出，该等指示可由卖方向买方发出书面通知而不时修改。
为避免疑义，卖方可自行决定在上述规定的相关款项到期日之后的某一日对信用证提款。
在卖方位于瑞士的银行账户显示资金到帐之前，款项应被视为未付。
3.1TheSystemwillbedeliveredtoBuyerCIPShanghaiairport（INCOTERMS2000）orothershippingpointdesignatedbySeller.
Annex2containsanestimatedshipmentdatefortheSystem.
BuyerwillarrangeforandbearthecostofshippingtransportationandinsurancefromtheShanghaiairporttoBuyer’sSite.
Transshipmentandpartialshipmentwillbeallowed.
设备应依照《2000年国际贸易术语解释通则》CIP在上海浦东国际机场或卖方指定的其他交货点交付给买方。
附件2包括了设备的预计发货日期。
买方将安排向买方场所的海运、运输和保险，并承担相关费用。
转运和分批发货亦可。
3.2
TransferoftitletotheSystemwillpassfromSellertoBuyerupondeliveryoftheSystemtothefirstcarrier.
RiskoflossordamagewithrespecttotheSystemwillpassfromSellertoBuyerupondeliveryoftheSystemtothefirstcarrier.
Inaddition,BuyerwillbeliableforanylossordamagecausedatanytimebytheactsoromissionsofBuyeroranyofBuyer’sagents,employees,orcontractors.
IntheeventofdamageorlossduringshipmentandBuyerwishestomakeaclaimundertheinsurancepolicyprocuredbySeller,BuyeragreestofirstnotifySellerandcoordinateanycommunicationontheclaimwithSeller.Notwithstandinganythingtothecontrary,anysoftwareincludedwiththeSystemislicensed,notsoldtoBuyer,andtitletoandownershipofsuchsoftwareshallatalltimesremainwithSeller.
设备的所有权应按照上述《2000年国际贸易术语解释通则》FCA（货交承运人）运输条款在交付后由卖方转移至买方。
设备毁损灭失的风险将按照上述《2000年国际贸易术语解释通则》FCA（货交承运人）运输条款在交付后由卖方转移至买方。
无论本合同中有任何相反规定，设备所包含的任何软件系许可给买方并非向买方出售，该等软件的产权和所有权始终归卖方所有。

Sellerwarrantstheequipmentand/orservicesofferedpursuanttothiscontract（'
Equipment'
）againstdefectivematerialandworkmanshipfortheperiodequaltothelesserof
（1）oneyearfromthetimetheequipmentisputintoserviceorinstalled（ifSELLERInstallstheEquipment）,or
（2）eighteenmonthsfromthedatetheequipmentisshipped（"
WarrantyPeriod"
）,andalsowarrantsthattheEquipmentwillperformaccordingtothespecificationsspecificallysetforthinthiscontractSELLERMAKESNOOTHERWARRANTY,EITHEREXPRESSORIMPLIED,CONCERNINGTHEEQUIPMENT,EXCLUDINGSPECIFICALLYTHEIMPLIEDWARRANTYOFMERCHANTABILITYANDTHEIMPLIEDWARRANTYOFFITNESSFORANYPARTICULARPURPOSE.
卖方公司保证，本合同项下提供的设备及/或服务（简称“设备”）自
（1）设备投入使用或安装（若由卖方安装设备）之日起一年内，或
（2）设备装运之日起十八（18）个月之内（以两者中较短的为准）（简称“保证期”），没有材料和工艺方面的缺陷，并保证设备运行符合本合同特别规定的规格标准。
卖方对设备不作任何其他明示或默示保证，尤其不对适销性及特定用途适合性作任何默示保证。
5.EXCLUSIVEREMEDIES
5.1
SELLERwillreplace,repairor（atSELLER'
soption）refundthepurchaseprice（lessaprorationdeterminedbySELLERinitsdiscretionfortheperiodoftimetheEquipmentwasinuse）oftheEquipmentorcomponentsthereofwhichprovewithintheWarrantyPeriodandtoSELLER'
ssatisfactiontobedefectiveinmaterialorworkmanshiportoperformimproperly.THEREPAIR,REPLACEMENTORREFUNDOFTHEPRORATEDPORTIONOFTHEPURCHASEPRICEOFDEFECTIVEPARTS（ANDRE-INSTALLATIONIFSELLERINSTALLEDORIGINALLY）AREPURCHASER'
sSOLEANDEXCLUSIVEREMEDYAGAINSTSELLERFORTHEBREACHOFSELLER'
sWARRANTY,PURCHASERAGREESTHATNOOTHERREMEDIES,INCLUDINGBUTNOTLIMITEDTOINCIDENTALORCONSEQUENTIALDAMAGES,SHALLBEAVAILABLETOHIM.
（a）
若在保证期内证明设备或其部件存在材料或工艺缺陷或者无法正常运行，且卖方对证明表示满意，卖方将对有关设备或其部件进行更换、修理或由卖方自行决定退还买价（扣除相应比例：
由卖方根据设备投入使用的时间决定扣除比例）。
对缺陷部分进行更换、修理或退还相应比例的买价（以及对卖方安装的产品进行重装）是卖方违反保证时买方获得的唯一的、排他性救济，买方同意其不享有其他救济，包括但不限于间接或潜在损害赔偿救济。
5.2ThepurposeoftheseexclusiveremediesistoprovidePURCHASERwithfreerepairandreplacementofdefectiveparts,oratSELLER'
selectionarefundoftheproratedportionofthePurchasePriceofdetectiveparts,andtheseexclusiveremediesshallnotbedeemedtohavefailedattheiressentialpurposesolongasSELLERiswillingandabletorepair,replaceorrefundtheproratedportionofthePurchasePriceofalldefectiveparts.
5.3
上述排他性救济的目的是为买方免费修理、更换缺陷部分，或根据卖方的决定退还相应比例的缺陷部分的买价，只要卖方愿意并能够对所有缺陷部分进行修理、更换或退还一定比例的买价，上述排他性救济就不得被视为未达到其基本目的。
6.LIMITATIONSONWARRANTYANDREMEDIES
6.1SELLER'
swarrantywithrespecttotheEquipmentandanyremediesavailabletoPURCHASERaresubjecttothefollowingconditions:
保证及救济限制卖方对设备的保证及买方可享有的救济受以下条件的限制：
6.2PURCHASERmusthaveretainedownershipandcustodyoftheEquipmentthroughouttheWarrantyPeriod.
买方在保证期内已经取得设备所有权并保管设备。
6.3SELLERisnotresponsiblefor,andPURCHASERshallhavenoremedyfor,andmaynotrecoveranydamagesfromSELLERfor,defects,damages,orfaultsintheEquipmentcausedbyaccident,abuse,misuse,neglect,lackoforimproperpreventivemaintenance,abrasion,corrosion,oxidationorattackasaresultofchemicalactionorfaultyorimproperinstallationifinstalledbyanyoneotherthanSELLER
对于由事故、滥用、误用、疏忽、未进行预防性保养或保养不当、磨损、腐蚀、氧化或发生化学反应、故障或非由卖方进行的不当安装等造成的设备缺陷、损坏或故障，卖方不承担责任，买方无权向卖方主张救济，亦无权要求卖方进行任何损害赔偿。
6.4
ThewarrantyofSELLERwithrespecttotheEquipmentshallimmediatelyterminateandPURCHASERshallhavenoremedyfor,andmaynotrecoveranydamagesagainstSELLERfor,anydamage,defectorfaultintheEquipmentifPURCHASERhasalteredorrepaired;
orattemptedtoalterorrepair,theEquipmentorhasusedorattemptedtousetheEquipmentforanypurposeotherthanthepurposefortheEquipmentsetforthinthisproposal,unlessPURCHASERhasfirstreceivedSELLER'
spriorwrittenauthorizationofsuchalteration,repairoruse.
若由于买方已对设备进行了改装或修理，试图对设备进行改装或修理，或已将或试图将设备用于非本合同规定之目的，导致设备出现任何损坏、缺陷或故障，卖方对设备的保证将立即终止，买方将无权向卖方主张救济，亦无权要求卖方进行任何损害赔偿，卖方预先以书面形式授权买方进行上述改装、修理或使用的除外。
6.5PURCHASERmustgiveSELLERwrittennoticeofanyclaimedfailureofanypartoftheEquipmenttomeetthewarrantyofSELLERspecifyingthenatureoftheclaimedfailure.Suchnoticemustbegivenwithinareasonabletime（nottoexceedthirtydays）afterPURCHASERdiscoversorshouldhavediscoveredanysuchfailure.ThefailureofPURCHASERtosonotifySELLERshallbarPURCHASERfromanyremedyforsuchfailure
买方应向卖方发出书面通知，向卖方告知设备任何部分与其保证不符，并指名其性质。
买方应在发现或应该发现上述故障后的合理时间内（不得超过三十天）发出通知。
若买方未按照上述要求通知卖方，买方将无权就上述故障获得任何救济。
6.6SELLERisnotresponsiblefor,andPURCHASERshallhavenoremedyfor,andmaynotrecoveranydamagesfromSELLERfor,anyfailureoftheEquipment,oranypartorcomponentthereof,toperformaccordingtothespecificationsspecificallysetforthinthiscontractduetomaterialbuild-uporclogging,oranyfailurebyPURCHASERtoperformmaintenance,cleaningand/orservicingoftheEquipmentthatSELLERdeemsappropriateinthecircumstances
若由于材料集结或阻塞或买方未采取卖方认为在该情况下应该采取的适当措施对设备进行维修、清洁及/或保养导致设备或其任何部分或部件未能按照本合同特别规定的规格标准运行，卖方对此不承担责任，买方将无权向卖方主张救济，亦无权要求卖方进行任何损害赔偿。
6.7Thespecificationsspecificallysetforthinthiscontractandreferencedinparagraph1oftheseAdditionalTermsandConditionsweredevelopedbasedonthe"
