Article2

（1）Inestablishing（举办）acontractualjointventure,theChineseandforeignparties（中外合作者）shall,inaccordancewiththeprovisionsofthisLaw,prescribeintheircontractualjointventurecontractsuchmattersastheconditionsforinvestmentorcooperation,thedistributionofearningsorproducts,thesharingofrisksandlosses,themannersofoperationandmanagementandtheownershipofthepropertyatthetimeoftheterminationofthecontractualjointventure.

（2）AcontractualjointventurewhichmeetstheconditionsforbeingconsideredasalegalpersonundertheChineselaw,shallacquirethestatus（资格）ofaChineselegalpersoninaccordancewithlaw.

Article3

（1）Thestateshall,accordingtolaw,protectthelawfulrightsandinterestsofcontractualjointventuresandoftheChineseandforeignparties.

（2）AcontractualjointventuremustabidebyChineselawsandregulationsandmustnotinjurethepublicinterestsofChina.

　（3）Therelevantstateauthoritiesshallexercisesupervisionoverthecontractualjointventuresaccordingtolaw.

Article4

Thestateshallencouragetheestablishmentofproductivecontractualjointventuresthatareexport-orientedortechnologicallyadvanced.

Article5

Toapplyfortheestablishmentofacontractualjointventure,suchdocumentsastheagreement,thecontractandthearticlesofassociationsignedbytheChineseandforeignpartiesshallbesubmittedforexaminationandapprovaltothedepartmentinchargeofforeigneconomicrelationsandtradeundertheStateCouncilortothedepartmentorlocalgovernmentauthorizedbytheStateCouncil（hereinafterreferredtoastheexaminationandapprovalauthority）.Theexaminationandapprovalauthorityshall,within45daysofreceivingtheapplication,decidewhetherornottograntapproval.

Article6

（1）Whentheapplicationfortheestablishmentofacontractualjointventureisapproved,thepartiesshall,within30daysofreceivingthecertificateofapproval,applytotheadministrativeauthoritiesforindustryandcommerceforregistrationandobtainabusinesslicense.Thedateofissuanceofthebusinesslicenceofacontractualjointventureshallbethedateofitsestablishment.

（2）Acontractualjointventureshall,within30daysofitsestablishment,carryouttaxregistrationwiththetaxauthorities（税务机关）.

Article7

IftheChineseandforeignparties,duringtheperiodofoperation（合作期限）oftheircontractualjointventure,agreethroughconsultation（协商同意）tomakemajormodificationstothecontractualjointventurecontract,theyshallreporttotheexaminationandapprovalauthorityforapproval.Ifthemodificationsincludeitemsinvolvingstatutoryindustryandcommerceregistrationortaxregistration,theyshallregisterthemodificationswiththeadministrativeauthoritiesforindustryandcommerceandwiththetaxauthorities.

Article8

TheinvestmentorconditionsforcooperationcontributedbytheChineseandforeignpartiesmaybeprovidedincashorinkind（实物）,ormayincludetherighttotheuseofland,industrialpropertyrights,non-patenttechnologyorotherpropertyrights.

Article9

（1）TheChineseandforeignpartiesshall,inaccordancewiththeprovisionsofthelawsandregulationsandtheagreementsinthecontractualjointventurecontract,dulyfulfilltheirobligationsofcontributingfullinvestment（缴足投资）andprovidingtheconditionsforcooperation.Incaseoffailuretodosowithintheprescribedtime,theadministrativeauthoritiesforindustryandcommerceshallsetanothertimelimitforthefulfillmentofsuchobligations.Ifsuchobligationsarestillnotfulfilledbythenewtimelimit（期限届满）,themattershallbehandledbytheexaminationandapprovalauthorityandtheadministrativeauthoritiesforindustryandcommerceaccordingtorelevantstateprovisions（国家有关规定）.

（2）TheinvestmentsorconditionsforcooperationprovidedbytheChineseandforeignpartiesshallbeverifiedbyanaccountantregisteredinChinaortherelevantauthorities,whoshallproduceacertificateafterverification.

Article10

IfaChineseorforeignpartywishestomakeanassignmentofallorpartofitsrightsandobligationsprescribedinthecontractualjointventurecontract,itmustobtaintheconsentoftheotherpartyorpartiesandreporttotheexaminationandapprovalauthorityforapproval.

Article11

Acontractualjointventureshallconduct（进行）itsoperationalandmanagerialactivitiesinaccordancewiththeapprovedcontractandarticlesofassociationforthecontractualjointventure.Therightofacontractualjointventuretomakeitsown（自主）operationalandmanagerialdecisionsshallnotbeinterferedwith.

Article12

（1）Acontractualjointventureshallestablishaboardofdirectorsorajointmanagerialinstitution（联合管理机构）whichshall,accordingtothecontractorthearticlesofassociationforthecontractualjointventure,decideonthemajorissues（重大问题）concerningthejointventure.

（2）IftheChineseorforeignpartyassumesthechairmanshipoftheboardofdirectorsorthedirectorshipofthejointmanagerialinstitution,theotherpartyshallassumethevice-chairmanshipoftheboardorthedeputydirectorshipofthejointmanagerialinstitution.Theboardofdirectorsorthejointmanagerialinstitutionmaydecideontheappointmentoremploymentofageneralmanager,whoshalltakechargeof（负责）thedailyoperationandmanagementofthecontractualjointventure.Thegeneralmanagershallbeaccountableto（负责）theboardofdirectorsorthejointmanagerialinstitution.

（3）Ifacontractualjointventure,afteritsestablishment,choosestoentrustathirdparty（中外合作者以外的他人）withitsoperationandmanagement,itmustobtaintheunanimousconsentoftheboardofdirectorsorthejointmanagerialinstitution,reporttotheexaminationandapprovalauthorityforapproval,andregisterthechangewiththeadministrativeauthoritiesforindustryandcommerce.

Article13

Theemployment,dismissal,remuneration,welfare,laborprotectionandlaborinsurance,etc.ofthestaffmembersandworkers（职工）ofacontractualjointventureshallbespecifiedincontractsconcludedinaccordancewithlaw.

Article14

（1）Thestaffandworkersofacontractualjointventureshall,inaccordancewithlaw,establishtheirtradeunionorganization（工会组织）tocarryouttradeunionactivitiesandprotecttheirlawfulrightsandinterests.

（2）Acontractualjointventureshallprovidethenecessaryconditionsforthejointventure'

stradeuniontocarryoutitsactivities（活动条件）.

Article15

（1）Acontractualjointventuremustestablishitsaccountbooks（会计账簿）withintheterritoryofChina,file（报送）itsaccountingstatements（会计报表）accordingtorelevantprovisionsandacceptsupervisionbythefinancialandtaxauthorities（财政税务）.

（2）Ifacontractualjointventure,inviolationoftheprovisionsprescribedintheprecedingparagraph,doesnotestablishitsaccountbookswithintheterritoryofChina,thefinancialandtaxauthoritiesmayimposeafine（处以罚款）onit,andtheadministrativeauthoritiesforindustryandcommercemayorderittosuspenditsbusinessoperationsormayrevokeitsbusinesslicense.

Article16

（1）Acontractualjointventureshall,bypresentingitsbusinesslicense,openaforeignexchangeaccountwithabankoranyotherfinancialinstitutionwhichispermittedbytheforeignexchangecontrolauthoritiesofthestatetoconducttransactionsinforeignexchange.

（2）Acontractualjointventureshallhandleitsforeignexchangetransactionsinaccordancewiththeprovisionsofthestateonforeignexchangecontrol（外汇管理）.

Article17

（1）Acontractualjointventuremayobtainloans（借款）fromfinancialinstitutionswithintheterritoryofChinaandmayalsoobtainloansoutsidetheterritoryofChina.

（2）LoanstobeusedbytheChineseandforeignpartiesasinvestmentorconditionsforcooperation,andtheirguarantees,shallbeprovidedbyeachpartyonitsown（自行解决）.

Article18

Thevariouskindsofinsurancecoverage（各项保险）ofacontractualjointventureshallbefurnishedbyinsuranceinstitutionswithintheterritoryofChina.

Article19

（1）Acontractualjointventuremay,withinitsapprovedscopeofoperation,importmaterialsitneedsandexportproductsitproduces.

（2）Acontractualjointventuremaypurchase,onboththedomesticmarketandtheworldmarket,therawandprocessedmaterials,fuels,etc.withinitsapprovedscopeofoperationontheprincipleoffairnessandreasonableness.

　　第二十条合作企业依照国家有关税收的规定缴纳税款并可以享受减税、免税的优惠待遇。

Article20

Acontractualjointventureshallachieveonitsownthebalanceofitsforeignexchangereceiptsandexpenditures.Ifacontractualjointventureisunabletoachievethebalanceofitsforeignexchangereceiptsandexpenditures（外汇收支平衡）onitsown,itmay,inaccordancewithstateprovisions,applytotherelevantauthoritiesforassistance.

Article21

（1）TheChineseandforeignpartiesshalldistributeearningsorproducts,undertakerisksandlossesinaccordancewiththeagreements
