经甲、乙双方协商一致，甲方现决定委託乙方为酒店艺术品顾问，（以下简称“合同”）。

合同条款和条件如下；

TheClientherebyawardsthisArtConsultancyAgreement（hereinafternamed“TheContract”）totheArtConsultant.ThetermsandconditionsoftheContractareasfollows:

1.合同内容TheContract

1.1本合同将为##############酒店所有室內範圍之藝術設計和挑選.

ThecontractscopeincludesartselectionforallinteriorspaceartofFujianSheratonHotel,China.

2.服务阶段ScopeofServices

各阶段工作完成时间见本合同附表。

若进度有调整，以甲方确认的实际进度为准。

Refertoappendix1forprojectschedule.Incaseofanychanges,Clientshalladvisethefinalschedule.

2.1阶段一艺术概念+创意

PhaseIArtConcept+Development

初期的讨论将由甲方和设计师建立明确的艺术品的需求范围。

指明设计艺术品的类型、质量和艺术品的总体方向的要求。

甲方和设计师提供设计的进度表和工程进度以使艺术品顾问能够及时跟进。

PreliminaryconferenceshallbeheldwiththeClientandinteriordesignertoestablishaclearscopeofareasrequiringartwork.Typesofartwork,quantityandoveralldirectionofartworkthemesshallbedeterminedaccordingtodesignbrief.Client/interiordesignertoprovide

designscheduleandprojectprogrammetoArtConsultanttofollow.

通过与设计师一起对平面，立面，物料…和透视图共同的探讨和分析，艺术品顾问将提供楼层示意图（兩分包括电子文件），显示艺术品/文物的位置，描绘艺术品/文物的基本概念和印象提供给甲方批准。

Uponreviewingandanalyzingtheinteriorfloorplans,elevations,moodboards,perspectivetogetherwithbrieffromtheinteriordesigner,theArtConsultantwillprepareschematicfloorplans（2setsandalsoindigitalformat）showingtheproposedlocations.Conceptualimagesoftheartworks/artifactsrepresentingthebasicconceptwillbepresentedforclient’sapproval.

2.2阶段二艺术品选择+規格

PhaseIIArtSelection

当第I阶段的工作被批准和接受并支付完成后，艺术顾问将演示各个不同区域总体艺术品/文物概念，完成日程计划和艺术品安放位置，在这个阶段将展示图片样本、主题、材质和尺寸的方案。

艺术品顾问将提供有关图纸和电子文件。

根据艺术品工作的日程计划将提出一个估价，这个艺术品/文物估价只是指导性的用来作为成本控制。

到甲方签字批准才进入下一阶段。

AfterreceiptofwrittenapprovalandpaymentfromtheClientforPhaseIwork,withconsultationwiththeClient/interiordesigner,theArtConsultantwillpresentanoverallartworks/artifactsconceptforthevariousareascompletewithscheduleofartworks,locationplansanddimensionsoftheartworks/artifacts.Imagereference,samplestoindicatestyle,subjectandmediumwillbepresentedatthisphase.Basedonthisartworksschedule,abudgetestimatewillbesubmitted.Theartworks/artifactsbudgetestimateisonlyguidanceforbudgetcontrol.Clientistosignoffartproposalbeforeproceedingtothenextphase.ArtConsultanttoproviderelevantdrawingsanddigitaldocuments.

2.3阶段三预算

PhaseIIIBudgeting

艺术顾问将准备必要的艺术品/文物供货和安装文件（包括电子文件）。

如果需要，艺术顾问将在甲方确认后合理的调整文件以符合预算要求。

TheArtConsultantwillpreparenecessarydocumentsforthesupplyandinstallationofartworks/artifacts（indigitalformat）Ifnecessary,ArtConsultantshallmakereasonableadjustmentstodocumentsinordertomeetthebudget.

2.4阶段四协调+监督

在这个阶段艺术顾问须访问确定的供应商使其了解艺术顾问的意图。

然而艺术顾问将不对艺术品供应商的执行和完成能力负有责任。

若甲方要求艺术顾问访问甲方推荐的供应商，则该访问的所有费用包括：

机票、住宿、餐费和交通费等将由甲方支付。

Duringthisstage,theArtConsultantshallmakefactory/studiovisitstoensurethattheworksofthemakersareconsistentwiththeintentoftheArtConsultant.However,theArtConsultantshallnotbeheldliableforthecompetenceinproperexecutionandperformanceoftheworkwhichareentrustedtotheprofessionalartsupplier.Forclientnominatedsuppliers,alltravelexpensesincludingairfare,accommodation,meals,transportation,etcshallbebornebytheClient.

2.5 阶段五交货+安装

完成第四阶段的工作后，艺术顾问将会同甲方进行最后的工地检查，设计师和甲方将根据招标文件和产品说明书检验合同的完成情况。

最终结果以甲方签字确认为准。

若在以上工作完成后甲方再委托艺术顾问附加大量的艺术品和/或文物设计，则必要时双方可另行协商相关费用。

UponcompletionofPhaseIVandreceiptofpayment,theArtConsultantshallconductafinalsitereviewinspectionwiththeClient,interiordesignerandtheawardedartsuppliertoverifythattheworkiscompletedinaccordancetothetenderdocumentationandspecifications.ThefinalreviewshallbecompletedwhentheClientcertifiestheapproval.Shouldmanyadditionalartworksand/orartifactsarerequiredduringthisfinalsiteinspectionthenaseparateadditionalfeeshallbesubmittedandagreedupon.

3.价格条款FEE

3.1合同总金额：

美金60,000.00（不包括发票或稅款）

3.2付款根据以下阶段分步进行：

Paymentswillbepayableprogressivelyinaccordancewiththefollowingschedule:

签定合同后（20%） USD12,000

阶段一艺术概念+创意（25%） USD15,000

PhaseIArtConcept+Development

阶段二艺术品选择（25%） USD 15,000

PhaseIISelection

阶段三预算（15%） USD9,000

PhaseIIIBudgeting

阶段四协调+监督（10%） USD6,000

PhaseIVCoordination+Inspection

阶段五交货+安装（5%） USD3,000

PhaseVDelivery+Installation

總計算﹕ USD 60,000

3.3合同总金额，不包括发票、税务、报关代理费用。

银行手续费由乙方自行負責。

本合同属于不含税的境外劳务合同，根据相关税法规定及税务机关的要求，需在合同签订后报税务机关核批，按笔代扣代缴相关税费后，甲方方可付款。

本合同未约定的相关情况，应以相关部门的法律法规规章等规定为准。

Thetotalcontractvalueexcludesofficialreceipts,usetaxes,customcharges.Each parties’bankchargeswillbebornebythemselves.

3.4 合同总金额中包括6次到###########33全部的差旅费（留宿一晚）。

3.6 於本合同有效期之内，如工程需附加出差次數到工地，費用由甲方支付。

按实报实销原則，藝術顧問可獲償還机票费用及所有暫墊費用包括酒店（留宿一晚,國際五星級酒店）、膳食和交通费费用。

AdditiontripstositeasrequiredbytheprojectwouldbebornebytheClient.ArtConsultantistobereimbursedairticketandalsoalloutofpocketexpensesincludingaccommodation（onenightoverstayininternationalfivestarhotel）,mealsandtransportationforthedurationofvalidityofthecontract.

3.7 乙方完成各阶段工作、并经甲方书面确认后，出具相应的发票经甲方确认后予以支付，其余在收到有效发票之日起三十日（30）内支付，甲方逾期付款每天按应支付费用0.3%向乙方支付违约金。

支付乙方的款项应以人民幣，并以电汇方式汇入指定的帐户.

UponcompletionofeachphaseandwithwrittenconfirmationfromtheClient,invoiceshouldbesettledwithin30daysuponpresentinginvoicesrelatingtotheproject.Ifpaymentisover30days,aninterestof0.3%perdaywillbelevied.TheClient’spaymentshouldbemadepayabletoOsageArtConsultancyspecifiedRMBdollaraccount.

4. 规定GENERALPROVISIONS:

以下条款,双方同意并履行:

Thefollowingresponsibilitiesareagreedto:

4.1甲方或设计师需提供给乙方相关的全套设计/运作要求、项目进度、项目预算明细等,以便

乙方进行设计深化。

TheClientand/orinteriordesignershallfurnishtotheArtConsultantfullinformationastotheirdesign/operationaldirections/requirements,projectschedule,projectbudgetbreakdownandallsuchinformation,whichshallbepertinenttothecreationandcarryingoftheartconsultancy.

4.2甲方或设计师需提供一套复印和光盘AutoCad室内设计建筑施工图和彩色效果图予乙方，

所有图纸需按比例绘制。

TheClientand/orinteriordesignershallprovideasetofhardandsoftcopyoftoscalerelevantdrawingsaswellascolorrenderingsandsampleofspecialeffectinteriorfittingoutmaterials.

4.3乙方不能控制，不赔偿和不负责任何与项目有关的施工方法、技术、程序、装配、供货期

或安全措施，以及没有按照装饰画及艺术品图纸安装所产生的后果。

TheArtConsultantshallnothavecontrolorchargeofthemeans,methods,techniques,sequences,orproceduresoffabrication,procurement,shipment,deliveryorinstallationorforsafetyprecautionsandprogramsinconnectionwiththework,fortheactsoromissionsofthesupplierorforthefailuretocarryouttheworkinaccordancewiththeartworkandartifactsdocuments.

4.4项目完成后，如乙方将此项目中现有的照片、图片，作为乙方的广告宣传材料使用的，须事先征得甲方的同意。

ItisexpresslyagreedbetweenthepartiesheretothattheClientuponcompletionprovidetheArtConsultantwithphotographsoftheprojectandallowtheArtConsultantaccesstothesiteaftercompletionandhavetherightinperpetuitytouseprojectphotographsandadvertisingcopyforuseinadvertising,publicrelations,andpressmaterialssupportingtheArtConsultant.

4.5 本合同未经双方协商一致不得任意终止。

任何一方如在没有合理理由的情况下要求终止本合同，应提前30天通过书面形式通知对方。

Bothpartiescannotterminatecontractwithoutmutualagreement.Thisappointmentmaybeterminatedbyeitherpartyupona30-daynoticeinwritingtotheother.Howeveronepartyhastherighttorequestcontinuationofcontracttotheother.

4.6当甲方非因乙方原因提前终止本合同时，甲方将支付乙方已完成部分工作的费用。

IntheeventofearlyterminationnotcausedbytheArtworkConsultant,theClientshallpayuptotheworkcompleteduponsuchearlytermination.

4.7双方均应遵守本合同约定，切实履行合同义务。

任何一方如有违约行为，应承担相应的违约责任。

Bothpartiesshallcarryoutthedutiesinthiscontract.Ifanypartiesintendtoviolatethecontractinanymeans,he/sheshallbearanyliabilitiescaused,

4.8乙方應按本合同附表的工作進度、配合其他設計/工程進度、逐步完成各階段的設計，若延遲，則乙方应向甲方支付按該延遲部分的設計費用、以每逾期一天支付0.3%的利率計算的違約金；

若延遲三十（3０）天以上，則甲方有權單方解除本合約，乙方除退还甲方已付费用外，且乙方應按本項目合同總金額的10％向甲方支付違約金。

TheArtConsultantwillcarryoutworkaccordingtotheprojectscheduleasstatedatappendix1.IfArtConsultantworkisdelayedbymorethan30days,theArtConsultantshallcompensatetheClientthedaysdelayedwith0.3%interestperday.Ifthedelayismorethan60days,theClienthastherighttoterminatethecontractandtheArtConsultantshallcompensatetheClient10%ofthecontractsum.

5.语言LANGUAGE

5.1本合同若以中、英文兩種
