×××Project（“theProject”）consistsof3landZoneswith×××m2ZoneA,×××m2ZoneBand×××m2ZoneDwhicharelocatedonWestSideto×××Road,ShanghaiCity,China.ZoneAwillbedevelopedasaluxuryresidentialarea,ZoneBwillbedevelopedasbeach-frontluxurycommercialpropertiessuchasshopsandrestaurants,andZoneDwillbeaclubhouse,agolfdrivingrangeandlandscapedgarden.Inaddition,×××m2ZoneCmaybeusedforthefurtherdevelopmentoftheProject.Thedetailsareshowninattachment1oftheAgreement.

×××项目（“项目”）由坐落于中国上海市×××路的×××平方米的A区、×××平方米的B区以及×××平方米的D区三个区域组成。

A区将建成高档住宅；B区将建成海边高档店铺以及餐馆等商业物业；D区将有一个会所、一个高尔夫练习场以及景观花园。

此外，×××平方米的C区将作为未来项目进一步发展的用地。

详细情况在协议的附件1中进行了描述。

PartyAwillbethedeveloperoftheProject.

甲方将成为项目的开发商。

ThisAgreementisconcludedtodeterminetherightsanddutiesofbothpartiesinregardstotheabovenamedproject.TheAgreementshallbeinconcordancewiththerelevantlawsoftheP.RChina.

为确定双方在上述项目中的权利与义务,特订立本协议。

本协议应符合中华人民共和国相关法律的规定。

Language:

Allcorrespondence,meetingminutes,plansandprojectdescriptionsshallbebilingualinChineseand　English.　IncaseofdiscrepanciestheChinesewillprevail.

语言：

所有函件、会议记录、平面图与项目说明应该采用中英文两种文字。

如有歧义，以中文为准。

90%ofthetotaldesignworkwillbeconductedintheUSA,intheLosAngelesOfficeofPartyB. PartyBwillonlyconductthesitevisitandclientmeetinginChina.

设计工作中的90％将在美国境内、乙方的洛杉矶事务所完成，乙方在中国国内的进行的唯一工作是与甲方会晤和现场踏勘。

PARTYB’SBASICSERVICES

设计顾问的基本服务

AspartoftheProject’smixedusedevelopment,baseduponaMasterplanby×××（seeattachment1oftheAgreement）DesignConsultantshallprovidethefollowingservices:

作为项目综合用途开发的一部分，设计顾问应在×××的总体规划（参见合同附件2）的基础上提供以下服务：

A. ArchitecturalDesignof××Villas（seeattachment3oftheAgreement）withatotalofapprox.×××m2.DesigntoDesignDevelopmentLevel+TypicalDetails+ArtisticSiteSupervision

××幢别墅（参见合同附件3）的建筑设计，总面积约×××平方米。

设计深度：

扩初设计+典型详图+艺术现场质量管理。

B. ArchitecturalDesignofApprox.×××m2commercialdevelopmentforshopsandrestaurantsatwaterfront（seeattachment3oftheAgreement）.DesigntoDesignDevelopmentLevel+TypicalDetails+ArtisticSiteSupervision

滨海地区店铺和餐馆等商业性开发（参见合同附件3）的建筑设计，面积约×××平方米。

设计深度：

扩初设计+典型详图+艺术现场质量管理

C. ArchitecturalDesignofapprox.×××m2hotel（seeattachment3oftheAgreement）.Thedesignservicesarelimitedtoaconceptualstudytovisualizethepotentialofthesiteforresorthoteluse.

酒店（参见合同附件3）的建筑设计，面积约×××平方米。

设计服务仅限于概念性研究以便设想该地块作为度假酒店的潜力。

1.SCOPEOFWORK

1.工作范围

TheprojectwillbedevelopedaccordingtothefollowingPhases

本项目将根据以下阶段进行深化：

1.1.CONCEPTUALDESIGNPHASE

1.1.概念设计阶段

DesignConsultantwillconsultwiththeClienttodevelopaprogramandconceptualizepossiblesolutionsandanalyzeexistingconditions.

设计顾问将与业主咨询以编制设计任务书，及概念性地归纳出可能的办公空间的解决方案，并分析现有条件。

DesignConsultantwilldevelopaConceptualDesignbasedupontheprogram.Thiswillincludewrittenandgraphicpresentation.Thegraphicpresentationwillincludeplansandelevations,aswellas3-dimensionalconceptualimagesofthedesignandothernecessarymeansofcommunicatingthedesign.

设计顾问将以此任务书为基础进行概念设计，包括文字和图纸方式的设计汇报成果。

汇报图纸将包括空间的平、立面图、3d设计概念图、以及其他必要的设计交流的方式。

TheInitialSubmissionshallbeDigitalinPDFFormat,andprintedas10ColorfulBrochuresinA3Format.

成果应包括PDF格式的电子文件、以及10份A3规格的彩色文本。

Withina4weekperiodaftertheinitialsubmission,theDesignConsultantwillrevisetheconceptualdesignaccordingtoClientsrequirementsandwillpreparethefollowingdocumentsincludingA0PanelsforGovernmentPresentation.

在提交初步成果4周的时间内，设计顾问将根据业主要求修改概念设计，并负责准备下列向有关部门进行汇报的设计文件（包括A0展示板）。

1.2.SCHEMATICDESIGNPHASE

1.2.方案设计阶段

BasedontheapprovedConceptualDesignandapprovedprogram,DesignConsultantwilladjusttheDesignaccordingtoClientsrequirementsanddevelopthedesigntoschematicdesignlevel;evaluatemeansofconstruction,materials,colorschemes,andfinishesforoverallreview.DesignConsultantwillconsultwiththeｅｘｅｃutivearchitectaboutmechanicalandstructuralmattersconcerningtheSchematicDesign,butwillnotperformanystructuralormechanicalservicesitself.IncasetheClientrequestssubstantialchangesincomparisontothepreviouslyapprovedConceptualDesign,additionaldesignworkshallbebidoutseparateofthiscontractorbilledatanhourlyrate.

设计顾问在经审定的概念设计与设计任务书的基础上，根据业主要求调整总平面，并深化设计，达到方案设计的深度：

同时，对施工方法、选材、配色方案以及装修等进行评价和总体分析。

设计顾问将就与方案设计相关的设备与结构事宜，与总建筑师或者总承包人商讨，但本身不会承担任何结构设计或设备设计的服务。

如果业主要求对先前已审定的概念设计进行重大改动，其额外的设计工作应在本合同之外另行报价或采用小时费率进行收费。

1.3DESIGNDEVELOPMENTPHASE

1.3初步设计阶段

BasedontheapprovedSchematicDesignandapprovedprogram,DesignConsultantwilldevelopthedesigntodesigndevelopmentlevel;evaluatemeansofconstruction,materials,colorschemes,andfinishesforoverallreview.DesignConsultantwilldeveloptypicalconstructiondetailsforkeydesignelements.DesignConsultantwillconsultwiththeｅｘｅｃutivearchitect,generalcontractorandengineersaboutmechanicalandstructuralmattersconcerningtheDesignDevelopmentbutwillnotperformanystructuralormechanicalservicesitself.IncasetheClientrequestssubstantialchangesincomparisontothepreviouslyapprovedSchematicDesign,additionaldesignworkshallbebidoutseparateofthiscontractorbilledatanhourlyrate.

设计顾问在已审定的方案设计和任务书的基础上，继续深化设计，达到初步设计的深度：

对施工方法、选材、配色方案、装修等进行评价和总体分析。

设计顾问将为关键的设计元素提供标准施工细部大样。

设计顾问将就与初步设计相关的设备与结构事项，与总承包人和工程师协商，但本身不会承担任何结构或设备的设计服务。

如果业主要求对先前已审定的方案设计进行重大改动，其额外的设计工作应在本合同之外另行报价或采用小时费率进行收费。

1.4CONTRACTDOCUMENTPHASE

1.4施工图设计阶段

Theclientwillhireanｅｘｅｃutivearchitectforthisphase.BasedonapprovedDesignDevelopmenttheｅｘｅｃutivearchitectorgeneralcontractorwillproducetheConstructionDocuments.DesignConsultantreservestherighttokeeptheartisticsupervisionontheprojectandtoconsulttheｅｘｅｃutivearchitectinthisphase.

业主将在本阶段聘请一位总建筑师。

总建筑师或者总承包人将在已审定的初步设计的基础上编制施工图文件。

设计顾问保留本工程的艺术监理权利、以及在此阶段与总建筑师商讨相关工作的权利。

1.5CONSTRUCTIONPHASE-------ADMINISTRATIONOFTHECONSTRUCTIONCONTRACT

1.5.施工阶段-施工合同的管理

Theclientwillhireanｅｘｅｃutivearchitectorgeneralcontractorforthisphase.DesignConsultantreservestherighttokeeptheartisticsupervisionontheprojectandtoconsulttheｅｘｅｃutivearchitectorgeneralcontractorinthisphase.DesignConsultantwillconsultonanyadjustmentstothedocumentsshouldtherebeanydiscrepanciesbetweentheexistingconditionsthatariseafterconstructioncommencesandtheconstructiondocuments.Theamountofsitevisitsislimitedtofifteentimesasofthisagreement.AnyadditionalrequestedsitevisitshallbeconsideredAdditionalServicesandbecompensatedassuch.

业主将在本阶段聘请一位总建筑师或者总承包人。

设计顾问保留本工程的艺术监理权力、以及在此阶段与总建筑师或总承包商商讨相关工作的权利。

如果施工开始以后出现的实际情况与施工图不符，设计顾问可以就设计文件的调整提供咨询。

本协议中规定的现场考察次数限为十五次。

除此以外，任何另外的现场考察要求应视为额外服务，应获得相应报酬。

2.ADDITIONALSERVICES

2.额外服务

ServicesnotdescribedaboveshallbeconsideredtobeAdditionalServices.AdditionalServicesshallbeprovidedonlyifauthorizedorconfirmedinwritingbytheClient. AdditionalServicesshallinclude,butnotbelimitedto:

未在上文里说明的服务均应视为额外服务。

额外服务应在业主书面授权或确认的情况下才能提供。

额外服务项目应包括、但不限于：

2.1Makingrevisionsindrawings,specificationsorotherdocumentswhensuchrevisionstothedesigndocumentsareinconsistentwithapprovalsorinstructionspreviouslygivenbyClient,includingthosemadenecessarybyadjustmentsinClient’sprogramorbudget.

2.1与业主先前的确认或指示不一致的设计文件的修改（图纸、说明和其它文件的修改），包括因业主调整设计任务书或预算而进行的必要修改。

2.2Makingrevisionsrequiredbyenactmentorrevisionofcodes,lawsorregulationssubsequenttothepreparationofDesignConsultant‘sdocuments.

2.2根据设计顾问的文件编制完成之后才制定或修订的规范、法律或规定的要求而进行的设计修改。

2.3MakingchangesrequiredasaresultofClient’sfailuretorenderdecisionsinatimelymanner.

2.3由于业主未能已及时做出决定而需要进行的改动。

2.4ProvidingservicesrequiredbecauseofsignificantchangesintheProject,includingsize,schedule,materials,methodofbiddingorconstructioncontractingorconstructionmanagement.

2.4因工程的重大变化（包括工程规模、进度、材料、招标方法、或施工承包或施工管理等）的要求而提供的相应服务。

2.5PreparingdocumentsevaluatingContractor’sproposals,andprovidingotherservicesinconnectionwithChangeOrdersorConstructionProposals.

2.5编制评估承包商投标书的文件，并提供其它与工程变更通知或施工投标书相关的服务。

2.6ProvidingservicesinconnectionwithContractor’srequestforsubstitutions.

2.6提供与承包商的代理要求相关的服务。

3.OWNER’SRESPONSIBILITIES.

3.业主的责任

3.1ClientshallfurnishtotheDesignProfessionalonatimelybasisallinformationnecessaryandrelevantfortheDesignConsultanttoperformitsworkunderthisagreement.

3.1业主将及时向设计专业人员提供设计顾问在本协议下开展工作所必需的所有相关资料。

3.2ClientshalldesignatearepresentativeauthorizedtoactontheClient’sbehalfwithrespecttotheProject.TheClientorsuchdesignatedrepresentativeshallrenderdecisionsinatimelymannerinordertoavoidunreasonabledelayintheorderlyandsequentialprogressoftheDesignConsultant‘s
