　　article2scopeofthecontract

　　2.1.partyaagreestoacquirefrompartybandpartybagreestotransfertopartyathepatentedtechnologyforcontractproducts.suchpatentedtechnologyshallbeinexactaccordancewiththetechnologyofpartyb'

slatestproducts.

　　2.2partybgrantspartyathenon-exclusiverighttodesignandmanufacturecontractproductsinchinaandtomarkdtthesaidproductsinchinaandabroad.

　　2.3partybshallberesponsibletoprovidepartyawithdocumentsrelevanttothesaidpaptentsandwithspecialfittingsofthesamplemachinetheirconcretedetailsandscheduleofdelivarybeingsetoutinappendix2tothecontract.

　　2.4thecontractdoesnotcoverthepatentedtechnologyforthepartsfromothercoun-tres.butpartybshallprovidepartyawiththespecimensandthetecincalspecificationsand　thenameofthemanufacturersoftheparts.

　　2.5partybshallberesponsibleforthetrainingofpartya'

stechniclpersonnelinpartyb'

srelevantfacilitiesandalsodoitsbesttoenablepartya'

stechnical　personneltomasterthepatentedtechnplogyoftheaforesaidcontractproduct（detailsasperappendix5tothecontract）.

　　2.6partybisobligedtosendatitsownexpensetechnicalpersonneltopartya'

　　2.7ifitisrequiredbypartya.pafrtybshallbeunderanobligationtoprovidepartyaatthemostfavourablepricewityparts，accessories，rawmaterials，fittings，etc.forcon-trademarkthetwoparties.

　　2.8partybgrantspartyatherignttousepartyb'

strademark，andusethecombinedtrade，markofbothpartiesormarkthewouding'

productionaccordingto　licensor'

onthecontractproduets.article3priceofthecontract

　　3.1priceofthecontractshallbecalculatedonroyaltyinaccordancewiththecontentandscopesipulatedinartice2tothecontractandshallbepaidin___________.

　　3.2royaltyunderthecontractshallbepaidfrom__________monthsafterthethedateofcomingintoeffectofthecontractintermsofcalendaryear.thedateofsettlingaccountsshallbe31，decemberofeachyear.

　　3.5thecontractproductssoldbypartyapursuanttothepatentlicensehereingrantedshallbedeemedtohavebeensoldwhenpaidfor.

　　3.6ifthecontractproductsarereturnedorallowancesmadethereonaftertheroyaltythereonhasbeenpaidpartyashallbeentitledtotakeppropriateerditforsuchoverpay-mentagainstroyaltiesthereafteraccruing.

　　3.7ifpartybdemandtoaudittheaccountsofpartya，itshallnoticepartyawithin　l0（ten）daysafterreceivingthewrittennoticeofpartyainaccordancewitharticle

　　3.4ofthecontract.thespeeificcontentandprocedureofauditingaccountsaredetailedinappendix4tothecontract.article4couditionsofpayment

　　5.1technicglservice

　　5.1.lduringthevalidityperiodofthecontract，partybshallsendaspecialistto　partya`sfactorytoexplainthedrawingsandtechnicaldocumentsandtoprovideteehnicalserviseindesigning.manufacturing，adjustment，inspectionandmaintenanceofthecontractedpro-duetsotoeheblepartyatouse，asfastaspossible，homematerials　andrawcomponentswithoutaffeetingthepropertiesoftheproductssomanufactured.

　　5.1.2partybshalltwicesendit'

　　5.l.3thefirsttechnicalservicesha1lstartinthesixthmonthafterthecontraytcomesintoeffect.partybshallsendaspecialisttopartya'
