WHEREAS,theParties,awareoftheirrespectiveobligationsheretomentionedhaveenteredintothisAgreement,obligateandbindthemselveslegallyunderwarrantyandmanifestwithfullpersonalandlegalresponsibilitiesthattheyarecapableandfinanciallystabletoenterintothisagreementanddischargetheirobligationswithcommitmenttodeliverperformanceinaccordancewiththetermsandconditionshereinobtainedinthisagreement.
TheLesseedesirestoleaseSBLCfromtheProvider.LesseeconfirmswithfullcorporateandlegalresponsibilitythatfundsavailabletofulfilltherequirementsfortheleaseofthisinstrumentisreadyandLesseefurtherconfirmtocooperatewiththeProvider.
WHEREAS.TheProviderdesirestolease,transferandassignallrightstitleandinterestoftheBGavailabletoittotheLessee.Providerrepresentsandwarrantsthatithastheabilityandresourcetoarrangethroughassociates,contractsandsources,withfullcorporateresponsibility,financialinstrumentinthetermofassignmentstobeprovidedtoLessee.ProviderherebydeclaresunderpenaltyofperjurythattheSBLCwillbebackedbyfundsthataregood,clean,clear,andfreeofnoncriminalorigin,theSBLCwillbefreeandclearofallliens,encumbrancesandthirdpartyinterests.
NOWTHEREFORE,theLesseehasagreedtoleasetheSBLCat8%ofFaceValuefortheinstrumentrequestedandProviderhasagreedtoissueforleaseandbothPartiesherebyagreetothefollowing:

TRANSATIONPROCEDURE交易手续：
1.LesseesignsandsubmitstheAgreement（DOA）withfullbankingdetailsalongwithCIS,CertificateofIncorporation,BoardResolution,SignatorypassportcopyandIFPAtoProvider.
租证方签署本协议并附上全部银行信息提交给Provider，同时应一并提交CIS（客户信息表）、公司营业执照、董事会决议和签名护照复印件。
2.ProvidercountersignstheAgreementandreturnsittotheLesseealongwithProvider’sfullbankinginformation,CertificateofIncorporation,Signatorypassportcopy,whichmakestheAgreementbecomeafullcommercialrecourseandlegalcontractbindingonthepartiesandbothpartieslodgethecontractwithrespectivebank
开证方在确认接证方又能力接证后会签回该文档并附上开证的银行资料公司执照以及签署者的护照信息。
当双方都签署了该协议后，该协议将具有法律约束，具有完整的商业追索合约。
同时该协议会转给银行作为存底。
3.Within3bankingdaysuponreceiptofthecountersignedDOA,theLesseeshallinstructhisbanktoissuesaICBPO（AnnexB）byMT799totheProvider’sdesignatedbankaccountforleasingfeeof8%offacevalueofbankinstrumentofFirsttranche
在收到经会签的本协议的三个银行工作日内，租证方指示其银行开出MT799格式的ICBPO（附件B），用以面额8%的首笔配款租金。
4.Within3bankingdaysafterreceiptandverificationoftheICBPO,ProviderwillinstructhisissuingbanktoissueanddelivertheBankInstrument（AnnexA）bySWIFTMT760infavoroftheLesseeorhisdesignatedpartytoLessee’sreceivingbankforverificationandAuthentication.
经确认收到ICBPO后的三个银行工作日内，Provider应指示其开证行开出并邮寄以租证方或租证方指定的某一方为受益人的SWIFTMT760备用信用证给租方接证行，供验证并确认。
5.Within5bankingdaysuponreceipt,verification&authenticationandvalidationofMT760BankInstrumentonbanktobankbasis,Lesseebankwilleffectfullpayment8%leasingfeetoProvider’sdesignatedbankaccountbySwiftwireasperICBPOandpays2%commissionintorespectivepaymasterasperFPA.
在收到了MT760的5个银行工作日后依据有关协议付款。
6.Within7bankingdaysafterreceiptofpaymentoftheleasingfeesandcommission,theProviderbankwilldeliverthehardcopyoftheBankinstrumenttotheLessee'sbankbybankbondedcourier.
在收到有关款项的7个工作日内，银行用银行快递将SBLC正本送到接证方银行。
7.ShouldLesseefailstopaythe8%leasingfeesand2%commissionwithinallowedtimestipulatedintheAgreementafterconfirmationofSBLCMT760inLessee’sbankaccount,ProviderwillinstructtheissuingbanktoputaclaimontheBankInstrumenttherebyforcingtheLessee'sbanktoreturntheBankInstrumentMT760totheissuingBank.
如果有关费用，开证方会授权起银行将该SBLC撤销。
8.UnauthorisedBankCommmu你才同：
Neitherpartyisallowedtoprobeorcontactthebankoftheotherpartywithoutauthorizationwrittenoftheparty.Anyunauthorizedcontactactisbreachofthecontract.AndtheDeedofagreementisconsideredVoidandNull.
任何一方在没有允许的情况下不能与对方的银行联系。
如果在未经许可的情况下联系，将视为违法，此协议将被终止。
NON-SOLICITATION禁止招揽
TheLesseeherebyconfirmsanddeclaresthattheProvider,itsassociatesorrepresentativesoranypersonorpersonsonitsbehalfhas/havenevereversolicitedtheLessee,itsshareholdersorassociatesorrepresentativesinanywaywhatsoeverthatcanbeconstruedasasolicitationforthistransactionorforfuturetransactions.
租证方兹声明
PENALTY违约责任
Anydelayinorfailureofperformancebyeitherpartyoftheirrespectiveobligationsunderthisagreementtheyshallpay5%ofthetransactedfacevalueofthesaidtrancheaspenalty.
Anydelayinorfailureofperformancebyeitherpartyoftheirrespectiveobligationsunderthisagreementshallnotconstituteabreachhereunderorgiverisetoanyclaimsfordamagesif,andtotheextentthatsuchdelaysorfailuresinperformancearecausedbyeventsorcircumstancebeyondthecontrolofsuchparty.
Theterm“BeyondtheControlofSuchParty“IncludeLawfulorderofGovernmentorAuthority,ActofWar,RebellionorSabotage,Fire,Flood,Earthquakeorothernaturaldisasters.Anyothercausenotwithinthecontrolofsuchpartyorwhichisbyexerciseofreasonablediligence,thepartywillbeunabletoforeseeorpreventorremedy.
任何一方在履行本协议项下各自的义务时，若出现迟延或无法履行，需支付备用信用证面额的5%作为违约金。
ARBITRATION仲裁
Alldisputesandquestionswhatsoeverwhicharisesbetweenthepartiestothisagreementandtouchingonthisagreementontheconstructionorapplicationthereoforanyaccountcost,liabilitytobemadehereunderorastoanyactorwayrelatingtothisagreementshallbesettledbythearbitrationinaccordancewiththearbitrationlawsoftheICC.
双方因本协议而产生的，或与本协议之缔结、适用相关的任何争端、疑问，以及由此产生的任何银行账户费用和赔偿金，均依据国际商会仲裁法案，通过仲裁解决。
Thisagreementcontainstheentireagreementandunderstandingconcerningthesubjectmatterhereofandsupersedesandreplacesallpriornegotiationsandproposedagreements,writtenororal.Neitherofthepartiesmayalter,amend,normodifythisagreement,exceptbyaninstrumentinwritingsignedbybothparties.ThisagreementwillbegovernedbyandconstruedinaccordancewiththelawsofUnitedKingdom.Intheeventthateitherpartyshallberequiredtobringanylegalactionsagainsttheotheritenforceanyofthetermsofthisagreementtheprevailingpartyshallbeentitlestorecoverreasonablyattorneyfeesandcosts.
本协议包含与合同主旨相关的全部约定及合意事项。
所有先前的协商意见与提议，无论是口头的还是书面的，均为本协议所取代。
除非经双方书面的签署文件同意，任何一方不得对本协议作出改动、修正或调整。
本协议受英联邦法律之约束并解释。
任何一方若需将另一方诉诸法律，必须完全服从本协议的全部条款；占优一方有权获取合理的律师费用补偿。
