（3）PackingListin2originalsand2copiesissuedbythemanufacturerwithindicationofshippingweight,numberofpackageanddateofcorrespondinginvoice.

（4）CertificateofOrigininoneoriginalandtwocopies.

（5）Onecopyofe-mailtotheBuyeradvisingparticularsofshipmentimmediatelyaftershipmentismadeasperthestipulationsofClause7.Inaddition,theSellershall,within7daysaftershipment,sendbyregisteredairmailonesetoftheaforesaiddocumentsdirectlytotheBuyer.

8.GUARANTEEOFQUALITY/INSPECTION:

TheSellerguaranteesthatthecommodityhereofiscompleteOriginalsparepartsforgeophysicalequipmentmadebythebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequality,performanceandspecificationsstipulatedinthiscontractandconformstothetechnicalmanualsofthecommoditiescontracted.Shouldthequalityandspecificationsofthegoodsbenotinconformitywithcontract,theBuyerreservestherighttocancelthecontractandtoclaimagainsttheSellerforalloflossesarisingtherefrom.

9.SHIPPINGADVICE:

TheSellershall,immediatelyuponthecompletionoftheloadingofthegoods,advisebyfax/telextheBuyeroftheContractNo.,commodity,quantity,invoicedvalue,grossweight,nameofvesselanddateofsailing,etc..Ifanypackageofwhichtheweightisabove9metrictonsanddimensionsreachorexceed12metersinlength,2.7metersinwidthand3metersinheight,theSellershalladvisetheBuyeroftheweightandmeasurementofeachpackage.Thedetailofinflammableanddangerousgoodsifany,shallalsobeindicated.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSellernothavinginformedintime,alllossesresultingthereforshallbebornebytheSeller.

10.CLAIMS:

Within90daysafterthearrivalofthegoodsatdestination,shouldthequality,specifications,orquantitybefoundnotinconformitywiththestipulationsofthecontract,theBuyershallhavetherighttoclaimforreplacementwithnewgoods,orforcompensation,andalltheexpenses（suchasinspectioncharges,freight,insurancepremium,storageandloadingandunloadingcharges,Customsservicechargesandetc.forreturningthegoodstotheSellerandforsendingthereplacementstotheEnduser’splantsite）shallbebornebytheSeller.Asregardsquality,theSellershallguaranteethatif,within18monthsfromthedateofarrivalofthegoodsatdestination,damagesoccurinthecourseofoperationbyreasonofinferiorqualityofbadmaterialorbadworkmanship,theBuyershallnotifytheSellerimmediatelyinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbylocalInspectionBranchoftheStateAdministrationforEntry-ExitInspectionandQuarantineofAlgeria.

TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSeller,inaccordancewiththeBuyer'sclaimshallberesponsiblefortheimmediateeliminationofthedefect（s）,completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect（s）.Wherenecessary,theBuyershallbeatlibertytoeliminatethedefect（s）himselfattheSeller'sexpenses.IftheSellerfailstoanswertheBuyerwithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallberegardedashavingbeenacceptedbytheSeller.

11.FORCEMAJEURE:

NeitherpartyshallbeheldresponsibleforfailureordelaytoperformalloranypartofthisContractduetowar,seriousfire,flood,typhoonandearthquakesorothereventsthatareunforeseeableatthetimeoftheexecutionofthisContractandcouldnotbecontrolled,avoidedorovercomebysuchparty.However,thepartywho'sperformanceisaffectedbytheeventofForceMaijeureshallgiveanoticetotheotherpartyofitsoccurrenceassoonaspossibleandacertificateoradocumentoftheoccurrenceoftheForceMajeureeventissuedbytheCompetentGovernmentAuthorities,ortheRegisteredNotaryPublicshallbesenttotheotherpartynotlaterthanfourteendaysafteritsoccurrence.Undersuchcircumstances,however,eitherpartyisstillundertheobligationtotakeallnecessarymeasurestoexpeditetheexecutionofthecontract.Incasetheaccidentlastsformorethan10weeks,eitherpartyshallhavetherighttocancelthecontract.

12.LATEDELIVERYANDPENALTY:

ShouldtheSellerfailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofForceMajeurecausesspecifiedinClause11ofthiscontract,theBuyershallagreetopostponethedeliveryonconditionthattheSelleragreestopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthedelivery.Therateofpenaltyischargedat0.5%forevery7days,odddayslessthan7daysshouldbecountedas7days.IncasetheSellerfailstomakedelivery10weekslaterthanthetimeofshipmentstipulatedinthecontract,theBuyershallhavetherighttocancelthecontract.Ifthecontractiscanceledforlatedelivery,theSeller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerwithoutdelay,andalsoshallindemnifytheBuyerfortheinterestlossandbankservicefees.

13.ARBITRATION:

Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissionandthearbitrationrulesofthisCommissionshallbeapplied.ThearbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommitteeshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.

14.EFFECTIVENESSOFCONTRACT:

（ProposalA）Thiscontractshallcomeintoforcefromthedateofsignatureofthiscontractbybothparties.（ProposalB）Thepresentcontractissignedbyrepresentativesofbothparties.TheBuyerandSellershallapplyto

theirrespectiveauthoritiesfortheratification.ThelaterdateofratificationeitherbytheSellerorbytheBuyershallbetakenasthedateofcomingintoforceofthecontract.However,bothpartiesshallmakeeffortstogettheratificationwithin60days.

Eachpartyshallinformtheotherofsuchratificationbyfaxandconfirmbyletter.Incasethepresentcontractcannotberatifiedwithin3monthsfromthedateofsigningthepresentcontract,eitherpartyhastherighttocancelthecontract.

15.INCOTERMS:

UnlessotherwisestipulatedinthisContract,thetermsandconditionsofthisContractshallbeinterpretedinaccordancewiththe"InternationalRulesfortheInterpretationofTradeTerms"（INCOTERMS1990）providedbyInternationalChamberofCommerce,InternationalChamberofCommercePublicationNo.460.
