卖方和买方彼此同意以下条款：

此合同由买卖双方共同签订，就以下提及的货物的买卖制定了以下条款 ：

ARTICLE2第二条款COAL煤炭

BuyerwishestopurchasefromtheSellerandtheSellerwishestoselltotheBuyerthenoncokingIndonesiansteamcoalinbulkofIndonesianoriginof70,000MT+/-10%（2shipmentsof35,000MT）everymonthfor36monthsasperthe  shippingschedulemarkedasannexureA

买方将从卖方购买产地为印度尼西亚的蒸汽煤，每个月70,000MT+/-10%（每船3.5万吨，每月2船），为期 36 个月，供货安排请参加附录A。

ThequalityandsizeoftheCoalsuppliedineachShipmentshallbedeterminedinaccordancewithintherejectionlimitsstipulatedinthetablebelow.  TheSellershalluseallreasonableendeavorstosupplyCoalineachShipmentofanaveragespecificationdescribedasaTypicalValueinthetablebelow

每次运到的煤炭的品质将优于下表所列的拒收指标。

卖方将尽可能提供品质稳定的煤炭，其平均指标都符合下表所列的标准指标。

ARTICLE3第三条款PURCHASEPRICE购买价格

ThepurchasefortheCoaltobedeliveredpursuanttothisContractshallbetheUSD95/MTCargoandfreight（CFR）tomajorportsofSouthChina.90%paymentonloadingandtheremaining10%paymentupontestinginChinabyCIQstandardsdeliveryistobefullysecuredonamonthlybasisbyviairrevocablerevolvingL/Catsightatloadingport.

依照合同显示，买方购买卖方印度尼西亚蒸汽煤（原煤）的价格是每吨 95美元 （CFR）到航船的抛锚地点, 为中国南部的主要港口。

90%的货款将在装船完成后支付，其余的10%货款将在货物到达港口，通过中国CIQ检测后支付。

需要按月在装船港口用不可撤销信用证做付款保证。

TheBuyershallcommenceatrialorderof35,000MT.  Ifthetrialissuccessfulanddeliveredintheprovisionsofthecontractthecontractwillautomaticallyrollintoasupplycontractof70,000MTpermonth（2shipmentsof35,000）for36monthsaspertheshippingscheduleinannexureA.TheSalePriceshallberenegotiatedevery3or6monthly.Onceconfirmedbybothpartiesthecontractwillresume.Thecontractiscompletedoncethe36monthsarefulfilledandcanbeextendedbymutualconsent.

买方将开始购买3.5万吨作为试用. 试单顺利完成之后，双方将自动进入一个每月供应7万吨（2船，每船3.5万吨）的长期供货合同为期36个月，供货安排参见附录A。

销售价每3或 6个月由买卖双方协商决定，经双方同意后继续生效合。

合同为期36个月，如双方无异议，合同可续延。

ARTICLE4第四条款WEIGHT,IMPURITIES,QUALITY,SAMPLING,ANDANALYSIS

称重、杂质、质量、抽样及分析

1.    SurveyonqualityandquantityoftheCoalshallbecarriedoutbyPTSUCOFINDO（ATSMStandards）attheLoadingPort.

煤的质量和数量的检验是由印尼的SUCOFINDO国际质量鉴定员在装载港实行检验。

2.    TheSurveyReports（CertificateofSamplingandAnalysisReportandCertificateofWeightSurvey）costsattheLoadingPortshallbebornebySeller.SuchreportsshallbeusedasthebasisfortheB/Lweight.

从装载煤到达港口后的检验报告（质量和数量）费用将由卖方承担。

 这份报告将被用于确定煤炭的运单重量。

3.    ThefinalweightshallbedeterminedaccordingtotheDraftSurveyperformedbyPTSUCOFINDOattheLoadingPort.

煤炭的确认的重量是根据印尼 SUCOFINDO的国际质量鉴定员在装货港口执行的备案检验来确定

4.    QualityasperqualitycertificateissuedbyPTSUCIOFINDO（ATSMStandards）appointedbytheSellerattheirownchargeatloadingportshallincludesdate,place,TotalMoisture,InternalMoisture,AshContent,TotalSulphur,andGrossCalorificValue.PTSUCIOFINDO（ATSMStandards）willissuethequalitycertificate,whichcannotbechanged.

印尼 SUCIOFINDO出具的煤的质量鉴定是在交货点上货港装载港口执行，费用由卖方承担。

 其质量检验包括日期，地点，数量，全水的优质参数，内水，灰分，硫，挥发酚，总的热值。

鉴定结束后由印尼SUCIOFINDO的国际质量鉴定员颁发质量认证，最终不可以更改鉴定报告。

5.    BuyershallhavetherighttobepresentduringthesamplingforsurveyorreportortoappointanotherindependentsurveyorlikeINTERTECK（ATSMStandards）attheirowncosttosupervisethesamplingproceduretoobtainafairandmutuallyacceptablesampling

买方有权在场煤的质量鉴定执行过程, 或安排其他检验公司如INTERTEK 质量鉴定成员监督采样过程或进行联合采样为了获取公平,合理,双方的都能接受的抽样做测试. 买方应承担这额外的成本.

SamplingandWeight（China）       抽样及称重（中国）

（a）   TheBuyershallcausearepresentativesampletobetakenforeachshipment,andcausesuchsampletobeanalyzedbytheIndependentInspectionAuthority,INTERTEK,appointedbytheBuyerandapprovedbytheSeller.

买方可以指定一个独立的检测机构 如INTERTEK，对每船的样品进行单独的检测，该检测机构由买方来指定并且需要得到卖方的认可。

（b）SellershallhavetherighttobepresentduringthesamplingforsurveyorreportortoappointanotherindependentsurveyorlikeCCICattheirowncosttosuperviseortojointlyconductathesamplingproceduretoobtainafairandmutuallyacceptablesampling

卖方有权在场煤的质量鉴定执行过程, 或安排其他检验公司如CCIC 质量鉴定成员监督采样过程或进行联合采样为了获取公平,合理,双方的都能接受的抽样做测试. 卖方应承担这额外的成本.

（c）   TheBuyershallprovidetheSellerwithaCertificateofAnalysisfromsuchinspectionauthorityshowingtheresultofsuchanalysisforeachitemspecifiedinArticle2.

买方应该将上述检测的每项结果提供给卖方。

（c）   ThecostofsuchanalysisshallbefortheaccountoftheBuyerandsuchCertificateofAnalysisshall,subjecttomanifesterror,beconclusiveandfinalforfinalinvoicepurposes.

买方将承担上述检测的费用，如果无误的话，该检测结果将作为最终确认品质的标准。

（d）   TheBuyershallprovidetheSellerwithaCertificateofWeightconfirmingtheWeightdeterminedattheDestinationPort.  TheCertificateofWeightshall,subjecttomanifesterror,beconclusiveandshallbethebasisofpaymentofthefinalinvoicefortheshipmentofCoal.TheweightistobedeterminedbyadraughtsurveyoftheVessel,suchsurveyshallbeperformedbyalicensedmarinesurveyorutilizingimmersionscaleweights（“Weight”）.  ThecostofsuchweighingshallbefortheaccountoftheBuyer.

买方应该给卖方提供在指定港口测算的实际重量的证书。

如果无误的话，该重量证书将作为最终结算的依据。

煤炭的实际重量将由有资质的验船师根据在卸港地点检测船舶水尺来计算。

实际载重检测费用由买方来承担。

（e）   TheBuyershalltakeallreasonablemeasurestoensurethecertificateofanalysisavailableandreadywithin10calendardaysfromdischarge.

买方将在卸货开始后的 10日内提供检测报告。

（f）  TheSellershallhavetherightatanytimetocauseitsdesignatedpersonneltoattendandobservethedeterminationofthequalityandWeightinChinaattheexpenseoftheSeller.  Insuchevent,theBuyershallreasonablycooperatewithsuchattendanceandobservation.

        买方有权派指定的代表到现场参与煤炭数量及质量验收，买方将给予配合。

（g）   The“FinalInvoice”shallbecalculatedonthebasisofCIQatthedestinationport.

“最终发票额”将根据在卸货港口的CIQ检测的结果来计算。

（h）   IftheCIQ（China）certificateofanalysisisnotprovided10calendardaysfollowingNoticeofReadiness,thetestingcertificatesuppliedattheloadingportbyPTSUCIOFINDOshallbedeemedasthefinalqualityandweightdeterminationforthepurposesoftheremainingoutstandingpaymentandshallbeconsideredfinal.

如果买方不能在通知准备的 10 日内提供CIQ（中国）的检测结果，煤炭在装货港口通过印尼CCIC检测的结果和测量的重量将会作为最终结果被并被用来计算最终的付款额。

（i）    UponthesaidCIQ（China）certificateofanalysisbecomingavailable,the“FinalInvoice”shallbecalculatedaspertheabovemethodandanydifferencebetweenthisamountandtheactualamountpaidwillbereconciledthrougha‘one-off’invoicepayablebydirectTTtothepartyowed. 

一旦CIQ（中国）的检测报出来后，根据计算出的“最终发票额”对实际应付货款进行调整，差额将通过TT支付给应收款方。

ARTICLE5第五条款PENALTIES/BONUSESONCOALQUALITY基于煤炭质量的奖/罚

Penalties/BonusesforqualitywillbebasedonresultsofCertificateofSamplingandAnalysisissuedbyPTSUCOFINDOattheLoadingPort.ThisPenaltyandBonusamountshallbesettledwithinLCandseller’sinvoice.However,iftheLCamountisnotsufficienttocoverthebonusamountduetotheseller,thenthebuyershallremitthebalancebywayoftelegraphictransfertotheseller’sbankaccountwithin7daysaftertheissuanceoftheCertificateofSamplingandAnalysisbyCIQ. 

核算煤质量的高低程度是按照质量鉴定员鉴定在卸货港的CIQ报告来确定。

罚款和奖金将通过信用证卖方的发票及信用证结算。

如果信用证的数额不足以支付卖方应得的奖金数额，买方应在CIQ出具质量报告后的7日内通过电汇转到卖方银行账号。

a）         NettCalorificValue（NCV）BonusorPenaltyCalculations

（干基卡数奖赏或处罚的计算公式）

Bonus/（奖赏）

NCVAbove5500，BuyerpaysbonustoSeller/NCV高于5500  ，买方补贴给卖方

2.    NCVbelow5100:

Buyerhasrighttorejectgoods./ 低于5100卡数，买方有权拒收

b）    TotalSulphur

TotalSulphurexceeding1.01%:

Buyerhasrighttorejectgoods.全硫超过1.01%，买方有权拒收。

ARTICLE6第六条款PAYMENT&CONTRACTVALIDITY付款方式和合同有效期

1.    TheBuyershallestablishanIrrevocableLetterofCreditatSightinUnitedStateDollarsfromfirstgradeChinesebank.

买方需要出具由中国一级银行开出的不可撤销的、美元信用证。

Performance&ContractValidity合同生效期

1）    Withinseven（7）workingdaysafterallpartieshaveproperlyexecutedthiscontract,thesellershallissuea2%contractvalueoperativeperformancebond（PB）tothebuyer.WithinThisPBcanbeencashedfornon-performanceontheseller’sside.

当甲乙双方将合同妥善签署后的7个工作日内，卖方出具合同价值2%的有效保证金给买方。

如卖方不执行合同，买方可兑现保函。

2）    Withinfour（4）workingdaysafterreceivingoperativePB,thebuyershallissueLC.

收到保函的四个工作日内，买方将国际银行信用证付给卖方。

L/CPayment国际信用证付款

1）    ThePaymentconditionsoftheL/Cshallbeeffectedinthefollowingmanner:

信用证的付款方式按照以下程序;

90%valueoftheLCamountshallbedrawnuponthepresentationofthefollowingdocumentstotheSeller’snegotiatingBank:

卖方兑现90%信用证额度的首付款，需要以下资料

1.    Invoicein1originaland3copies最终发票（一份原件，三份附件）

2.    FullsetofMotherVesseloriginalB/L   所有提货单的原件

3.    CertificateofWeightSurveyissuedbyPTSUCOFINDOatloadingportin
