ThisAgreementisenteredintoandmadeinduplicateon_________（Date）,in_____________（Place）,between__________________Corporation（hereinaftercalledCorporation）,incorporatedbytheCaliforniaCorporationsCodeandhavingitsprincipalexecutiveofficeinthecityof_______,USA,asPARTYOFTHEFIRSTPARTand______Corporation,（hereinafterCalledPurchaser）asPARTYOFTHESECONDPART.

本协议由按美国《加利福尼亚州公司法典》组建，总部设在美国________地的_____________公司（以下称公司）为甲方与____________公司（以下称为买方）为乙方于X年X月X日在XX地缔结。

WITNESSTHAT：

Inconsiderationofthemutualcovenantsandagreementshereincontained,itisagreedbyandbetweenCorporationandPurchaserasfollows:

鉴于公司和买方就本协议达成一致意见，特此订立以下条款：

1．DEFINITIONS

第1条释义

Forthepurposeofthisagreement,thefollowingtermsshallhavethemeaningsdefinedbelow:

“AcceptanceTestManual”

“验收手册”

TheAcceptanceTestManualshallbethedocumentpreparedbyCorporationwhichwillbeusedbyCorporationandPurchaserforcheckingthattheEquipmentisinaccordancewiththeSpecificationsandApprovedData.

验收手册是指由公司提供，供方公司与买方检验设备是否符合技术规格和规定资料标准所用的一种文件。

“SystemParts”

“系统零件”

SystemPartsarethose,whicharenecessarytoCorporationintheperformanceofthis,AgreementandderivedfromApprovedDataandshallincludebutnotbelimitedtothosepartswhicharemanufacturedbyCorporation’ssuppliers.NotwithstandingtheforegoingmutuallyagreedsimulatedandmodifiedequipmentusedinlieuoftheforegoingshallbedeemedtobeSystemParts.

系统零件是指公司执行本协议所必需的按规定质料标准生产的零件。

经双方同意，用以替代上述零件的仿制或改进设备也应视为系统零件。

“ApprovedData”

“规定资料”

ApprovedDatashallmeanthosedrawings,dataandothertechnicalinformationwhicharerelevanttotheSystem,andwhicharenecessarytoCorporationintheperformanceofthisAgreement.

规定资料是指与本系统相关的、公司执行本协议所必需的图纸、数据和其他技术资料。

“AssociatedItems”

“附属项目”

AssociatedItemsshallmeanthoseassociateditemsandservicesspecifiedinExhibit“C”whichisattachedheretoandmadeaparthereof.

附属项目是指附件C表中规定的附属及服务项目，附件C表系本协议的一部分。

“DeficienciesorDetects”

“缺陷或瑕疵”

DeficienciesorDefectsshallmeanareasoftheEquipment（configurationandperformance）thatfailtomeetidentifiedsectionsoftheAcceptanceTestManual

缺陷或瑕疵是指设备（结构或性能）不符合验收手册有关规定之处.

“EffectiveDate”

“生效日期”

TheEffectiveDateofthisAgreementshallbethedateonwhichCorporationisauthorizedtoproceedwiththeworkhereundertoPurchaser’saccountorthedateonwhichthefirstpaymentisreceivedbyCorporation.TheauthorizationtoproceedreferredtointheforegoingmaybeeitheratelexorletterfromadulyauthorizedofficerofPurchaserprovidingsuchauthorizationtoproceed,oracopyofthisAgreementdulysignedbybothparties.ThesaidEffectiveDateshallbeconstruedasthedateofthecommencementofworkhereunder.

本协议生效日期是指正式授权公司按买方要求进行工作或者公司收到首笔付款之日。

上述授权书可为买方正式委任的官员所发之电报或信函,或是双方正式签署的本协议副本。

上述生效日期即为本协议规定的开始工作之日。

建议：

生效日期为公司收到首笔付款之日。

“ExcusableDelay”

“可允许的迟延”

ExcusableDelaywherethetermisusedinthisAgreementshallmeanthosecausesofdelayspecificallyidentifiedinarticle7hereof（ExcusableDelay）.

本协议中使用的“可允许的延迟”一术语是指由本协议第7条（可谅解延迟）中明文规定的迟延原因。

“ProprietarySoftware”

“专有软件”

ProprietarySoftwareshallmeananyprogramorotherinformationstoredontaps,discs,documentsorothermaterial,inmachinereadableorotherform,whichisthepropertyofCorporation.

专有软件是指储存在磁带、磁盘、文件或其他材料（不论属于计算机直接处理或其他形式）中的为公司所专有的一切程序或资料。

“SiteAcceptance”

“现场验收”

SiteAcceptanceshallmeanthefinalacceptanceoftheEquipmentcarriedoutbythePurchaseratPurchaser’sFacilityinaccordancewiththeAcceptanceTestManual.

现场验收是指买方按照验收手册对设备所进行的最后验收。

“Specification”

“技术规格”

SpecificationshallmeanthedocumentidentifiedinExhibit“A”hereto.

技术规格是指本协议附表A.

2.SUBJECTMATTEROFSALE

第二条销售主体事项

（a）CorporationshallselltothePurchaserandthePurchasershallpurchasefromCorporationtheEquipmenttogetherwiththeAssociatedItems.

公司愿意向买方出售，买方愿意向公司购买设备及其附属项目。

（b）TheEquipmentandAssociatedItemsshallbeinaccordancewiththisAgreementandtheSpecification.

设备及其附属项目须符合本协议和技术规格的要求。

（c）TheEquipmentshallhavethecapabilitytoperforminaccordancewiththeperformancestandardsexpressedin___________,totheextentthatsuchstandardsarecoveredbytheSpecificationandApprovedDataandsubjecttotheavailabilityofallnecessarydrawings,dataandothertechnicalinformation.

设备性能必须符合__________所规定的性能，达到技术规格和规定资料的标准，遵循所有必要图纸、数据和其他技术资料的要求。

（d）CorporationwillprepareandsubmittothePurchaserthreedraftcopiesoftheAcceptanceTestManualnotlaterthan____.ThescheduleforreviewandapprovaloftheAcceptanceTestManualiscontainedinExhibit“B”hereto.

公司应于__________（日期）之前准备且提交给买方验收手册草案副本3份。

审议和批准验收手册的日程载于本协议附件B。

（e）IntheeventofanyconflictbetweentheprovisionsofthisAgreementproperandthoseoftheExhibitshereto,theprovisionsoftheAgreementpropershallgovern.IntheeventofanyconflictbetweentheAcceptanceTestManualandtheSpecificationorApprovedData,theSpecificationandApprovedDatashallgovern.

本协议正文规定如与附表规定相抵触，以本协议正文规定为准。

验收手册若与技术规格或规定资料相悖，则以技术规格和规定资料为准。

3．PRICE

第3条价格

Thetotalpurchasepriceoftheequipmentandassociateditemswithallriskstransitinsuranceprepaidtopurchaser’sfacilityshallbe__________.

设备及附属项目购买费加上买方设备的预付运输保险金，总价为：

4．PAYMENT

第四条支付

（a）Allamountsstatedorreferredtohereinareinlawfulmoneyof__________andallpaymentsshallbemadeinlawfulmoneyof__________bythePurchasertoCorporationatCorporation’sPlant,unlessCorporationotherwisedirectsbynoticeinwritingtothePurchaser.

本协议所规定或涉及的所有款额均为__________（币种）法定货币，买方在公司工厂支付公司的所有款项都必须使用__________法定货币，公司另行书面通知的除外。

（b）ThePurchaseragreestopayCorporationtheTotalPurchasePrice,asfollow:

买方同意向公司支付买价，总金额为__________。

（c）ThePurchasershall,uponreceiptofCorporation’srespectiveinvoicestherefor,paytoCorporationallamountswhichbecomeduebythePurchasertoCorporationhereunder,includingwithoutlimitationanamountequaltothetaxesandduties.

收到公司的各种发票后，买方必须即刻付给公司业已到期应付的所有款项，包括但不限于各种税收费用在内.

（d）IfbyreasonofdelayonthepartofthePurchaserorPurchaser’sagentorrepresentative,anypaymentsduetoCorporationarenotmadeinaccordancewiththeagreedpaymentschedule,Corporationreservestherighttoapplyalatepaymentchargeofoneandone-half（1.2/2%）percentpermonth（19.56%perannum）onalloverdueamountsandPurchaseragreestopromptlypayanysuchlatepaymentchargeswhichareproperlyduehereunder.Intheeventthatoneormorepaymentsaredelayedforsixty（60）daysormore,CorporationshallhavetherighttostopallworkunderthisAgreementandshallalsohavetherighttoclaimsuchperiodofworkstoppageandtheeffectsthereofasexcusabledelaypursuanttoArticle7hereof（ExcusableDelay）.PurchaseragreestoreimburseCorporationforthoseadditionalreasonablecostsincurredbyCorporationresultingfromsuchworkstoppage（s）andrestart（s）.Shouldoneormorepaymentsbedelayedforonehundredandtwenty（120）daysormore,thisAgreementmay,atCorporation’soption,bedeemedtobecancelledundertheprovisionsofparagraphs（b）through（e）ofArticle23hereof（TerminationforInsolvency&Cancellation）.

如果由于买方或买方代理商或代理人的延迟，不能按议定的付款时间支付公司业已到期的款项，公司有权收取延迟付款的滞纳金，滞纳金月率为到期应付款的1.5%（年率为19.56%），买方也同意即刻交付本协议所规定的此种费用。

如一次或数次延迟付款达六十（60）天或以上，公司有权停止本协议所规定的工作，并有权根据本协议第7条（可谅解的延迟）称此段工作停顿及其产生的后果为协议许可的。

买方同意对公司因停工和重新开工的额外费用作合理补偿。

如一次或数次延迟付款达一百二十（120）天或以上，根据本合同第23条（因无力清偿债务而终止和撤消）第23款规定，按公司意愿，本协议可被撤消。

5．DELIVERYANDACCEPTANCE

第5条交货与验收

（a）CorporationshallgivethePurchaseratleasttwenty-eight（28）dayspreliminarynoticeinwritingandatleastseven（7）daysfirmnoticeinwritingofthedateonwhichCorporationproposestooffertheEquipmenttothePurchaserforPlantAcceptance.ThePurchasershallhavefive（5）daysperweekduringa______consecutiveweekperiod,being,atotalof____workingdays,aftersaidofferforPlantAcceptancewithinwhichtoaccomplishthetestslaiddownintheAcceptanceTestManual.

公司至少提前二十八（28）天将提供设备让买方作工厂验收的日期用书面形式初步通知买方公司，且至少提前七（7）天书面通知买方设备验收的确切日期。

买方须在上述设备验收日期之后连续_____周内，每周为五（5）个工作日，共计______个工作日，完成验收手册所规定的各项检测。

（b）IntheeventthatDeficienciesintheequipmentbecomeevident,suchDeficienciesshallbecorrectedbyCorporationeitherduringthetwodaysperweekduringwhichthePurchaserwillnotbetestingorduringthetestingprovidedthecorrectiveactiondoesnotimpedeorrestrictthePurchaserincarryingoutsaidtests.Aftercorrection,thePurchasershallbeaffordedsuchadditionaltimeasmaybeagreedtorepeatanyunsuccessfulteststogetherwithanyothertestsnecessarytoconfirmthatsaidDeficiencieshavebeenclearedandthatprevioussuccessfultestshavenotbeenaffected.

如发现设备有缺陷，得由公司进行校正，或在每周买方不进行检测的两天中进行，或在检测期间进行，只要不妨碍买方进行上述检测。

校正之后，应给买方额外时间进行尚未完成的以及其他的任何必要的检测，以证实上述缺陷已清除且不影响以前成功的检测结果。

（c）UponsuccessfulcompletionoftheteststhePurchasershallsignaPlantAcceptanceCertificateevidencingsuchcompletionandlistinganyagreedDeficienciestobecorrectedbyCorporationwithinsuchperiodasmaybeagreedwiththePurchaser.

顺利完成这些检测后，买方须在出厂设备验收证上签字，证明业已完成检测，并注明双方认可的，且已由公司在买方同意的期间内校正的缺陷。

（d）AfterthesigningofthePlantAcceptanceCertificatebythePurchaser,CorporationshalldismantleandpacktheEquipmentforsurfaceshipmenttoPurchaser’sFacility.

买方在出厂设备验收证上签字后，公司须将设备拆卸、包装，以便通过水陆运输运往买方工厂。

（e）ShippingarrangementsbetweenCorporation’sPlantandPurchaser’sFacilitywillbemadewithoutunduedelayby,ortothedirectionof,_____whowillberesponsibleforallcostsofsurfaceshipmentandtransportation
