合同签订注意事项

一、甲乙双方应保证向对方提供的与履行合同有关的各项信息真实、有效。

二、甲乙双方签订本合同书时，凡需要双方协商约定的内容，经双方协商一致后填写在相应的空格内。

三、签订本合同书时，甲方应加盖公章；法定代表人或主要负责人应本人签字或盖章；乙方应加盖公章；法定代表人或主要负责人应本人签字或盖章。

四、甲乙双方约定的其他内容，合同的变更等内容在本合同内填写不下时，可另附纸。

五、本合同应使钢笔或签字笔填写，字迹清楚，文字简练、准确，不得涂改。

甲方指定乙方为其代理，为第三条所列商品从第四条所列区域的顾客中招揽订单，乙方接受上述委任。

7.代理权

ExclusiveRight

基于本协议授予的代理权，甲方不得直接或间接地通过乙方以外的渠道向代理区域顾客销售或出口第三条所列商品，乙方不得在代理区域经销、分销或促销与上述商品相竞争或类似的产品，也不得招揽或接受以到代理区域以外的地区销售为目的的订单，在本协议有效期内，甲方应将其收到的来自代理区域其他商家的有关代理产品的询价或订单转交给乙方。

Inconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexportthemoditystipulatedinArticle4tocustomersinterritory

throughchannelsotherthanPartyB;PartyBshallnotsell,distributeorpromotethesalesofanyproductspetitivewithorsimilartotheabovemodityinterritoryandshallnot

solicitoracceptordersforthepurposeofsellingthemoutsideterritory.PartyAshallrefertoPartyBanyenquiriesorordersforthemodityinquestionreceivedbyPartyAfromotherfirmsinterritoryduringthevalidityofthisagreement.

8.广告及费用

AdvertisingandExpenses

乙方负担本协议有效期内在销售区域销售代理商品做广告宣传的一切费用，并向甲方提交所用于广告的声像资料，供甲方事先核准。

PartyAshallbearallexpensesforadvertisingandpublicityinconnectionwiththe

modityinquestioninareawithinthevalidityofthisagreement,andshallsubmittoParty

Aallaudioandvideomaterialsintendedforadvertisingforpriorapproval.

9.工业产权

IndustrialPropertyRights

在本协议有效期内，为销售有关，乙方可以使用甲方拥有的商标，并承认使用于或包含于汽车漆中的任何专利商标、版权或其他工业产权为甲方拥有。

一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。

PartyBmayusethetrade-marksownedbyPartyAforthesaleoftheAutomobilepaintcoveredhereinwithinthevalidityofthisagreement,andshallacknowledgethatallpatents,trademarks,copyrightsoranyotherindustrialpropertyrightsusedorembodiedinthe

AutomobilepaintshallremaintobethesolepropertiesofPartyA.Shouldanyinfringementbefound,PartyBshallpromptlynotifyandassistPartyAtotakestepstoprotectthelatter's

10.协议有效期

ValidityofAgreement

本协议经有关双方如期签署后生效，有效期为_____年，从20___年___月___日至20___年____月____日。

11.协议的终止

12.不可抗力

ForceMajeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedoroverebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.

检验和收货

InspectionandAcceptance

在收到货物后，经销商应及时检查货物确定是否有货物短缺、瑕疵和损坏。

经销商应在收到货物后天内书面通知供应商索赔。

在收到通知后天内，供应商应调查货物短缺、瑕疵和损坏的索赔，并通知经销商结果，如确认存在货物在交付时短缺、瑕疵和损坏，供应商应予以更换。

PromptlyuponthereceiptofashipmentofProducts,Distributorshallexaminetheshipmenttodeterminewhetheranyitemoritemsincludedintheshipmentareinshortsupply,defectiveordamaged.Within__________daysofreceiptoftheshipment,DistributorshallnotifySupplierinwritingofanyshortages,defectsordamage,whichDistributorclaimsexistedatthetimeofdelivery.Within______daysafterthereceiptofsuchnotice,Supplierwill

investigatetheclaimofshortages,defectsordamage,informDistributorofitsfindings,and

delivertoDistributorProductstoreplaceanywhichSupplierdetermines,wereinshortsupply,defectiveordamagedatthetimeofdelivery.

13.仲裁

Arbitration

因凡因本合同引起的或与本合同有关的任何争议，均应提交至甲方所在地的人民法院，按照申请仲裁时该会实施的仲裁规则进行仲裁。

仲裁裁决是终局的，对双方均有约束力。

AnydisputearisingfromorinconnectionwiththiscontractshallbesubmittedtocourtwhereisPartyAislocated,whichshallbeconductedinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.
