GeneralConditions
GeneralProvisions
1.1Definitions
IntheConditionsofContract（"theseConditions"）,whichincludeParticularConditionsandtheseGeneralConditions,thefollowingwordsandexpressionsshallhavethemeaningsstated.Wordsindicatingpersonsorpartiesincludecorporationsandotherlegalentities,exceptwherethecontextrequiresotherwise.
1.1.1TheContract
1.1.1.1"Contract"meanstheContractAgreement,theseConditions,theEmployer'sRequirements,theTender,andthefurtherdocuments（ifany）whicharelistedintheContractAgreement.
1.1.1.2"ContractAgreement"meansthecontractagreementreferredtoinSub-Clause1.6[ContractAgreement],includinganyannexedmemoranda.
1.1.1.3"Employer'sRequirements"meansthedocumententitledemployer'srequirements,asincludedintheContract,andanyadditionsandmodificationstosuchdocumentinaccordancewiththeContract.Suchdocumentspecifiesthepurpose,scope,and/ordesignand/orothertechnicalcriteria,fortheWorks.
1.1.1.4"Tender"meanstheContractor'ssignedofferfortheWorksandallotherdocumentswhichtheContractorsubmittedtherewith（otherthantheseConditionsandtheEmployer'sRequirements,ifsosubmitted）,asincludedintheContract
1.1.1.5"PerformanceGuarantees"and"ScheduleofPayments"meanthedocumentssonamed（ifany）,asincludedintheContract.
1.1.2PartiesandPersons
1.1.2.1"Party"meanstheEmployerortheContractor,asthecontextrequires.
1.1.2.2"Employer"meansthepersonnamedasemployerintheContractAgreementandthelegalsuccessorsintitletothisperson.
1.1.2.3"Contractor"meanstheperson（s）namedascontractorintheContractAgreementandthelegalsuccessorsintitletothisperson（s）.
1.1.2.4"Employer'sRepresentative"meansthepersonnamedbytheEmployerintheContractorappointedfromtimetotimebytheEmployerunderSub-Clause3.1[TheEmployer'sRepresentative],whoactsonbehalfoftheEmployer.
1.1.2.5"Contractor'sRepresentative"meansthepersonnamedbytheContractorintheContractorappointedfromtimetotimebytheContractorunderSub-Clause4.3[Contractor'sRepresentative],whoactsonbehalfoftheContractor.
1.1.2.6"Employer'sPersonnel"meanstheEmployer'sRepresentative,theassistantsreferredtoinSub-Clause3.2[OtherEmployer'sPersonnel]andallotherstaff,labourandotheremployeesoftheEmployerandoftheEmployer'sRepresentative;andanyotherpersonnelnotifiedtotheContractor,bytheEmployerortheEmployer'sRepresentative,asEmployer'sPersonnel.
1.1.2.7"Contractor'sPersonnel"meanstheContractor'sRepresentativeandallpersonnelwhomtheContractorutilisesonSite,whomayincludethestaff,labourandotheremployeesoftheContractorandofeachSubcontractor;andanyotherpersonnelassistingtheContractorintheexecutionoftheWorks.
1.1.2.8"Subcontractor"meansanypersonnamedintheContractasasubcontractor,oranypersonappointedasasubcontractor,forapartoftheWorks;andthelegalsuccessorsintitletoeachofthesepersons.
1.1.2.9"DAB"meansthepersonorthreepersonssonamedintheContract,orotherperson（s）appointedunderSub-Clause20.2[AppointmentoftheDisputeAdjudicationBoardorSub-Clause20.3[FailuretoAgreeDisputeAdjudicationBoard].
1.1.2.10"FIDIC"meanstheFederationInternationaledesIngenieurs-Conseilstheinternationalfederationofconsultingengineers.
1.1.3Dates,Tests,PeriodsandCompletion
1.1.3.1"BaseDate"meansthedate28dayspriortothelatestdateforsubmissionoftheTender.
1.1.3.2"CommencementDate"meansthe[CommencementofWorks],unlessAgreement.datenotifiedunderSub-Clause8.1otherwisedefinedintheContract
1.1.3.3"TimeforCompletion"meansthetimeforcompletingtheWorksora
Section（asthecasemaybe）underSub-Clause8.2[TimeforCompletion],asstatedintheParticularConditions（withanyextensionunderSub-Clause8.4[ExtensionofTimeforCompletion]）,calculatedfromtheCommencementDate.
1.1.3.4"TestsonCompletion"meansthetestswhicharespecifiedinContractoragreedbybothPartiesorinstructedasaVariation,andwhicharecarriedoutunderClause9[TestsonCompletion]beforetheWorksoraSection（asthecasemaybe）aretakenoverbytheEmployer
1.1.3.5“Taking-OverCertificate"meansacertificateissuedunderClause10[Employer'sTakingOver]
1.1.3.6"TestsafterCompletion"meansthetests（ifany）whicharespecifiedintheContractandwhicharecarriedoutunderClause12[TestsafterCompletion]aftertheWorksoraSection（asthecasemaybe）aretakenbytheEmployer
1.1.3.7"DefectsNotificationPeriod"meanstheperiodfornotifyingdefectsintheWorksoraSection（asthecasemaybe）underSub-Clause11.1[CompletionofOutstandingWorkandRemedyingDefects],asstatedintheParticularConditions（withanyextensionunderSub-Clause11.3[ExtensionofDefectsNotificationPeriod]．calculatedfromthedateonwhichtheWorksorSectioniscompletedascertifiedunderSub-Clause10.1[TakingOveroftheWorksandSections].IfnosuchperiodisstatedintheParticularConditions,theperiodshallbeoneyear.
1.1.3.8"PerformanceCertificate"meansthecertificateissuedunderSub-Clause11.9[PerformanceCertificate].
1.1.3.9"day"meansacalendardayand"year"means365days.
1.1.4MoneyandPayments
1.1.4.1"ContractPrice"meanstheagreedamountstatedintheContractAgreementforthedesign,executionandcompletionoftheWorksandtheremedyingofanydefects,andincludesadjustments（ifany）inaccordancewiththeContract.
1.1.4.2"Cost"meansallexpenditurereasonablyincurred（ortobeincurred）bytheContractor,whetheronorofftheSite,includingoverheadandsimilarcharges,butdoesnotincludeprofit.
1.1.4.3"FinalStatement"meansthestatementdefinedinSub-Clause14.11[ApplicationforFinalPayment].
1.1.4.4"ForeignCurrency"meansacurrencyinwhichpart（orall）oftheContractPriceispayable,butnottheLocalCurrency.
1.1.4.5"LocalCurrency"meansthecurrencyoftheCountry.
1.1.4.6"ProvisionalSum"meansasum（ifany）whichisspecifiedintheContractasaprovisionalsum,fortheexecutionofanypartoftheWorksorforthesupplyofPlant,MaterialsorservicesunderSub-Clause13.5[ProvisionalSums]
1.1.4.7"RetentionMoney"meanstheaccumulatedretentionmoneyswhichtheEmployerretainsunderSub-Clause14.3[ApplicationforInterimPayments]andpaysunderSub-Clause14.9[PaymentofRetentionMoney]
1.1.4.8"Statement"meansastatementsubmittedbytheContractoraspartofanapplicationforpaymentunderClause14[ContractPriceandPayment].
1.1.5WorksandGoods
1.1.5.1"Contractor'sEquipment"meansallapparatus,machinery,vehiclesandotherthingsrequiredfortheexecutionandcompletionoftheWorksandtheremedyingofanydefects.However,Contractor'sEquipmentexcludesTemporaryWorks,Employer'sEquipment（ifany）,PlantMaterialsandanyotherthingsintendedtoformorformingpartofthePermanentWorks.
1.1.5.2"Goods"meansContractor'sEquipment,Materials,PlantandTemporaryWorks,oranyofthemasappropriate.
1.1.5.3"Materials"meansthingsofallkinds（otherthanPlant）intendedtoformorformingpartofthePermanentWorks,includingthesupply-onlymaterials（ifany）tobesuppliedbytheContractorundertheContract.
1.1.5.4"PermanentWorks"meansthepermanentworkstobedesignedandexecutedbytheContractorundertheContract.
1.1.5.5"Plant"meanstheapparatus,machineryandvehiclesintendedtoformorformingpartofthePermanentWorks.
1.1.5.6"Section"meansapartoftheWorksspecifiedintheParticularConditionsasaSection（ifany）.
1.1.5.7"TemporaryWorks"meansalltemporaryworksofeverykind（otherthanContractor'sEquipment）requiredonSitefortheexecutionandcompletionofthePermanentWorksandtheremedyingofanydefects.
1.1.5.8"Works"meanthePermanentWorksandtheTemporaryWorks,oreitherofthemasappropriate.
1.1.6OtherDefinitions
1.1.6.1"Contractor'sDocuments"meansthecalculations,computerprogramsandothersoftware,drawings,manuals,modelsandotherdocumentsofatechnicalnaturesuppliedbytheContractorundertheContract;asdescribedinSub-Clause5.2[Contractor'sDocuments].
1.1.6.2"Country"meansthecountryinwhichtheSite（ormostofit）islocatedwherethePermanentWorksaretobeexecuted.
1.1.6.3"Employer'sEquipment"meanstheapparatus,machineryandvehicles（ifany）madeavailablebytheEmployerfortheuseoftheContractorintheexecutionoftheWorks,asstatedintheEmployer'sRequirements;butdoesnotincludePlantwhichhasnotbeentakenoverbytheEmployer.
1.1.6.4"ForceMajeure"isdefinedinClause19[ForceMajeure].
1.1.6.5"Laws"meansallnational（orstate）legislation,statutes,ordinancesandotherlaws,andregulationsandby-lawsofanylegallyconstitutedpublicauthority.
1.1.6.6"PerformanceSecurity"meansthesecurity（orsecurities,ifany）underSub-Clause4.2[PerformanceSecurity]
1.1.6.7"Site"meanstheplaceswherethePermanentWorksaretobeexecutedandtowhichPlantandMaterialsaretobedelivered,andanyotherplacesasmaybespecifiedintheContractasformingpartoftheSite.
1.1.6.8"Variation"meansanychangetotheEmployer'sRequirementsortheWorks,whichisinstructedorapprovedasavariationunderClause13[VariationsandAdjustments]
1.2Interpretation
IntheContract,exceptwherethecontextrequiresotherwise:
（a）wordsindicatingonegenderincludeallgenders;
（b）wordsindicatingthesingularalsoincludethepluralandwordsindicatingthepluralalsoincludethesingular;
（c）provisionsincludingtheword"agree","agreed"or"agreeme
