生产技术协助及商标许可合同中英文

AGREEMENTFORTECHNICALASSISTANCEANDTRADEMARKLICENSE

 本协议于____年____月____日生效，由____公司，依中华人民共和国法律设立，以下简称甲方和____，依____法律设立，以下简称乙方，双方共同签署。

THISAgreementeffectiveonthe16thdayofJune,  between_____acorporationorganizedunderthelawsofthePeople’sRepublicofChina,hereinaftercalled“PartyA”,and______,acompanyorganizedunderthelawsoftheRepublicofPeru,hereinaftercalled“PartyB”.

 鉴于甲方拥有合同产品的生产及销售所设计的技术信息，包括设计、技术、工艺、配方、技能和其他资料的专有权；

鉴于乙方希望获得使用上述技术协助的许可权利，以及以生产、使用和销售合同产品为目的的持续的技术协助的权利；

鉴于乙方希望使用甲方所有的下述商标：

据此，双方就下列内容达成一致：

WHEREAS.PartyApossessesproprietarytechnicalinformationincludingdesigns.Techniques,processes,formulas,skillsandotherdatausefulinthemanufactureandmarketingofcertainproducts;and

WHEREAS,PartyBdesirestoacquiretherightandlicensetousetheaforesaidtechnicalassistance,andtherighttoreceivecontinuingtechnicalassistanceforthepurposeofmanufacturing,usingandsellingsuchproducts;and

WHEREAS.PartyBdesirestousethefollowingtrademarksownedbyPartyA.

NOW.THEREFORE,thepartiesheretodoherebyagreeasfollows:

A.     商标许可TRADEMARKLICENSE.

1．在本合同项下，产品意指甲方系列左驾驶车辆，“许可证产品”意指包括所有改进、增补、改正之后的部件，其现有形式和将来可能采用的形式均为合同产品不可分割的一部分。

乙方应表明许可证产品是依照甲方许可形式制造，而且这一标志的形式的位置应经甲方确认。

Inthepresentcontract,thetermPRODUCTSshallbeinterpretedasthePartyA-Series.Familyofvehiclesreleasedforlefthanddriveapplicationandtheterm“LicensedProducts”ismeanttoincludedallcomponentsasimproved,addedtoormodified,whichnowformormayhereafterformanintegralpartoftheLicensedproduct（s）.

PartyBshallidentifyLicensedProductsasbeingmadeunderLicensefromPartyA.TheformandlocationofsuchidentificationshallbeapprovedbyPartyA.

 2．乙方要求就其所生产的货物许可使用上述商标，且甲方同意依后述条件和条款做出许可。

PartyBhasrequestedpermissiontousetheabovementionedtrademarksupongoodsmadebyitself,andPartyAiswillingtograntsuchpermissiononthetermsandconditionshereinaftersetforth.

 3．据此甲方授予乙方在______境内使用甲方商标和独占权利，这一权利仅限于由乙方所生产的许可证产品的范围；由于此独占权利仅适用欲与产品有关的范围之内使用商标，双方确认，该商标可以由他方使用，但不得使用于许可证产品的范围之内。

该许可仅向乙方授予而不得向任何第三方再行转让。

PartyAherebygrantstoPartyBtheexclusiverighttouseintheRepublicofPerutheTrademarksPartyA;onlyonPRODUCTSmadebyPartyB;provided,however,thatsuchexclusiverightappliesonlytotheuseofthetrademarksinconnectionwiththePRODUCTSandthepartiesunderstandthatthetrademarksmaybeusedbyothers,butnotonthePRODUCTS.Thislicense ispersonalto PartyBandshallnotbeassignabletoanyoneelse.

 4．乙方同意并允诺严格依甲方的指令和知道并遵守甲方在向乙方技术协助中规定的生产工序和生产方法使用上述商标，以使由乙方标识商标的产品符合由甲方设立的标准和规格，并且与甲方商标系列的产品具有统一的质量。

PartyBagreesandundertakestousetheabovementionedtrademarksstrictlyonaccordancewiththeinstructionsanddirectionsofPartyAandinconformitywiththeprocessandmethodsofmanufacturegivendirectlybyPartyAtoPartyBastechnicalassistance,sothatthePRODUCTSonwhichthetrademarkswillbeusedbyPartyBshallconformtothestandardsandspecificationsestablishedbyPartyAandbeuniforminqualitywiththePRODUCTSonwhichPartyAusesthesaidtrademarks.

 5．乙方知晓甲方对上述商标拥有所有权，并且允诺在任何情况下不做出或不默许他人做出对于上述甲方商标权利有害的行为。

在工作期间的任何时间内，甲方有权派员或通过代理商基于商标许可检查乙方的工厂和由乙方生产的任何许可证产品，并确定上述商标的必要保护范围；在依本协议第C部分规定由甲方判定产品未能与甲方在同列商标项下生产和销售的产品质量一致的情况下，甲方还享有停止许可证产品销售的权利。

PartyBrecognizesPartyA’sownershipofandtitletothesaidtrademarksandwillnotatanytimedoorsuffertobedoneanyactorthingwhichwillanywayimpairtherightsofPartyAinandtosaidtrademarks.PartyAthroughanyofitsofficersoragentsshallhavetherightatanytimeduringbusinesshourstoinspectPartyB’sfactoryandanyPRODUCTSmanufacturedbyPartyBunderthelicensedtrademarksandtotheextentnecessarytoprotectthesaidtrademark,therighttorejectforsaleanysuchPRODUCTS,aftercomplyingwiththeprovisionsofSectionCofthisagreement,whichinthejudgmentofPartyAarenotofqualitytothatofsimilarPRODUCTSmanufacturedandsoldbyPartyAunderthesaidtrademarks.

 6．乙方同意并允诺严格依照_____的法律使用上述商标并且在相关产品上使用此类标志应符合秘鲁的适用法律及任何其他法律条文。

在产品上使用甲方的商标的方式应交由甲方在正式使用之前予以批准。

PartyBagreesandundertakestousetheaforementionedtrademarksstrictlyonaccordancewiththelegalrequirementsin______andtousesuchmarkingsinconnectiontherewithasmayberequiredbytheapplicable______lawandanyotherpertinentlegalprovisions.ThemannerinusingwithsaidPartyAtrademarksonthePRODUCTSwillbesubmittedtoPartyAforitsapprovalpriortobeingusedasaproductgraphiconthePRODUCTS.

B． 提供资料及技术协助 SUPPLYOFDOCUMENTATIONANDTECHNICALASSISTANCE

 1．甲方向乙方提供如下两套资料，其中一套应是可复制的；

a） 由甲方所拥有的为支持秘鲁生产产品型号的全部组装用图纸；

b）i. 对于包含甲方自外部供应商所获得的部分许可证产品部件，甲方提供依其供应商所制作的图纸和/或规格，但应依从于由供应商对于图纸用的限制条件。

 ii．对于供应部件，甲方应提供外观尺寸，性能特性，设计参数以及其他甲方可能开发的为使乙方在______得到相同规格的供应部件的相关信息。

PartyAwillfurnish,oneofwhichwillbereproducible:

a.AlldrawingsforassemblyinthepossessionofPartyAtosupportthespecificmodelstobeproducedinPeru.

b.i.WithrespecttocomponentscontainedinLicensedProductswhichareobtainedbyPartyAfromoutsidesuppliers,PartyAwillfurnishsuchdrawingsand/orspecificationsasaremadeavailablebyPartyAsuppliersandasarerequiredbutsubject,however,toanyomitationsplacedupontheuseofsuchdrawingsbysupplier.

ii.Forsuppliercomponents,PartyAwillsupplyphysicalsuchotherinformationPartyAmayhavedevelopedregardingsuchsuppliercomponentsinordertopermitPartyBtosourcecomponentsofequivalentspecificationsinPeru.

 iii．甲方对于任何外部供应商不愿向乙方提供技术资料的后果不承担责任。

c） 材料和依甲方的设计获得规格生产全部零件所需规格；

d） 工具及设备图纸，其应依甲方先可能存档只为限。

iii.PartyAshallnotbeliablefortheunwillingnessofanyoutsidesuppliertoprovidetechnicaldocumentationforusebyPartyB.

c.MaterialandmanufacturingspecificationsforallpartsproducedtothedesignandspecificationsofPartyA.

d.ToolingandequipmentdrawingssuchasmaybeavailableinthefilesofPartyA.

2．技术资料和专有技术将依甲方所使用的标准生产技术为准；所有图纸均以原有国家语言和度量制为准；全部资料度量制式转换为公式的责任和费用由乙方承担。

Thetechnicaldocumentationandknow-howwillbesuppliedinaccordancewiththestandardmanufacturingtechniquesusedbyPartyA.Alldrawingswillbeinthelanguageanddimensionsofthecountryoforigin.AnyconversiontometricdimensionswillbetheresponsibilityandcostofPartyB.

3．在本协议期间以及每一个许可证产品由双方达成一致的起始日之后，甲方承诺向乙方披露由甲方就许可证产品所做出的主要改进细节。

ForthetermofthisagreementandcommencingwithadatemutuallyagreeduponforeachLicensedProduct,PartyAundertakestoreleasetoPartyBdetailsofmajorimprovementengineeringchangesmadebyPartyAtothelicensedProduct.

4．甲方将提供并负责安排在适当的工厂或其子公司、分支机构或受证人所在地对乙方的职工进行培训，此类培训的期间和时间将由双方商定。

PartyAwillprovideorarrangefortrainingatappropriatefactoriesofPartyAoritssubsidiarism,affiliatesorlicenseessuchofPartyBpersonnelforsuchperiodsoftimeandpertermsasmaybemutuallyagreedupon.

C．操作ENGINEERING

 1．乙方同意依甲方向其提供的资料、专有技术和技术协助生产及装配许可证产品。

除非因生产能力、履行不能或材料适应性方面的原因之外，乙方均应依从于甲方的设计。

 变更均依以下方式为之：

a） 翻译图纸，即公制转换，材料替代，语言翻译等，工作由乙方承担；

b） 依乙方要求所作的强制性变更应由乙方进行，但应事先向甲方发出书面通知并就此变更得到甲方的认可。

乙方将向甲方提交图纸、草图、实验结果或其他必要的数据，并以英文做成以尽快得到回复。

更换零件的性能、工作质量及可替换均由乙方负责保证；

c） 由当地购买的零件，如密封件、轴承、五金件等，均由乙方负责保证。

1PartyBagreestomanufactureand/orassembleLicensedProductsinaccordancewiththedocumentation,know-howandtechnicalassistancesuppliedtoPartyBbyPartyA.PartyBwilladheretoPartyA’sdesignexceptforcompellingandnecessaryreasonscausedbymanufacturingcapability,performancefailures,ormaterialavailability.

Alterationsorchangeswillbeprocessedinthefollowingmanner;

a.Versiondrawings,thatis,conversiontometric,materialsubstitutions,andlanguage,willbehandledbyPartyB.

b.CompellingalterationsorchangesrequiredbyPartyBmaybeprocessedbyPartyBprovided,however,thatadvancewrittennoticeisgivento PartyA ofsuchalterationorchangeandadvanceapprovalisgiventoPartyaofsuchalterationorchangeandadvanceapprovalisgivenbyPartyA.PartyBwillfurnishtoPartyAdrawings,sketched,testresults,oranynecessarydata,inEnglishtoenableanimmediateresponse.Thefunction,performancequalityandinterchangeabilityofchangedpartswillbePartyBresponsibility.

c.Substitutionoflocallypurchased,suchasseals,bearings,hardware,etc.willberesponsibilityofPartyB.

2．甲方有权在任何时间检查由乙方或其供应商生产的许可证产品或部件，以决定其材料和工艺是否符合甲方提供的标准和规格。

乙方同意为此检查提供合作和便利。

 3．乙方确认由其所生产的许可证产品须严格按照甲方所提供的设计、图纸和规格生产，除依C.I.规定的修改内容以外，而且，在任何情况下许可证产品均应具备与甲方所生产的产品相同的质量与运行性能。

如果乙方未严格依照甲方的设计、图纸及规格生产，则甲方对于乙方生产的许可证产品不承担任何担保责任。

2PartyAhastherightatanytimetoinspecttheLicensedProductsorcomponentsmanufacturedbyPartyBorPartyB’ssupplierstodeterminethatthematerialsandworkmanshipconformtothestandardofdrawingsandspecificationssuppliedbyPartyA.PartyBagreestocooperateandmakeavailablethenecessaryfacilitiesforsuchinspections.

3ItisunderstoodandagreedbyPartyBthatLicensedProductsmanufacturedbyPartyBshallbemanufacturedstrictlyinaccordancewiththedesign,drawings,andspecificationsfurnishedbyPartyAunlessmodifiedpursuanttoC.1.andinanyeventtheLicensedProductswillpossessthesamecharacteristicsinqualityandperformanceasproductsproducedbyPartyA.PartyA,however,doesnotassumeanywarrantyobligationswithrespecttoPartyBLicensedProductsiftheyhavenotbeenmanufacturedstrictlyinaccordancewiththedesign,drawings,andspecificationsfurnishedbyPartyA.

 4．乙方同意保持并维护带有甲方专有标记的图纸、规格和其他技术资料的严格秘密，并同意不向任何人披露任何上述信息，除非其是属于保证乙方许可证产品生产的材料和部件所必需者。

乙方同意亦将同样的限制加于依同样目的乙方要求生产零部件而使用此类图纸规格及生产信息的供应商。

 双方同意为生产及采购的便利，乙方可依需要重新描绘或转换甲方的图纸为公制度量并依要求加注。

每一份此类图纸均应带有现行甲方的零件序号和乙方的说明。

乙方进而同意在由其重新描绘的甲方图纸上均表明如下文字说明：

“本文仅属限制使用并不得用语任何有害于甲方的用途。

”
