Art.2MortgageofMaximumAmount

2.1Inperiodofcreditawarding,PartyAshallhavetherighttoprovidePartyB（orCreditApplicant）loanorothercreditawardingbyseveraltimes;PartyB（orCreditApplicant）shallhavetherighttoreusetherevolvinglineofcreditbycategoryofline,butnotapplicablefortheOne-timelineofcredit.Theamount,durationandconcreteusesofperloanorothercreditawardingcanbestipulatedbyspecificcontracts.

Bothpartieshavenoobjectiontothatduedateofspecificbusinesslaterthantheduedateofcreditawardingperiod.

2.2ThusPartyBshallbearthewarrantyliabilitywithinthestipulatedrangeofmortgagesecurityguaranteeinarticle3ofthiscontract;IfPartyAclaimsfortherecourseinaccordingwiththeprovisionsunderCreditAwardingAgreementorotherspecificcontractsbeforethematurityofcredit.PartyB（orCreditApplicant）shallbearthewarrantyliabilitywithmortgagepropertyaswell.

2.3BankcreditbusinessprovidedbyPartyAtoPartyB（orCreditApplicant）duringtheperiodofcreditawarding,suchastradeacceptance,establishmentofaletterofcredit（Includingoverridingletterofcredit,thesamebelow）,L/G,letterofshippingguaranteeetc..EventhoughexternaladvancesofPartyAmaynotoccurredbefore,butindeedhappenedafterthematurityofcredit.PartyBshallbearthewarrantyliabilitywithinthestipulatedrangeofmortgagesecurityguaranteeinArticle3ofthiscontract.

2.4Fortherenewalagreementoralterationofvalidprovisionupontheduration,interestandamountofspecificbusinessduringtheperformanceofspecificbusinessunderCreditAwardingAgreement,ortheadjustmentofinterestrateonthebasisofCreditAwardingAgreementand/orspecificcontractsduringthemortgageguaranteeperiod.PartyBshallacceptallthiswithnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythecontractaswell.

2.5IfPartyA’sreceiveddocumentsinletterofcreditoperationundercreditawardingagreementbefoundtohavediscrepancythroughPartyA’saudit,butcreditapplicantacceptedwiththediscrepancy,PartyBshallalsoassumethemortgageguaranteeresponsibilitywithmortgagepropertyforprincipleandinterestofcreditinPartyA’sexternalacceptanceorpayment.PartyBshallnotproposethedefense,notbecauseofacceptingwiththediscrepancybutwithouttheapprovalofPartyBornotifyPartyB.

2.6ThemodificationofL/C,L/G（orstandbyletterofcredit）,acceptanceofusanceletterofcreditandextensionoftimeforpromisedpaymentatmaturityetc.PartyBshallacceptallthiswithnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythecontractaswell.

Art.3RangeofMortgageSecurityGuarantee

3.1ThesecurityguaranteerangeofthiscontractissumofloanwithinthelineofcreditprovidedtoPartyBaccordingtostipulationofCreditAwardingAgreementandprincipalbalanceofothercredit（maximumlimitis（currency）intheamountof）.Andinterest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesincludedaswell.Includingbutnotlimitedto:

3.1.1Thereleasedbalanceofloanamountandcorrespondinginterest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesbyPartyAonthebasisofspecificcontractsunderCreditAwardingAgreement;

3.1.2Thebalanceofadvanceprinciple,interest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpenses,whichhasbeenpayadvancedforPartyBinthecauseoftheperformanceofPartyA’sobligationofpaymentofCommercialDraft,L/C，L/GandletterofshippingguaranteeunderCreditAwardingAgreement;

3.1.3Thebalanceofprincipleofbankingexternalpayments,interest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesentrustedbyPartyAwithinthebusinessoftradefinancingunderCreditAwardingAgreement;

3.1.4PartyA’saccountreceivablecreditor'srightstransferredfromPartB（orCreditApplicant）,andcorrespondingoverduepenalty（latefee）underfactoringbusiness.and/orthebasicpaymentforpurchase（basicpurchasingfunds）andrelevantexpensesoffactoringpaidbyPartyAtoPartyB（orCreditApplicant）;

3.1.5AftertheestablishmentofaletterofcreditinterestrequestedbyPartyB（orCreditApplicant）,PartyAauthorizesthebranchofCMBbanktoopenthecoveringL/Cforbeneficiary.Balanceofdebtprincipleofimportbilladvanceandshippingguaranteeandexpensesofdefaultinterest,compoundinterest,penaltyandotherinvolvedfortheopeningofL/C,butalsoadvancefortheperformanceoftheissuingbank’srightsunderthisL/C;

3.1.8ExpensesfortheenforcementofPartyA’srightofmortgageandrecoveryofthePartyB’s（orCreditApplicant）debt（includingbutnolimitedtoattorneys'fees，legalfees,advertisingfees,deliveryfeeandtravelexpensesetc.）.

3.2Asforrevolvinglineofcredit,iftheprovidedloanorotherbalanceofcreditexceedstheamount,PartyB（orCreditApplicant）shallnotbearthewarrantyliabilityforthepartinexcessoftheamount,butliabilityfortheloannotyetexceedscreditamountorotherbalanceofcreditandinterest,defaultinterest,compoundinterest,penaltyandotherinvolvedexpenses.

Notwithstandingtheforegoing,bothpartiesclearanddefinitethat:

Eventhoughtheloanorotherbalanceofcreditexceedsthecreditamountatapointintimeduringthecreditawarding,butallkindsofbalanceofcreditnoyetexceedthesumofcreditamountwhenPartyArequiresPartyBtoassumethewarrantyliability.PartyBshallnottoproposethedefensewithaforesaidprovisions,butbearthewarrantyliabilityforallbalanceofcreditandinterest,defaultinterest,compoundinterest,penaltyandotherrelevantexpensesetc.（subjecttotheclauseofArt.3.1）

Art.4IndependenceoftheContract

ThecontractisimpendentandunconditionalwithouttheinfluenceofCreditAwardingAgreement;noranyagreement/documentsignedbetweenPartyB（orCreditApplicant）andanyperson/organization;norchangeduetocheat,reorganization,closingdown,dismission,bankruptcy,audit,consolidation,separation,reformofacompanyofPartyB（orCreditApplicant）;northetolerance,graceorpostponementinperformanceofthecreditor’srightsandinterestsPartyAshallenjoyonthepartofPartyB（orCreditApplicant）underCreditAwardingAgreement.Otherwisemortgageorguarantoratthesametime,thusPartyAwaivesthesequenceofmortgages,waives,altersorannulsothermortgage,alters,annulstheliabilityofguarantor,orPartyArequiresPartyBtoassumethewarrantyliabilityfirst.PartyBshallassumetheliabilitywarrantyforPartyAinaccordingwiththeprovisionsofthismortgagecontract.

Art.5MortgagePeriod

Mortgageperiodmeanstheperiodfromthedateofexecutionofthiscontracttoexpirationtimeoflawsui
