A.Introduction

1.SourceofFunds

1.1TheTendereenamedintheVolumeIISection6"

BidDataSheet"

ofthebiddingdocumentshas

obtainedafund/loan.TheTendereeintendstoapplyaportionoftheproceedsofthisfund/loantothepaymentsunderthecontractforwhichthisInvitationforBidsisissued.

2.TenderingAgentandEligibleBidders

2.1TenderingAgent

TheTenderingAgentforICBProcurementofMechanicandElectronicProducts（hereinafterreferredtoas"

TenderingAgent"

）meanstheLegalPersonapprovedandauthorizedbytheMinistryofCommercetohandletheprocurementofmechanicandelectronicproductsbywayofInternationalCompetitiveBidding（ICB）inaccordancewiththeMeasuresforExaminingandApprovingtheQualificationofInternationalTenderingInstitutionsforElectromechanicalProducts,DecreeNo.6,2005oftheMinistryofCommerceofthePeople’sRepublicofChina.Detailssuchasname,address,telephoneandfacsimileoftheTenderingAgentforthisbiddingarelistedintheBidDataSheet.

2.2EligibleBidders

1）Biddersarelegalpersonsorotherorganizationswhoparticipateinbidding.ThisInvitationforBidsisopentoallsuppliersfromwithinthePeople'

sRepublicofChina（hereinafterabb.as"

PRC"

）andallcountries/areaswhichhaveregulartraderelationswithPRC（hereinaftercalled"

theeligiblesourcecountries/areas"

）,exceptasprovidedhereinafter.

2）Biddersshouldnotbeassociated,directlyorindirectly,withafirmoranyofitsaffiliateswhichhavebeenengagedbytheTendereetoprovideconsultingservicesforthepreparationofthedesign,specifications,andotherdocumentstobeusedfortheprocurementofthegoodstobepurchasedunderthisInvitationforBids.

3）TheSuppliersmayparticipateinthebidsonlyiftheyarelegallyandfinanciallyautonomous,iftheyoperateunderrelevantlaw,andiftheyarenotadependentagencyoftheTenderingAgentandtheTenderee.

3.EligibleGoodsandServices

3.1Allgoodsandrelatedservicestobesuppliedunderthecontractshallhavetheiroriginineligiblesourcecountries/areas,asdefinedinclause2.2above,andallexpendituresmadeunderthecontractwillbelimitedtosuchgoodsandservices.

3.2Forpurposesofthisclause,"

origin"

meanstheplacewherethegoodsaremined,grownorproduced,ortheplacefromwhichtherelatedservicesaresupplied.Goodsareproducedwhen,throughmanufacturing,processing,orsubstantialandmajorassemblyofcomponents,acommercially-recognizedproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutilityfromitscomponents.

3.3TheoriginofgoodsandservicesisdistinctfromthenationalityoftheBidder.

4.CostofBid

4.1TheBiddershallbearallcostsassociatedwiththepreparationandsubmissionofitsbid,andtheTenderingAgentandtheTenderee,namedintheBidDataSheet,willinnocaseberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebidprocess.

B.TheBiddingDocuments

5.CompilationPrincipleandContentofBiddingDocuments

5.1Thebiddingdocumentiscompiledbasedon“TheBiddingLawofthePeople’sRepublicofChina”andOrderNo.13[2004]oftheMinistryofCommerce“TheMeasuresfortheImplementationofInternationalCompetitiveBiddingofMechanicalandElectricalProducts.”

5.2Thegoodsrequired,biddingproceduresandcontracttermsareprescribedinthebiddingdocuments.ThebiddingdocumentiswritteneitherbyChineseorbyChineseandEnglish.InthecaseofChineseandEnglish,twolanguageshavethesameeffectiveness.Intheeventofanydiscrepanciesbetweenthem,theChineseversionshallgovern.

5.3TheBidderisexpectedtoexamineallinstructions,forms,termsandspecificationsinthebiddingdocuments.FailuretofurnishallinformationrequiredbythebiddingdocumentsortosubmitabidnotsubstantiallyresponsivetothebiddingdocumentsineveryrespectwillbeattheBidder'

sriskandmayresultintherejectionofitsbid.

6.ClarificationofBiddingDocuments

6.1AprospectiveBidderrequiringanyclarificationofthebiddingdocumentsmaynotifytheTenderingAgentandtheTendereeinwriting.TheTenderingAgentwillrespondinwritingtoanyrequestforclarificationofthebiddingdocumentswhichitreceivesnolaterthanfive（5）dayspriortothedeadlineforthesubmissionofbidsprescribedintheBidDataSheet.WrittencopiesoftheTenderingAgent'

sresponse（withoutidentifyingthesourceofinquiry）willbesenttoallprospectivebidderswhohavepurchasedthebiddingdocuments.

6.2IftheBidderregardsanydiscriminationclauseorunreasonablerequirementinthebiddingdocument,heshallsubmitonceandforallinthestipulatedtime.

7.AmendmentofBiddingDocuments

7.1Priortothedeadlineforsubmissionofbids,theTenderingAgent,foranyreason,whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectiveBidder,maymodifythebiddingdocumentsbyamendment.

7.2Allprospectivebidderswhohavepurchasedthebiddingdocumentswillbenotifiedoftheamendmentinwriting,andwillbebindingonthem.Theamendmentisapartofthebiddingdocument.ProspectiveBiddersshallpromptlyacknowledgethereceiptthereofinwritingtotheTenderingAgent/theTenderee.

7.3Inordertoaffordprospectivebiddersreasonabletimeinwhichtotaketheamendmentintoaccountinpreparingtheirbids,theTenderingAgent,atitsdiscretion,
