ThepurposeofthisWorkshopisfirstlytotellyoualittlebitaboutthebackgroundtothenewdocument,alittlebitabouthowthenewdocumentwilllook,andthensomeofthekeyissueswehavebeenlookingatwhichhaveperhapsgivenrisetothemaindiscussionswithintheTaskGroup.

1.BackgroundtotheDBOFormDBO合同的背景

TheDBOapproachtocontractingcombinesdesign,construction,andlong-termoperation（andmaintenance）ofafacilityintoonesinglecontractawardedtoasinglecontractor（whowillusuallybeajointventureorconsortiumrepresentingalltheskillscalledforinaDBOarrangement）.

《设计-建造-运行》（DBO）合同承包方式是将设计、建造、设备长期运行（和维护）结合到一个合同中授予一个承包商（一般是具有《设计-建造-运行》合同要求所有技能的联营体或联合体）

Anearlyconsiderationwastolookattheprosandconsofcarryingoutaproject–whichisessentiallymadeupoftwoprincipleperiods–theDesign-BuildperiodandtheOperationperiod–asasinglecontractwithasinglecontractor–ratherthanusetheFIDICYellowBookfortheDesign-BuildandprepareanewdocumentfortheOperationpart.

首先要考虑的实施项目正反两方面的因素——是什么本质原因要分为两个主要周期—设计和建造期和运行期，用一个合同发包给一个承包商，而不采用FIDIC黄皮书中的设计-建造条款和为运行部分准备一份新的文件、

BasicallythesuccessofatrueDBOcontractdependsonthecommitmentofthecontractortothecompleteproject-andthebestwaytodothatistocoverthewholeDBplustheoperationelementsinasinglecontract.

真正DBO合同成功的基础依靠承包商完成项目的承诺。

最好的方法是在一个合同中包含设计-建造及运营整个部分。

TheformatofaDBOarrangementcanbebasedoneithera‘greenfield’scenario（D-B-O）,orona‘brownfield’scenario（O-D-B）.Eitherisquitecommon,howeverthecontractualrequirementsandproceduresarequitedifferent.

DBO合同安排的形式基于“新建”模式（（D-B-O），或者是基于“非新建”模式（O-D-B）。

两种方式十分相同，可是合同安排和程序却十分不同。

FIDIChaschosentoproduceadocumentbasedontheDBOgreenfieldscenario,withaGuidecontainingguidelinesonthechangesnecessarytocoverabrownfieldarrangement.

FIDIC选择了基于“新建”模式制定DBO合同文件，对涵盖“非新建”模式条款的必要变化在《指南》中有说明。

TheotherfactorwehadtoconsiderwasthelengthoftheOperationperiod,sincetheconditionssuitableforlong-termoperationarenotnecessarilysuitableforashort-termoperation.FromtheexperienceoftheDBOmembersitwasdecidedthatthemostusefulperiodtoconsiderwas20yearsoperation–againgivingguidelinesifashorterperiodwasrequired.

另外要考虑的因素是运营期的长短，适合长时间的运营的条件不见得就适合短时间的运营。

DBO工作组成员的经验表明了20年的运营期是恰当——如果要求运营的时间短的话，《指南》再一次有说明。

2.AdvantagesofDBODBO合同的优点

TherearemanyadvantagesofusingtheDBOapproach.使用DBO模式有许多的优点

However,aswithallformsofContract,ifoneattemptstousetheDBOformonprojectswhicharenotsuitableforthisapproach–theadvantagesandbenefitswillbelost.

但是，正如所有合同形式一样，如果谁尝试在不适合DBO模式的工程适用DBO合同形式，

DBO合同的优点及好处就将失去。

Withpossibilitiestooverlapsomedesignandbuildactivesitwillbepossibletominimizedelaysandoptimizethesmoothflowofconstructionactivities.

FinancialWithcostrestraintsandcommitmentsandotherrisksbeingcarriedbytheContractor,thereislessriskofpriceover-runs.

由于成本限制、承担义务及其它的风险由承包商承担，工程价格的失控的风险很小。

QualityWiththeContractorresponsiblefor20yearsoperation,hehasaninteresttodesignandbuildqualityplantwithlowoperationandmaintenancecosts.Notonlywillthenplantbe‘fitforpurpose’butitwillbebuilttolast.

质量：

3.TheNewDBODocument.新的DBO文件

TheformatofthenewdocumentfollowsthetraditionalformatandlayoutofpreviousFIDICdocuments,with20clauses,and,whereappropriate,usingthesameterminologyanddefinitionswhicharefoundintheotherdocuments.

新的文件编排遵循了先前FIDIC文件的20条的传统编排及布局，并且，一般情况下，使用了其他文件中同样的术语和定义。

ThedocumentwillhaveGeneralConditions,ParticularConditions,flowchartsandsampleforms–justliketheotherFIDICdocuments,andaGuidewhichwillincludeguidelinesonhowtochangetheclausesifitisrequiredtohaveadocumentfora‘brownfield’situation,oranoperationperiodsignificantlydifferenttothe20yearswehaveadopted.

Clause1GeneralProvisions第一条总则

Definitions.TheseareessentiallythesameasotherFIDICdocumentsalthoughnewdefinitionshavebeenadded–forexample:

Cleardefinitionsof‘Design-Build’and‘OperationService’.

‘LicenceAgreement’istheagreementneededbywhichtheEmployergivestheContractorauthoritytooperatetheplantonhisbehalf.

“特许协议”是业主授权承包商代表业主运营设备的协议。

Clauses2,3and4whichcovertherolesoftheEmployer,theEmployer’sRepresentativeandtheContractorareverysimilartotherolesassignedtotheminotherFIDICdocuments.

第二条、第三条和第四条涵盖了业主、业主代表和承包商的作用，同FIDIC其它的合同文件规定十分相同。

Clauses5（Design）,6（StaffandLabour）and7（PlantMaterialsandWorkmanship）,allverysimilartootherFIDICdocuments–withwordingextendedwherenecessarytocovertheOperationServicePeriod.

第五条（设计），第六条（职员和劳务）和第七条（工程设备、材料和工艺），均同FIDIC其它合同文件相同，这些措词扩大到必须涵盖运营服务期。

Wenowcometoseveralclauseswhichdifferconsiderablyfortheotherdocuments.ThereasonforthisistheneedtodifferentiatebetweentheDesign-BuildPeriodandtheOperationServicePeriod,andtocreateproperandworkableprovisionsforthemomentintimeoftransferbetweenthetwo.

现在我们涉及到同其它合同文件不同条款。

不同的原因是要区分设计—建造期和运营服务期，在两个期间及时转换时设计合适的和可操作的条款

Clause8–CommencementDate.ThisdealswiththeprovisionsofCommencement,TimeforCompletion,Programme,DelaysandCompletionoftheContractasawhole–whichincludestheDesign-BuildPeriodandtheOperationServicePeriod,withfundamentalrequirementssimilartothoseinClause8oftheotherbooks.

第八条—开工日。

这是处理开工条款、完工日、工程进展、延误和合同整体完成，包含设计—建造期和运营服务期，同其它合同书中的第八条基本要求相同。

Clause9iscalled“Design-Build”anddealsspecificallywiththeDesign-BuildPeriod.Theprovisionshereareverysimilartothoseforadesign-buildassignmentcarriedoutundertheYellowBook.

第九条称作“设计—建造”和专门处理设计—建造期事务。

本规定同黄皮书中实施的设计—建造的规定十分相同。
