1TheContract
Definitions 1.1IntheContract（asdefinedbelow）thewordsandexpressionsdefinedblowshallhavethemeaningsassignedtothem,exceptwherethecontextrequires,otherwise:
1.1.1Documents
1.1.1.1 “Contract”meanstheseConditionsofContract（PartsIandII）,theEmployer'
sRequirements,theTender,theContractor'
sProposal,theSchedules,theLetterofAcceptance,theContractAgreement（ifcompleted）andsuchfurtherdocumentsasmaybeexpresslyincorporatedintheLetterofAcceptanceorContractAgreement（ifcompleted）.
1.1.1.2“EmployerRequirements”meansthedescriptionofthescope,standard,designcriteria（ifany）andprogrammeofwork,asincludedintheContract,andanyalterationsandmodificationstheretoinaccordancewiththeContract.
1.1.1.3“Tender”meanstheContractor'
spricedoffertotheEmployerfortheWorks,asacceptedbytheLetterofAcceptance.
1.1.1.4 “AppendixtoTender”,meansthecompletedappendixcomprisedintheTender.
1.1.1.5 “Contractor’sProposal”meansthepreliminarydesignsubmittedwiththeTender,asincludedintheContract.
1.1.1.6 “Schedules”meanstheinformationanddatasubmittedwiththeTender,asincludedintheContract.
1.1.1.7 “ScheduleofPayments”meanstheScheduledesignatedassuch（ifany）,referredtoinSub-Clause13.4.
1.1.1.8 “LetterofAcceptance”meanstheformalacceptancebytheEmployeroftheTender.

1.1.1.9“ContractAgreement”meansthecontractagreement（ifany）referredtoinSub-Clause1.5.
1.1.2Persons
1.1.2.1“Employer”meansthepersonnamedassuchintheAppendixtoTenderandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththecontentoftheContractor）anyassigneeofsuchperson.
1.1.2.2“Contractor”meansthepersonwhoseTenderhasbeenacceptedbytheEmployerandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththecontentoftheEmployer）anyassigneeofsuchperson.
1.1.2.3 “Employer’sRepresentative”meansthepersonappointedbytheEmployertoactasEmployer’sRepresentativeforthepurposesoftheContractandnamedassuchintheAppendixtoTender,orotherpersonappointedfromtimetotimebytheEmployerandnotifiedassuchtotheContractor.
1.1.2.4“Contractor’sRepresentative”meanstheperson（ifany）namedassuchintheContractorotherpersonappointedfromtimetotimebytheContractorunderSub-Clause4.3.
1.1.2.5“Subcontractor”meansanypersonnamedintheContractasasubcontractor,manufacturerorsupplierforapartoftheWorksoranypersontowhomapartoftheWorkshasbeensubcontractedinaccordancewithSub-Clause4.5,andthelegalsuccessorsintitletosuchperson,butnotanyassigneeofsuchperson.
1.1.2.6“DisputeAdjudicationBoard”meansthepersonorpersonsnamedassuchintheContractorotherpersonorpersonsappointedfromtimetotimeunderSub-Clause20.3.
1.1.3Dates,TimesandPeriods
1.1.3.1“BaseDate”meansthedate28dayspriortothelatestdateforsubmissionoftheTenderforacceptancebytheEmployer.（Latestdate）
1.1.3.2“EffectiveDate”meansthedateonwhichtheContractenteredintolegalforceandeffect.
1.1.3.3“CommencementDate”meansthedateonwhichtheContractorreceivesthenoticetocommenceissuedbytheEmployer’sRepresentativeunderSub-Clause8.1.
1.1.3.4“TimeforCompletion”meansthetimeforcompletingtheWorksoraSection（asthecasemaybe）,andpassingtheTestsonCompletion,asstatedintheAppendixtoTender（orasextendedunderS
