　　在本协议中，除非文中另有明确规定，下列短语具有以下意思：

　　1．“合营企业”，系指根据本协议建立的公司。

　　1.“jointventure”meansthecorporationtobeorganizedpursuanttotheprovisionsofarticle2hereto.

　　第二条　建立合营企业

　　1．甲方和乙方按照中华人民共和国的法律建立合营企业。

　　4．合营企业的组织形式为有限责任公司。

甲乙双方以各自认缴的出资额对合营公司的债务承担责任。

各方按其出资额在注册资本中的比例分享利润和分担风险及亏损。

　　第三条　生产经营的目的、范围和规模

　　1．甲、乙双方合资经营的目的是：

本着加强经济合作和扩大技术交流的愿望，采用先进而适用的技术和科学的经营管理方法，提高产品质量，开发新产品，并在质量、价格等方面具有国际市场上的竞争能力，提高经济效益，使投资各方获得满意的经济利益。

　　1.inlinewiththespiritofstrengtheningeconomiccooperationandexpandingtechnicalexchange，jointventureistousestate-of-the-artandappropriatetechnologyandequipment，withefficientmanagementsystems，toproducelicensedproductwhichshallbeoftopqualityandpetitiveintheworldmarkets，soastoachievesatisfactoryeconomicreturns.

合营企业将努力改进许可产品，改善管理，以适应国际竞争。

　　第四条　资本结构

　　　乙方向甲方提供工业产权的技术资料包括影印本的专利证书和注册商标证书、有效期说明、技术特点、实际价值、价格计算依据等。

　　（4）partybshallpresenttopartyatherelevantdocumentationontheindustrialpropertyincludingphotocopiesofthepatentcertificatesandtrademarkregistrationcertificates，statementsofvalidity，theirtechnicalcharacteristics，practicalvalue，thebasisforcalculatingtheprice，etc.

　　4．合营企业各方必须在_________年_________月_________日前交付其出资。

迟交必须交纳利息或赔偿因此而造成的损失。

　　第五条　专利许可

　　article5　patentlicensingarrangement

　　1．乙方同意向合营企业转让下列许可：

　　1.partybagreestograntjointventurethefollowingexclusivelicences:

　　　专利独占许可——依据本协议的专利许可协议，用乙方专利生产、使用和销售许可产品。

（1）anexclusivelicensetomanufacture

　　，useandselllicensedproductunderpartyb'spatentsaccordingtothetermsandconditionsofthepatentlicenseagreementattachedhereto.

　　　商标独占许可——依据本协议的专利许可协议，用乙方商标销售许可产品。

（2）anexclusivelicensetousetrademarkinmarketinglicensedproductaccordingtothetermsandconditionsofthetrademarklicenseagreementattachedhereto.

　　　专有技术独占许可——根据本协议的技术援助协议，用乙方专有技术生产和销售专利产品。

　　（3）anexclusivelicensetopractisepartyb'sknow-howformanufacturingandmarketinglicensedproductaccordingtothetermsandconditionsofthetechnicalasistanceagreementattachedhereto.

　　2．甲乙双方同意，在执行本协议的同时，将全面贯彻执行上述三个协议：

专利许可协议、商标许可协议和技术援助协议。

　　2.partyaandpartybagreethatsimultaneouslywiththeexecutionofthisagreement，theyshallcarryout，theabovethreeagreements--thepatentlicenseagreement，thetrademarklicenseagreementandthetechnicalassistanceagreement.

　　第六条　产品销售

　　article6　　marketingarrangements

　　1．甲乙双方共同负责销售许可产品。

　　1.partyaandpartybshallberesponsibleforthesalesoflicensedproduct.

　　2．通过乙方世界销售系统销售的产品初期销售量为总产量的_________％。

同时，甲方将协助合营企业通过中国的外贸公司出口许可产品。

　　2.theinitialamountoflicensedproducttobesoldontheforeignmarketsis　_________%ofthetotalproductionthroughpartyb'smarketingsystemworldwide.meanwhilepartyashallhelpjointventuretoexportlicensedproductthroughchina'stradeestablishments.

　　3．许可产品也可以在中国市场出售。

　　4．中营企业所需购买的原材料、半成品、燃料和配套件等，在条件相同的情况下，应首先在中国购买。

当然，也可使用自己的外汇直接从世界市场购进。

　　4.inpurchaseoftherequiredrawmaterialsandsemiprocessedproducts，fuels，auxiliaryequipmentetc.，jointventureshallgivefirstprioritytochinesesourceswhereconditionsarethesame，butmayalsoacquirethemdirectlyfromtheworldmarketwithitsownforeignexchangefunds.

　　第七条　董事会

　　article7　　boardofdirectors

　　1．董事会是合营企业的领导机构，负责合营企业的主要事宜。

　　1.theboardofdirectorsisthetople

　　adershipofjointventure.　itisresponsibleforallmajorissuesconcerningjointventure.

　　2．董事会由_________名董事组成，其中_________名由甲方指定；_________名由乙方指定。

董事的任期为_________年，若双方同意，任期可以延长。

　　3．董事会每年召开一次，原则上在合营企业的法定地址举行。

出席会议的法定人数不得少于董事人数的2／3。

若董事不能出席会议，应授权代表出席会议，代表他投票。

若在任期内，因死亡、退休或因其他原因，董事在任期届满前不能履行职责者，双方同意充分合作，并由因其指定的董事死亡、退休或其他原因造成空位的一方给予更换。

　　3.boardmeetingsshallgenerallybeheldatthelocationofjointventure'slegaladdress，onceeachyear.　aquorumforameetingshallconsistofnotfewerthantwothirds（2/3）ofthedirectors.　shouldanydirectorbeunabletoattendthemeeting，heshallauthorizearepresentativetobepresentatthemeetingandvotefor　caseadirectordies，resigns，orisotherwiseunabletofulfilhisdutiespriortothefulfilmentofhisterm，thepartiesagreetocooperatefullytohaveashisreplacementadirectornominatedbythepartythatnominatedthedirectorwhosedeath，resignationorotherconditionscreatedthevacancy.

　　4．对于下列问题，必须经出席会议的董事一致通过，方可作出决定：

　　4.decisionsonthefollowingitemsshallbemadeonlywhenunanimouslyagreeduponbythedirectorspresentattheboardmeeting.

　　　修改合营企业章程；

（1）amendmenttothearticlesofincorporationofjointventure；

　　　终止和解散合营企业；

（2）terminationanddissolutionofjointventure；

　　　增加或转让合营企业的注册资本；

　　（3）increaseorassignmnetoftheregisteredcapitalofjointventure；

　　　合营企业同其他经济组织合并。

　　（4）mergerofjointventurewithanothereconomicorganization.

　　其他问题的决定，以出席会议董事人数的微弱多数票作出。

　　decisionsonotheritemsshallbemadebyasimplemajorityvoteofthedir

　　ectorspresentatthemeeting.

　　第八条　管理

　　article8　　management

　　1．合营企业设经营管理机构，负责企业的日常经营管理工作。

　　1.jointventureshallestablishamanagementofficewhichshallberesponsiblefordailymanagementofjointventure.

　　2．经营管理机构设经理1人、副经理2人，任期4年。

总经理由甲方指定，负责执行董事会的决议和日常管理工作。

副总经理由双方各指定1人，协助总经理工作。

　　2
