买方和卖方同意买和卖以下条款所涉及的相关红土镍矿
Nowtherefore,theSelleragreestosellandtheBuyeragreestopurchasetheLateriteNickelOreonthefollowingtermsandconditions:

Oresshallbefreeofdeleteriousimpuritiesandsuitableandsafeforoceantransportationwithrespecttomoisturecontent,beingwithinthelimitslaiddownintheinternationalMaritimeOrganization（IMO）CodeofSafePracticeforSolidBulkCargoesprevailingatthetimeofshipment,beingwithinthelimitlaiddownbyChineseLawforimportoreradiation.Ifanyotherelementsarefoundtohavedetrimentaleffectonthematerial,theSellershallberesponsible.
矿物中不能含有有害物质，所包含的水分适合港口运输，遵循国际海洋运输组织的固体货物散货运输的相关条例，遵守中国的相关进口法律。
如果在货物中发现有影响海运的因素，由卖方负责。

NickelContent:
镍含量
TheunitpricewillbeincreasedordecreasebyUSD1.00/WMTforeach0.01%Nicontenthigherorlowerthan2.0%.
镍含量高于2.0%，每超过0.01%，则价格上升1.00美元/湿吨；镍含量低于2.0%，每降低0.01%，则价格下降1.00美元/湿吨。
IncasetheNicontentisbelow1.85%（notincluding）,theBuyerhastherighttorejectthecargooracceptitunderdifferenttermsandconditionsre-negotiated.
如果镍含量低于1.85%（不包括），买方有权拒收或双方重新议价。

IntheeventtheTotalMoistureexceeds33%,thenweightshownonInvoicewillbeformulatedasfollows:

如果全水的比例超过33%,那么发票上的金额按以下公式计算:
发票结算重量=吃水重量*（100%-（质量报告百分比-33%）
Moisturecontentabove35%（wetbasis）inanycase,thebuyerhastherighttorejectthecargoorrenegotiatetheprice.水分的含量高于35%（湿公吨）,买方有权拒收货物或重新协商价格。
CLAUSE07:
PAYMENT
条款7：
付款
7.1Withinfive（5）workingdaysafterthisContractissignedbytheSellerandtheBuyerandthebuyerreceivestheperformancebondfromtheSuretyInsurancePhil.with2%ofshipmentvaluepaidbythesellerorsupplier,theBuyershallissueanirrevocable,transferable,confirmedLetterofCreditatsightinfavoroftheSellerfromafirstclassinternationalbankinChina,covering100%oftheshipmentvalueplus/minus10%allowable.ThisLetterofCreditshallbevalidforninety（90）daysaftertheB/Ldate.EachL/Cshouldbeopenedforeachshipment.
在该合同签订之后，买方收到卖方或供货商开出的2%履约保函5个工作日内，买方应通过中国1级银行向卖方开具包含货物价值100%的、溢短装10%的、不可撤销的、可转让的,可确认,以卖方为受益人的即期信用证。
该信用证的有效期为提单日期之后90天。
一船一开证。
7.2Within5workingdaysuponsignatureofthecontract,theSellerorsuppliershallissueaunconditionalperformancebondfromSuretyInsurancePhil.equivalentto2%oftheshipmentvalue,totheBuyer’sdesignatedbank.TheexpirydateofthePBshouldbethesameastheLCexpirydate.IncasetheSellerfailstomaketheshipmentwithin15daysafterthelatestdateofshipment,thebuyerhastherighttodetaintheperformancebondasthecompensationfromtheseller.
在该合同签订之后卖方应在5个工作日内将全部货款2%的无条件履约保函开到买方指定的银行，保函的有效期限要与信用证有效期相同。
如果卖方未能在最晚装船日后15天内装运货物，买方有权扣留该履约保函作为卖方赔偿金给买方。
7.3DOCUMENTSREQUIRED
单据要求
1.SellershallpresentthefollowingdocumentstotheSeller’snominatednegotiatingbankfortheprovisionalpayment（95%ofcargovalue）.
卖方将向买方议付银行出具以下文件，议付首期货款（95%的货物总金额）
（1）Seller’ssignedprovisionalcommercialinvoiceinthree（3）originalsandthree（3）copiesindicatingtheprovisionalpaymentamount（95%oftotalcargovalue）and100%ofcargovaluebasedoncertificateofqualityandcertificateofweightissuedbyBeneficiaryatloadingport.
基于装货港受益人出具的质量和重量证书的三份首付款发票正本和三份副本，注明首期付款金额（95%的货物总金额）和100%的货物总金额。
（2）Fullset（includingthree（3）originalsandthree（3）non-negotiablecopies）of“Cleanonboard”charterpartybillsofladingmadeoutorder,blankendorsed,marked“Freightpayableaspercharterparty”notifyingapplicant.
全套（3正3付）清洁提单，空白背书，运费根据租船合同预付。
（3）CertificateofWeightissuedbyINTERTEKPhilippinesatloadingportinone
（1）originalandtwo
（2）copies.
Phil.INTERTEK在装港开具的1正2付重量证

菲律滨INTERTEK在装港开具的1正2付质量证

（2）copiesissuedbychamberofcommerceorrelevantauthorities.
由商会或相关部门开具的1正2付原产地证。
Theabovedocumentsshouldbepresentedwithin7workingdaysaftertheshipmentdatebutwithinLCvaliddate以上单据需在提单日后7个工作日内提交且需在信用证有效期之内。
2.DocumentsrequiredforBalanceFinalPayment:
最终付款所需要的单据
（1）Finalcommercialinvoiceinthree（3）originalsshowingthebalanceofcargovalue（finaltotalamountdeductprovisionalpayment）basedonINTERTEKcertificateatthedestinationport.
基于到港后INTERTEK检验证书的3份注有调整后货物金额（最终总金额减先期付款金额）的发票

Atloadingport,theSellershallarrangeINTERTEKPhil.todeterminetheweightshipmentcargobydraftsurveyvesselinaccordancewithinternationalstandardsatseller’scost.TheCertificateofWeightthusissuedbyINTERTEKPhil.atloadingportshallbebasisfortheweightatloadingport.
在装港：
卖方自费委托_____的INTERTEK按国际标准对运输货物进行水尺测重，并出具重量证书作为装港重量。
Atdischargingport,theBuyershall,atBuyer’sexpense,arrangeCCICasanindependentandinternationallyrecognizedinspectioncompanytodeterminetheweightofshipmentcargobydraftsurveyinaccordancewithinternationalstandards.TheCertificateofWeightissuedbyCCICshallbetheweightatdischargingport.
在卸港，买方自费委托CCIC或国际认可的检验公司按国际标准对货物进行水尺测量。
出具重量证书为卸港重量。
TheCertificateofWeightissuedbyCCICatdischargingportshallbethefinalweightforfinalpayment.
卸港CCIC重量证书为最终结算依据。
EitherBuyerorSellerhastherighttosendhisrepresentativeorentrustthirdpartytowitness/joininweightinspectiontogetherwithINTERTEKatitsownexpense.Incaseonepartydecidestodoso,theotherpartyshallgivefullsupportandhelptogetallnecessarypermitstoentertheportortotherelevantlaboratory.
双方均有权自费派代表去参与货物水尺测量（或自费委托第三方与INTERTEK一起测重）。
如果需要，则另一方应无条件允许和帮助另一方的代表。
TheCertificateofWeightissuedbyCCICshallbeforwardedtotheSellerwithin45workingdaysafterthedischargecompletionatdischargingport.OtherwisetheCertificateofWeightissuedbyINTERTEKPhil.atloadingportwillbetakenasfinal.
在中国卸港的重量检验报告应在卸港完成卸货后45个工作日内出具，如果逾期未出，则按_______装港INTERTEK作为最终结算重量。
Also,theBuyerhas45（fortyfive）workingdaysinwhichtonotifysellerofanyclaimfordamagesbasedonthecondition,grade,quantityorqualityofthegoods.Suchnoticemustspecifyindetailtheparticularsoftheclaim.Failuretoprovidesuchnoticewithintherequisitetimeperiodconstitutesirrevocableacceptanceofthegoods.
同时，买方有45个工作日去通知卖方相关货物数量，质量等损失的索赔。
此通知必须详细指定要求。
超过该时间，没有提供通知的，则视为接受货物。
CLAUSE09:
QUALITYINSPECTION
条款9：
货物品质检验
Atloadingport,theSellershall,atSeller’sexpense,arrangeINTERTEKPhil.totakesampleandconductanalysisofshipmentcargoanddeterminethespecificationsinaccordancewithinternationalstandards.TheCertificateofQualitythusissuedbyINTERTEKPhil.atloadingportshallbebasisforqualityatloadingport.
在装港，卖方自费委托_____的INTERTEK按国际标准以合同规定的成分标准进行货物品质检验并出具品质检验证书作为装港货物品质依据。
Atdischargingport,theBuyershall,atBuyer’sexpense,arrangeINTERTEKCHINAorotherinternationalinspectioncompanyagreedbybothpartiestotakesampleandconductanalysisofshipmentcargoanddeterminethespecificationsstipulatedinthecontractinaccordancewithinternationalstandards.ThecertificateofqualityissuedbyINTERTEKCHINAorotherinternationalinspectioncompanyagreedbybothpartiesshallbethebasisofqualityatthedischargingport.
在卸货港，买方自费委托中国INTERTEK或国际认可的检验机构，按国际标准以合同规定的成份标准进行货物品质检验。
