ThisCONTRACT（hereinafterreferredtoas“CONTRACT”）ismadeandenteredintothis20thdayof

WHEREAS,CONTRACTORhasenteredintoaCONTRACTwiththeOWNER,andunderwhichcontract,hasundertakensuchworksandservicesasnecessaryforthePROJECTandistodesignandengineer,topurchaseequipmentandmaterialsforandtoconstructandcompletiontheWORKS.
鉴于承包商已与业主签订了承担上述项目所需的包括设计、设备材料采购、施工和竣工的服务合同；
WHEREAS,OWNERis,forthepurposeofdueimplementationofthePROJECT,desirousofemployinganexperiencedandcapableCONTRACTORandoflettingtheabovementionedWORKStosuchaCONTRACTOR,whichWOKRSareasdescribedinClause1“WORKTOBEPERFORM”hereof.
鉴于为完成此“项目”，业主欲有经验、能胜任的承包商承担本协议第1款中规定工程；
WHEREAS,OWNERdesiresthattheWORKSshouldbeexecutedbytheCONTRACTOR,andhasacceptedaCONTRACTOR’sOFFERfortheexecutionandcompletionofsuchWORKSandtheremedyingofanydefectstherein.
鉴于业主欲将该工程交由承包商实施，即已接受了承包商提交的承担实施和完成这些工程以及修补其中任何缺陷的投标书。
NowthisAGREEMENTwitnessesasfollows:
兹就以下事项达成本协议：
1.0Projectofcontract合同项目
1.1TheWORKSareherebylettoandareundertakenby,andshallbeperformedandcompletedbytheCONTRACTOR,whichWORKSareasdefinedintheattached“SCOPEOFWORK”and“TECHNICALDOCUMENT”.
承包商应按照所附“工作范围”和“技术文件”的定义执行并完成工程。
1.2TheOWNERshallaccordingtothetermsandconditionsoftheCONTRACTpaytheCONTRACTORthecompensationbeingtheFIXEDLUMPSUMPRICEhereunder,fortheWORKSdulyandfaithfullyperformedandproperlycompletedbytheCONTRACTORinaccordancewiththeCONTRACT.
在承包商按照合同规定真实、正确、及时地执行并完成工程，业主应根据合同条件以固定合同总价支付承包商。
1.3TheCONTRACTORshallfurnishallnecessarylaborandsupervisionthereof,constructionequipments,temporaryfacilities,equipmentandmaterials,consumablesandtransportationthereof,technicalandprofessionalservices,allrequiredfortheWORKS,andshallcarryoutalltheoperationsnecessaryandrequiredtoperformandcompletetheWORKSinaccordancewiththe
CONTRACTandtothereasonablesatisfactionoftheOWNER.
承包商应按照合同规定提供工程所需的全部劳务、监督、施工设备、临时设施、材料、耗材、运输及专业的技术服务，执行并完成工程直至业主满意。
2.0CONTRACTDOCUMENT合同文件
2.1ThefollowingdocumentsshallbedeemedtoformandbereadandconstructedaspartofthisCONTRACTinaccordancewiththebelowAgreementdescendingordershowingtheorderofprecedence.descendingordershowingtheorderofprecedence.
下列文件为合同的组成部分，其优先顺序按下列：
2.1.1ThisAGREEMENT本协议
2.1.2CLARIFICATIONS&CORRESPONDENCES澄清及通信
2.1.3SCOPEOFWORKS工作范围
2.1.4CONSTRUCTIONSCHEDULE施工进度
2.1.5CONTRACTOR’SPROPOSAL承包商投标书
2.1.6SITEGENERALCONDITIONS现场通用条件
2.1.7CONTRACTGENERALCONDITIONS合同通用条件
2.1.8TECHNICALDOCUMENTS技术文件
3.0FIXEDLUMPSUMPRICEANDPAYMENTTERMS固定合同总价和付款
3.1AsthefullconsiderationforthesatisfactoryperformanceandentiredischargebytheCONTRACTORofalloftheCONTRACTOR’sduties,obligations,responsibilitiesandliabilitiesundertheCONTRACT,theOWNERshallinaccordancewiththepaymenttermssetforthintheCONTRACT,paytheCONTRACTORtheFIXEDLUMPSUMPRICE.Agreement
在承包商根据合同规定履行其全部职责及义务，业主将按照合同支付条件以固定总价形式向承包商付款。
3.2TheCONTRACTORshallbedeemedtohavepursuedandsatisfiedhimselfsofarasispracticablehavingregardtoconsiderationsofScopeofWork,constructionperiod,drawings,siteconditions,regulationandspecificationbeforesubmittinghisTender,andcostincreaseinallrespectshasbeenestimatedandincludedintheTender.
应当认为承包商在报价时已对工作范围、工期、图纸、现场条件、规定及规范做出了详尽的了解并对其可行性表示满意，对一切费用的上升因素做了估计并已包含在合同的价格中。
3.3TheFIXEDLUMPSUMPRICEshall,regardlessofandchangeofworkingvolumeandsiteconditions,befirmandunchangedandsubjecttonoescalationfortheentireperioduntiltheCERTIFICATEOFACCEPTANCEofWORKSshallhavebeenissuedbytheOWNERtotheCONTRACTOR.
本固定合同总价在业主颁发工程验收证书之日的整个合同工期内不因工作量和现场条件的变化而调整。
3.4TheFIXEDLUMPSUMPRICEfortheCONTRACTORisRMB（RMBOnly）.
固定合同总价为人民币（人民元整）。
3.5PaymentTerms付款方式
3.5.1Downpayment预付款15%
3.5.2MilestonePaymentsof70%进度款70%

4.0INDENMNITY保障
4.1TheCONTRACTORagreestoassumethedefenseofandindemnifyandholdtheOWNERharmlessfromandagainstanyandallclaimsofanynaturewhatsoever,andthecostandexpense,includingcounselfees,ofdefendingthesame,baseduponorarisingoutofanyconstruction,installation,servicesorfacilitiesfurnishedbytheCONTRACTORunderorinconnectionwiththisCONTRACT.
承包商应保障业主免于因承包商按照合同进行施工、安装、服务或提供设施过程中对业主产生的任何性质的索赔和费用支出（包括律师费）。
4.2IftheCONTRACTORfailstoreacheachMilestoneTargetinfourteen（14）daysinsuccession,theOWNERhastherighttoterminatetheCONTRACTandchooseothercompetentCONTRACTORSasperClause46"SUSPENSIONANDTERMINATION”of“CONTRACTGENERALCONDITIONS”theascendingexpensescausedherebyshouldbeundertakenbytheCONTRACTORandthePERFORMANCEBONDshallbefullyconfiscatedundertheCONTRACT.
如承包商连续14天未能达到任何里程碑目标，业主有权按照“合同通用条件”第46款“暂停和终止”的规定终止合同并选择其它承包商，由此产生的额外费用由乙方承担，履约担保将被全额扣除。
5.0SCHEDULE进度
5.1TheCONTRACTORshallmobilizeforandperformandcompleteanyandallpartsoftheWOKRSinaccordancewiththeCONTRACTWORKSCHEUDLEorwiththesubsequentrevisionthereof,ifany.
承包商应按照合同进度计划或更新进度计划进行工程任何部分和全部的动员、施工和完工。
5.2TheCONTRACTORshallcleareveryMilestoneandProgressimposedontheCONTRACTORunder“CONTRUCTIONSCHEUDLE”.
承包商应按”施工进度计划”要求实现的每个里程碑目标。
5.3MaterializeCOMPLETIONOFWORKS,andtherebyachieveACCEPTANCEOFWORKS.
实现实质性完工及工程竣工。
6.0TAXES税收
6.1TheCONTRACTORshallpayallnational,provincialandmunicipalcontributionsandtaxes,whichmayarisefromtheperformanceoftheWORKS.Thisobligationshallextendtoimportduties,sales,license,consumption,grossreceipts,documentary,stampandothertaxesapplicable
tomaterialsfurnishedortotheWORKSperformedbytheCONTRACTOR,aswellastothosepayrollorpaymentreceivedbytheCONTRACTOR.TheCONTRACTORshallindemnifytheOWNERagainstanyliabilityforanysuchtaxes,contributionsandpremiums.
承包商应交纳国家及省、市要求的与工程有关的一切行政收费和税款。
此义务也适用于承包商为完成工程而提供的材料或执行工程而产生的有关进口、营业、执照、消费、收入、单据、印花等税收，也包括承包商应收款税收。
承包商应保证使业主免于任何税款及行政费用的征收。
7.0CONDUCTOFBUSINESS业务处理
7.1TheOWNERreservestherighttoterminatebusinessand/orwithholdalloutstandingpaymentsorbothifthereissubstantialevidenceindicatingcorruptpracticesontheCONTRACTOR'spartinthecourseofthisCONTRACT.
如果有确凿证据表明承包商在协议执行过程中有行贿行为，业主具有终止业务和/或不予支付未付款或同时采取这两项措施的权利。
7.2Corruptpracticesshallbedefinedasofferingofbribesinmoneyorkinds,Agreementcommissionstoemployee（s）ofOWNERoranyotheractivities,whichmaybeconstruedascorruptioninthecourtoflaw.commissionstoemployee（s）ofOWNERoranyotheractivities,whichmaybeconstruedascorruptioninthecourtoflaw.
行贿指向业主雇员提供依法被认定为贿赂性质的金钱和佣金之类行为。
7.3DrasticactionofsuchnatureshallonlybeexercisedwithconcreteevidencederivedfromathoroughinvestigationcarriedoutbyOWNER.
经彻底调查并有确凿证据时，业主将对此采取严历措施。
8.0COVENANTS承诺
8.1ThisAGREEMENTshallbecomeeffectiveimmediatelyuponsigningoftheAGREEMENTbybothpartiesheretoandshallcontinuetobeineffectfortheperiodneededforcompletionoftheparties’obligationshereunder,orasotherwiseprovidedunderthisAGREEMENT.
本协议经双方签署后立即生效，并在双方完成本协议规定的义务期限内或本协议另行规定的期限内持续有效。
8.2Inwitnesswhereofthepartieshereto,actingthroughtheirdulyauthorizedrepresentatives,havedulyexecutedthisAGREEMENTintwo
（2）originalsthedayandyearfirstabovewritten.
特此立据。
本协议书于上面所书日期，由双方正式授权代表于两份正本上订立。

我们已审查了招标文件包中所列的文件及各项招标公告，并签署出具本报价，愿意按照上述文件的要求执行该项工作，我们的报价为（此处用大写字和数字填入投标价格）。
HavingexaminedthedocumentslistedintheCFBpackageandthevariousBidBulletins,wetheundersignedoffertoexecutetheWORKSinconformitywiththesaiddocumentforasumof（insertherethebidpriceinlettersandfigures）.
如果我们的投标被接受，我们将开始工作，并承诺按分包合同草案附表C所列的时间完成并交付整套工程。
Weundertake,ifourbidisaccepted,tocommencetheWORKSandtocompleteanddeliverthewholeoftheWORKSwithinthetimestatedintheExhibitCofthedraftdocument.
我们在此保证：
Wecertifythat:
—我们已经审查并充分了解了分包文件草案的所有条款条件；
-WehaveexaminedandarefullyfamiliarwithalltheprovisionsofthedraftSUBCONTRACTdocuments,
—我们的投标与招标函完全一致；
-OurbidisfullycompliantwiththeletterofCallforBid,
—我们已经仔细审阅了本邀标函及其附件所有内容的精确性。
-Wehavecarefullyreviewedtheaccuracyofallstatementsinthisletterofinvitationtobidandattachmentshereto,
—通过仔细审查招标文件，并考虑了现场情况以及所有能产生影响的、或与之有关的条件和事件之后，对所有工作项目及可能影响工作或费用的所有其它事项，我们表示满意：
-BycarefulexaminationoftheCFBandbyconsiderationoftheSITEandallconditionsandmattersaffectingorappertainingtheretowehavesatisfiedourselversastothenatureandlocationofalltheWORKSandallothermatterswhichcaninanywayaffecttheWORKSorthecostthereof.
通过投递本标书，我们保证标书中的价格是独立达成的，并未出于限制竞争的目的而在该价格的任何一方面与任何其他投标方或任何竞争对手进行磋商、通讯，或达成任何协议或契约。
