SALES&PURCHASECONTRACT

 双方同意按照下列条款由卖方出售买方收购下列货物：

卖方收到买方银行不可撤销远期信用证35天之内完成装船.

8.单价PRICE

110．00美金（含90天远期利息）/干吨CIF中国天津新港

USD110.00（Include90daysinterests）/DMTCIFTianjinXingangPort,Chinaonbasisof64.5%

10.价格浮动调整PRICEADJUSTMENT

奖励与惩罚  BOUNSANDPENALTY

第7条中所规定的矿砂价格将依据下列奖惩措施进行调整:

ThepricesofOrestipulatedinClause7shallbeadjustedbythefollowingbonusesandpenalties:

（1）铁矿砂 IRONORE（FE）

奖励BOUNS

铁含量以64.5%为标准,每超过1.00%,则基础价按比例每干吨增长0.30美元.

Foreach1%ofFeabove64.5%,thebasispriceshallbeincreasedbyUSD0.30Per

DryMetricTone,fractionsprorata.

惩罚PENALTY:

铁含量以63.5%保证含量为准,每低1%,则基础价格按比例每干吨降低0.30美元:

Foreach1%ofFebelow64.5%,upto63.50%Fe,thebasepriceshallbedecreasedbyUSD0.30PerDryMetricTone,fractionsprorata.

（2）杂质 IMPURITIES

如果Alumina（Al2O3）,Silica（SiO2）,Sulphur（S）andPhosphorus（P）的含量分别超过第7条中所规定的各自保证的最大含量,则买方将接受按如下比例处罚的货物:

Al2O3

其含量以3.00%保证含量为准,每超过1.00%,则每干公吨价格下调0.05美元.

USD0.05PerDryMetricToneforeach1.00%inexcessof3.00%guaranteed.

其含量以0.08%保证含量为准，每超过0.01%，则每千公吨价格下调0.05美元。

USD0.05perDryMetricToneforeach0.01%inexcessof0.08%.

尺寸SIZE

A.10mm以上超过10%.则每千公吨价格下调0.20美元

B150微米以下超过30%.则每千公吨价格下调0.20美元

11.  付款PAYMENT

11.1.买方将开出以卖方为抬头的不可撤销的，可转让的100%远期信用证。

11.2.买方应在签订合同后7个工作日内开信用证

TheL/Cshallbeopenedwithin7workingdaysaftersigningthecontractwithSeller。

11.3.信用证应符合ICC,1993UCPCode500的规则及相关修正

TheLetterofCreditshallbeinconformitywithrulesofUCPCode500ofICC,1993revisionandsubsequentamendmentasondate.

11.4.信用证应该根据中国银行的相关条例开出。

TheLetterofCreditshallbeissuedaccordingtorelevantregulationsofChinaPeople’sBank.

12.DOCUMENTSFORPAYMENT.付款文件

A.CompletesetofCleanonBoardShippedBills（s）Ladingmadeouttoorder,blankendorsedmarkedFreightPrepaidandnotifyingportofdestinationintriplicate.

全套海运提单，标有运费已付，且注明目的港，一式三份。

B.ProvisionalInvoiceinoneoriginalandTwo

（2）copiesindicatingthecontractnumber,L/Cnumber,nameofcarryingvessel.

可提供的发票一份原件二份复印件，标有合同号，信用证号，船名称。

C.CopyoffaxadvisingshipmentaccordingtoClause12ofthiscontract.

传真复印件通知装船，根据本合同的第12条款。

D.CertificateofQualityandCertificateofWeightofcontractedgoodsinone

（1）originaland2（two）copieseachissuedbySGSandCIQ.TheCertificateofQualitytoshowactualresultsofthetestofchemicalcompositionandallothertestsascalledforinthiscontract.

分别由SGS和CIQ颁布的本合同货物的质量和重量检测证书1份原件2份复印件。

质量检测证书最终会显示化学成分和其他检测结果，正如在本合同中要求的那样。

E.CertificateofOrigin（Oneoriginalandthreecopies）tobeendorsedIissuedbyChamberofCommerceanddetailingloadedquality,commodity,carryingvesselandsuppliersnameandaddress.

由商业会馆发布的产地证明1份原件2份复印件，指出装货质量，品名，装船名称及供货商的名称和地址

F.Tobepresentedtothenegotiatingbank（Original）:

InspectionCertificateistobeissuedbytheSellerandthattheshipmentiscarriedoutasperthetermsandconditionoftheL/C

由卖方颁布的指出已按照信用证条款执行装船的检测证书（原件）递交银行。

G.A.3CopiesB.3CopiesC.3CopiesD.3CopiesE.3Copies.

13.装船通告 ADVICEOFSHIPMENT

在装运刚完成装载后,卖方采用传真的方式尽快的通知买方,但是在任何情况下都不得晚于3个工作日.（印度公休除外）.通知内容有:

合同号,货物描述,,发票，价格,装船重量,船名,海运提单号,装载日期,离港时间,货物临时分析结果及信用证号码.

Sellershall,assoonaspossible,butinanyeventnotmorethanthreeworkingdays（excludingIndianpublishholidays）aftercompletionofloadingattheportofloading,adviceBuyerbyfacsimile,ofthecontractnumber,descriptionofthegoods,invoice,weightshipped,nameofvessel,billofloadingnumberandloadingdate,dateofdeparture,provisionalanalysisofcargoandLetterofCreditnumber.

14.船运条款 SHIPPINGTERMS

A）船只VESSEL

本合同项下的所有货船的包租及分配均由卖方承担.买方保证在卸货港提供一个安全泊位供货船停泊.任何所有的税金,应付款及港口征收的各类费用均由买方承担.

Allvesselstocarryunderthiscontractshallbecharteredandallocatedbytheseller.BuyerguaranteestoprovideonesafeberthatthedischargingportuponvesselsarrivaltoaccommodateavesselwithBeamandI.OAasperpermissiblelimits.Anyandalltaxes,dueandwharfageonthecargoasleviedbythePortAuthoritiesaretotheBuyer’saccount.

B）卸货条款DischargingTerms

卸货条款依照CQD.Dischargingrate:

CQD

15.重量 WEIGHT

在装运港,SGS/QSS/MSK应该决定该批出运铁矿的重量（费用由卖方承担）.经卖方的分析验定证书认证后的重量是卖方制定发票的依据.

买方应委托中华人民共和国检验,检疫局（CIQ）在目的港对货物进行称重（费用由买方承担）,每批出运的重量应在目的港进行验定,经CIQ确认的重量应作为货物在货运中的湿重量.

干重量应由本合同第15条所描述扣除游离水分后决定,卖方可以委托其代表在卸货港对货物进行检验,费用由卖方承担.

Attheloadingport,Seller atSeller’sexpensetodeterminetheweightofshipmentoforebySGS/QSS/MSKLimited.TheweightoforeasascertainedandcertifiedtogetherwithSeller’sanalysiscertificateshallbebasisofSeller’sinvoice.

Buyershall, atBuyer’sexpense,appointedtheEntry-ExitinspectionandQuarantineofPeople’sRepublicofChina（CIQ）forweighingatthedischargingport.TheweightthusdeterminedbyCIQshallbefinalastowetquantityofrelevantshipment.

ThedryquantityshallbedeterminedbydeductingthefreemoisturereferredtoinClause15forsuchwetquantity,Sellermay,atSeller’sexpense,appointherrepresentativeforinspectionatthedischargingport.Ifnodraftsurveyisperformedatdischargingport,CertificateofWeightissuedatloadingportshallberegardedasfinal.

 16.样品分析   SAMPLINGANDANALYSIS

A）在装运港,卖方应确定该批发货铁粉的含量,并提供一份表明货物认定细节及自由水分在105度时的失重百分比的鉴定证书,卖方临时发票以此含水量为基准来计算:

相应的,在卸货港,CIQ应从整批货物中抽样,将样品分成三份:

一份给买方,一份预留为卖方可能的需要,最后一份由CIQ封样保管以备后来可能仲裁验定:

CIQ应为买方验定样品,并在卸货后的50天内开具一份表明货物化学成分百分比,自由水分在摄氏105度时的失重百分比以及相关筛析的认证证书,并应迅速通过航空邮寄法给卖方.除了下面B款所陈述的,CIQ的分析认证将是最终有效的.

Attheloadingport,SellershallatSeller’sexpensetodeterminethespecificationoforecontentintheshipmentandshallprovide acertificateshowingdetailsofthedeterminationandalsothepercentageoffreemoisturelossat105degreescentigradewhichshallbethebasisforSeller’sprovisionalinvoice.

Attheportofdischarge,CIQshallsamplefromshipmentanddivideintothreeparts,oneforBuyer,thesecondforpossibleneedofSellerandthirdforpossibleumpireanalysiswhichshallbesealedandkeptwithCIQ.

CIQshallanalyzethesampleforBuyerandwithin50daysofdischargeissueandpromptlyforwardtoSellerbyairmailacertificateshowingthepercentageofchemicalcontent,thepercentageoffreemoisturelossat105degreescentigradeandtherelevantagreeduponphysicalsizesCIQ’sanalysisshallbefinalexceptasotherwiseprovidedforinparagraphB.

 B）在装运港及卸货港所作的分析鉴定（看条款A）中，如果铁含量百分比的差异超过0.5%，或者在两方所作的鉴定中，除铁之外的其他化学成分也存在着明显的差异，则买卖双方应协商解决这一差异，以达成一致。

如果双方协商后，差异仍无法得到解决，那么应卖方的要求，应由双方同意的仲裁机构对留备仲裁的样品进行分析，验定，这一仲裁机构所开具的验定证书将作为对铁及其他相关化学成分或物理属性的最终结果。

Ifthedifferenceinpercentageof FecontentbetweenBuyer’sandSeller’sanalysismadeunderparagraphAofthisclauseismorethan0.5%orifthereexistsasignificantdifferencebetweenthetwosaidanalysisinrespectofanyoneofmorechemicalcontentsotherthanFeandphysicalproperties.SellershallconsultwithBuyertoreconcilesuchdifferences.IfafterconsultationbetweenSellerandBuyerthedifferencecannotbereconciled,thenattherequestofSellerthesampleofumpireshallbeanalyzedbyanumpireagreedbetweenBuyerandSellerandthecertificateofanalysisissuedbysuchumpireshallbefinalforFe,relevantchemicalcontentorphysicalproperties.

C）如果货物在卸货港没有被分析，验定，则SGS/QSS/MSK在装货港所的分析报告将作为对铁矿粉成分的最终鉴定。

在卸货港由CIQ作的重量，抽样，化学成分的分析，湿度鉴定以及筛析等证明所需的费用均由买方承担。

仲裁分析的费用将由认同仲裁分析有差异的一方承担，如果仲裁结果介于双方分析的中间值，则费用由双方承担。

如果买方认为有必要，可以授权代表或代表监督在装运港对货物检测的操作，其费用由买方自行承担。

同样，卖方也可以在卸货港做同样的委托。

Ifnodeterminationofanalysisisexercisedattheportofdischarge,Seller’sanalysiscertificateatloadingportshallbeconclusiveastospecificationsoftheore.Theweight,sampling,chemicalanalysis,moisturedeterminationandphysicalsizeperformedatthedischargingportbyCIQshallbeforBuyer’saccount.ThecostoftheumpireanalysisshallbefortheaccountofthepartywhoseownanalysisdiffersfartherfromumpireanalysisandiftheresultsofsuchumpireanalysisarethemeanoftheanalysisofBuyerandtheanalysisofSeller,thensuchcostshallbeequallybomebybothparties.Thebuyer,iffeltnecessary,woulddeputetheirrepresentativeornominateagencyattheircosttowitnessoperationsattheloadingport.Similar,facilitywouldbeextendedtoSelleratthedischargeportinchina.

18.不可抗力FORCEMAJEURE

在合同有效期内，如果由于战争，敌对行为，军事行动，内乱，破坏，隔离限制，政府行为，火灾，水灾，爆炸，疾病传播。

罢工或其他劳务纠纷，封港等原因导致任何一方不能全部或部分履行合同规定的义务，则任何怎人和义务的履行合同规定的义务，则任何责任和义务的履行可因此延迟。

任何关于运输的组装及拆分的放弃或延期将不被视为对剩余运输的放弃或延期。

如果这种情况超过一个月，任何一方均有权拒绝继续履行合同并无权索赔。

不能履行本合同所规定的义务的一方必须在本条款中任一条发生之日起15天内通过另一方所发生的情况并停止履行合同，并提供由商务部或其他主管政府签发的事故证明书。

无效的证明将不能作为卖方不履行合同所规定的义务的借口。

Ifatanytimeduringtheexistenceofthiscontract,eitherpartyisunabletoperformwholeorinpartanyobligationunderthiscontractbecauseofwar,hostility,militaryoperationofanycharter,civilcommotion,sabotage,quarantinerestriction,actofgovernment,fire,floods,explosions,epidemics,strikesorotherlabortrouble,embargoesthenthedateoffulfillmentofanyobligationshallbepostponedduringthetimewhensuchcircumstancesarecircumstancesareoperative.
