InthisAgreementunlessthecontextotherwiserequires:

在此协议中除非有其它要求：

1."adb"meansairdriedbasis.

“adb”是指空干基。

2."arb"meansasreceivedbasis.

“arb”是指收到基。

3."Cargo"meansdeliveredKoreablindcoalofeachshipmentapproximately6500MT

（+/-10%）asperseller’soption.

“Cargo”是指交运的每船装运约60,000吨+/-10％的朝鲜无烟煤。

4."Coal"meansKoreablindcoalproducedfortheSellerfromD.PR.Korea

“Coal”是指卖方产的。

5.“C&F”hasmeaningascribedtosuchterminINCOTERMS2000（asamendedfromtimetotime）.

“C&f”含义等同于（随时修正的）INCOTERMS2000确定的相同术语的含义。

6.“CFR”hasmeaningascribedtosuchterminINCOTERMS2000（asamendedfromtimetotime）.

“CFR”含义等同于（随时修正的）INCOTERMS2000确定的相同术语COTERMS2000确定的相同术语

的含义。

7."LoadingPort"meansthevesselloadingport,itisNampo,Korea,orsuchotherportasthepartiesmayagreetoinwriting.

“装货港”是指船装货港口，即朝鲜南浦港或由双方书面同意的其它港口。

8.“DischargePort”meansRIZHAOPORT,CHINA

“卸货港”是指中国日照港。

9."Kcal/Kg"meanskilocaloriesofenergyperkilogramofcoal.

“Kcal/Kg”是指每公斤煤炭的发热量。

10.Whencalculatinganypriceoradjustedprice,orcomponentthereof,theresultsofsuchcalculationshallberoundedtothenearestcentandonhalfofacentshallberoundedup.Whencalculatinganytonnage,theresultsofsuchcalculationshallberoundedtothenearesttonneandonehalfofatonneshallberoundedup.

当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分。

当计算任何吨数时，这类计算的结果应当按照最接近的吨数四舍五入，并且0.5吨应当四舍五入到1吨。

11."US$"means（unlessotherwisespecified）thecurrencyoftheUnitedStatesofAmerica.

“US$”是指美元（除非有其它规定）。

12."Party"or"Parties"meansSellerorBuyerorBoth.

“Party”或者“Parties”是指卖方或买方或双方。

13.“MetricTonne”or“MT”or“Tonne”shallmean1,000kilograms.

“公吨”或“MT”或“吨”是指1,000公斤。

14.“BasePrice”meansthebasepriceforCoalfixedinaccordancewithClause3.1,3.2,3.3.

“基准价格”是指按照本合同第3.1、3.2、3.3条款确定的煤炭底价。

15.DeliverytimeattheDischargingPortmeansthefirstdaywhenshipsailtodischargeportoranchorage.

在卸货港交货时间意为船到达卸货港或者锚地的第一天。

16.Unlessthecontextotherwiserequires,thesingularshallincludingthepluralandviceversa.

除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。

17.Thecontractsignedthroughelectronicmethodshallbevalidasoriginalcontractandcanbesentthroughemailtoeachother.

电子签章合约视同正本合约，并以网络寄送为依据。

18.Whereas,SellerhasagreedtosellandBuyerhasagreedtopurchasetheCoalinaccordancewiththetermsandconditionssetoutbelow.TheSellerandBuyermutuallyagreeasfollows:

买卖双方均同意根据如下条款和条件购销煤炭：

CLAUSE1COMMODITYANDQUANTITY商品与数量

1.1Commodity:

SteamCoal,NetCalorificValueover6300kcal/kg（ARB）.

商品：

无烟煤指低位收到基基准（收到基净值）大卡数为6300KCAL/KG以上

原产地:

朝鲜

1.3Quantity:

1.3.1Trial/FirstShipment:

6500MT（+/-10%）试单数量6500MT（+/-10%）

1.4LoadingPort:

Nampo,D.P.R.Korea

装货港:

朝鲜南浦港

1.5Dischargingport:

Rizhao/LanshanPORT,CHINA.

卸货港:

中国日照或岚山港.

CLAUSE2DELIVERY交货：

2.1GoodsmustarriveDischargingPortwithin30daysuponthecontractissignedbyBuyer’sandSeller.

在买卖双方签订合同后30天内，货物必须抵达卸货港。

2.4Weightforinvoicingpurposesshallbeestablishedbytheactualnetweight.Incaseshort/overweightexceeds10%，Buyersandsellersshouldarrangethesettlementaccordingtoactualquantity

发票重量应按实际净重开具，允许提单重量10%的允差,买卖双方按照实际数量进行结算

CLAUSE3PRICE价格

3.1ThebasepriceforCoalNetCalorificValueover6300Kcal/kg（ARB）CFRChina,PORTwillbeUSD142/MT（UnitedStatesDollarNINETYONLY）permetricton.单价以收到基低位发热量6300Kcal/kg以上为基准,CIF中国,到岸价142美元/吨。

3.2PriceswillbereviewedforeveryThree（3）monthsandfinalizedbyBothParties.BothPartieswoulddotheirbesttorenegotiateandagreeonanewprice15dayspriortothebeginningofeverythreemonths.价格评估是由双方以每3个月一次定价来确定。

双方应尽最大努力重新确定新的价格和该在三个月开始之前15天确定价格。

CLAUSE4QUALITYSPECIFICATIONS品质规格：

4.1ThequalityofCoaldeliveredhereundershallconformtothefollowingtypicalspecificationdeterminedinaccordancewithISOStandardsbyCCICattheloadingport:

在本合同项目下交付的煤炭质量应符合按照装货港CCIC根据ISO标准所确定的以规格：

高发热量收到基低位发热6300Kcal/kg以上

全水份所收到的基准＜8%Max（>12%>拒收）

CLAUSE5PRICEADJUSTMENT/PENALTIES价格调整

InregardstoeachshipmentofSteamCoalwhichdoesnotmeettheSpecificationssetforthinClause4,thebasepriceinClause3shallbeadjustedinaccordancewiththeSpecificationasstatedinClause5:

每批装运的动力煤,如果成分不能满足本合同第4项条款的规定,在第3条款中所阐述的基价将由在第5条款中所规定的内容进行调整:

5.1IftheactualTotalMoisture（ARB）ofthecargoexceeds8%,thentheinvoiceweightofthecargoforpaymentshallbeadjustedinfollowingformula:

如果全水分（ARB）大于8%,那么对于交货数量应该按照如下公式调整:

结算实际重量=CIQ重量证书上的水尺计重量x【1-（CIQ测量全水-8%）】。

5.2TotalSulphur（ADB）mustnotbemorethan0.50%andtheBuyerhastherighttorejectthecargoifTotalSulphurisabove1.0%.

硫含量不得高于0.50%,并且买方有权拒收如果高于1.0%。

5.3ForeveryAshContentabove13%,USD0.20/MTwillbedeductedfromthetotalvalueoftheinvoice.每1%灰份高于13%,价格将扣除美元0.20/吨。

5.4NetCalorificValue（ARB）

5.4.1IftheactualNetCalorificValue（ARB）suppliedfallsbeloworexceedstheguaranteedNetCalorificValue（ARB）,thenthepriceshallbederivedasperthefollowingformula:

如果实际提供的NCV（ARB）低于或超过保证的NCV（ARB），价格将按以下公式计算:

ActualNCV（ARB）实际热值（收到基低位）

AdjustedCFRPrice=-------------------------------------------------------------xBaseCFRPrice

调整后的到岸价NCV630Kcal/kg（ARB）（收到基低位）基础单价

5.4.2IfNCV（ARB）fallsbelow5200Kcal/Kg（ARB）theshipmentcanberejected.

买方能拒收如果NCV（ARB）低于NCV5200Kcal/kg（ARB）。

CLAUSE6WEIGHTANDQUALITYINSPECTIONANDUMPIREDETERMINATION

重量和质量之检测以及仲裁判定：

6.1SamplinganalysisAtDischargingPort在卸货港之抽样分析

Upongoodsarrivalatthedischargingport,thebuyershall,atbuyer’sexpense,arrangeCIQChinatotakesamplesandwilltakethreerepresentativesamples,onefortheanalysisoftheshipmentbyCIQChina,oneshouldbesealedandsenttoSellerassoonasfinishingdischargingandmakingsamplesbyCIQChinaandonesealedsampletobeheldbytheassayerfor90daysfromB/Ldate,intheeventthatanumpireanalysisisrequired,BothpartiesagreedtoappointSGSCHINAasneutralagenttomakeumpireanalysis.

Thesellermay,atseller’sexpense,appointrepresentative（s）tobepresentedatthetimeofsamplingattheportofdischarge.

当货物到达卸货港后，买方自费安排中国CIQ在卸货港提取样品，并提取三份代表样品，一份是作为CIQ中国的船运分析样品，一份密封样品需在完成卸货后寄给卖方，一份密封的样品作为仲裁样本，如有需要，需在提单日起90天进行化验分析。

双方同意SGS中国作为中立机构对新样品进行仲裁分析。

在卸货港进行抽样时，卖方有权自行付费派遣代表到达现场。

6.2Umpireanalysis仲裁化验

6.2.1CertificateissuedatdischargingportbyChinaCIQshallbeusedasthebasisofinvoiceoffinalbalancepayment.由中国CIQ提供的卸货港样品检测报告必须作为卸货港最终结算付款发票之依据。

6.2.2Ifthedeferenceislargerthanthevalueofthetolerancestipulatedasclause5.4，withinfive（5）daysafterthedatethatSellerinformbuyer,BothpartiesshalltoinviteSGSCHINAasneutralagenttomakeumpireanalysis,therepresentativesamplesealatdischargingportshallsendtoSGSinstituteCHINAtomakeIndependentre-examine。

如果差异大于5.4节所述的允差数值，在卖方通知买方后五天内，双方邀请中国SGS执行中立的仲裁分析，在卸货港保留的代表样品将被送到中国SGS检验机构进行公正独立的复验。

6.2.3TheInspectingresultofdischargingportandSGSChinashallbethefinalresultandshallbethebasisoffinalbalanceandpaymentsettlement.卸货港及中国SGS之检验结果将作为最终付款结算之依据。

6.2.4ThepartywithbigdifferenceresultofSGSCHINAanalysisresultshallpaythecostoftheanalysisexpensesandthecostformakinganumpirere-examine.Shouldthedifferencesbeequal,eachpartyshallpayhalfofthecostoftheanalysisandthecostformakinganumpirere-examine.与中国SGS仲裁化验结论相差较大方需负担仲裁检验费用，如误差相等，双方各付一半。

6.3AllowableTolerancevalueandUmpiredetermination容许允差数值及仲裁判定

6.3.1TheallowabletoleranceofdeferenceofInspectionresultbetweenLoadingportanddischargingportdefineas1%basisvalueofallspecificitemsofsteamcoalofthiscontract.装货港与卸货港所有检验项目的差异允许容差定义为各项规格基础值的0.5％。

6.3.2IfDifferenceofeachitemislessthan1%allowableTolerance,theaverageoftheinspectionvalueatloadingportanddischargingportshallbethefinalvalueofthebasisofinvoicevalueofPayment;andnofurtherumpiredeterminationisrequired.如果每一项目差异值均小于每一项目之允差值，则装货港与卸货港的检验数据平均值视为最终数值并必须为付款发票之依据。

6.3.3IfanyoneitemDifferenceishigherthan1%allowableTolerance,UmpireDeterminationShallbedeemtorequiredandsellerandbuyershallinviteSGSChinatoproceedingumpireanalysisaccordingtheprovisionsasclause6.3如果有任何一项目之差异值大于允差值，则仲裁分析必须执行，卖方与买方必须共同邀请中国SGS依据项目6.3之规则进行仲裁分析。
