本合同由买卖双方达成一致，按照下列合同规定的条款签订本合同:

5）卖方应选择信誉良好的运输公司作为合同货物的承运人，并在发货后3个工作日内将运输公司的信息通过邮件及传真方式发送给买方。

6.单证要求：

卖方应按中国进口葡萄酒报关、报检要求准备相应数量的单据，在货物抵达目的港前将以下齐全单证寄达买方,卖方协助买方完成进口口岸文书工作。

所有单证在寄出前，卖方必须扫描给买方审核。

如果卖方不能按时向买方提供完整、准确的单证给买方造成的滞柜费、滞报金等，由卖方负责承担；如果因单证问题不能清关的，造成买方的一切损失由卖方负责赔偿。

1）合同原件一份，标注成交和结汇方式，交货期限，装货港和卸货港，原产国。

8）提供酒庄备案登记表、酒庄的商业登记证。

9）提单正本一份，如将货物以电放方式释放，只需要复印件一份。

7.装运通知：

在货物办理好出口手续前5个工作日内，卖方必须传真或者电子邮件通知买方：

①合同号，②发票，③装箱单，包括货物的总价值，包装总件数，装运的总重量及体积，货物预计办完出口手续和到达装运港的时间,并明确通知买方关于合同货物的特别注意事项，包括但不限于特别保护或事故处理措施。

8.不可抗力：

由于不可抗力，而卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出给的确实事故证明书用空邮寄交买方为证，并取得买方认可。

在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。

如果事故持续超过十个星期，买方有权撤销本合同。

Forcemajeure:

Thesellershallnotberesponsibleforanydelayindeliveryornon-deliveryofthegoodsduetoforcemajeure.However,thesellershalladvisethebuyerimmediatelyofsuchoccurrenceandwithinfourteendaysthereaftershallsendbyairmailtothebuyerfortheiracceptanceofacertificateoftheaccidentissuedbylocalgovernmentauthoritieswheretheaccidentoccursasevidencethereof.Undersuchcircumstancestheseller,However,Isstillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethantenweeks,thebuyershallhavetherighttocancelthiscontract.

9.检验和索赔：

发货前，卖方应对货物的质量、规格、性能和数量、重量做精密全面的检验，出具检验证书，并说明检验的技术数据和结论。

货物到达中国港后，买方向中国出入境检验检疫部门申请货物检验，如与约定的商品质量和数量/重量不符，买方可凭中国出入境检验检疫部门出具的证明文件向卖方退货或索赔。

在保质期限内，如货物由于设计或制造上的缺陷而发生损坏，和品质、性能与合同规定不符实，买方委托中国出入境检验检疫部门进行检验、并凭其检验证明书向卖方提出索赔（包括换货），由此产生的全部费用由卖方承担。

若卖方收到上述全部书面索赔文件三十天内未予回复答复，则认为卖方已接受上述索赔。

Themanufacturersshall，Beforedelivery，Makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality，Specifications，Performanceandquantity/weight，Andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.AftercargoarriveinFreeTradePort,,China.ThebuyershallapplytoChinaentry-exitinspectionandquarantinebureauinFreeTradePortarea,Guangxi（hereinaftercalledthebureau）forinspectionofthegoodsinrespectofthequality,specificationandquantity.Ifanydiscrepanciesarefoundbythebureauregardingthespecificationorthequantityorboth,Thebuyerlaunchclaimagainsttheselleronthestrengthoftheinspectioncertificateissuedbythebureau.3.Incaseofdamagesofthegoodsincurredduetothedesignormanufacturedefectsand/orthequalityandperformancearenotinconformitywiththecontract,thebuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurveyandshallmakeaclaimagainstthesellers（includingreplacementofthegoods）andalltheexpensesincurred,thereforeshallbebornebytheseller.Theclaimsmentionedaboveshallberegardedasbeingacceptedifthesellerfailtoreplywithin30daysafterthesellerreceivethebuyer’sclaim.

10.仲裁：

双方因本合同或执行合同而引发的争议，应友好协商解决。

如解决不成，则将争议提交至中国国际经济贸易仲裁委员会按该会规则进行仲裁；仲裁地点在深圳、仲裁语言为中文、仲裁费应由败诉方承担，仲裁裁决是终局裁决，对双方均有约束力、在仲裁期间，除仲裁部分之外的其他合同条款应当继续履行；本合同受中华人民共和国法律管辖。

Arbitration：

Anydisputearisingfromorinconnectionwiththecontractshallbesettledthroughfriendlynegotiations.Incasenosettlementcanbereachedthroughnegotiations,thecaseshallbesubmittedforarbitrationtoChinainternationaleconomicalandtradearbitrationcommission,Shenzhen,inaccordancewithitsarbitrationrulesandthearbitrationlanguageisChinese.Thearbitrationfeeshallbebornebythelosingpartyandthearbitrationawardisfinalandbindinguponbothparties.Inthecourseofarbitration,thecontractshallbeexecutedbybothpartiesexceptthepartunderarbitration.Thiscontractisgovernedbythelawsofthepeople'srepublicofChina.

谨鉴，本合同由中英文两种文字写成，如中英文表述不一致时，以中文为准。

本合同一式陆份，由各方授权代表签署（盖章）之日起生效，各方各持叁份为凭。

签字（盖章）的扫描件同样具有法律效力。

Inwitnessthereof,thiscontractisdrawnupinbothChineseandEnglish.Inthecaseofanyinconsistencyarisingbetweenthetwolanguagecounterpartshereof,theChineseversionshallprevail.Thiscontractbecomeseffectivefromthedatewhenbothpartiessignandstamponit.Itismadeinsixoriginals,eachpartykeepstwo.Signedandstampedcopyhasequallylegaleffect.
