Article3Contractsmanagementshallbesubjecttothemanagementsystemintegratingtheassumptionoftheresponsibilityforcontractsmanagementbythepersonshandlingcontractsanddepartmentmanagers,thereviewofcontractsbylegalcounselsandtheexaminationandapprovalthereofbytheleaders.

Article4TheseProceduresshallapplytovariousdepartmentsofthecompanyandallbranchesthereof.

ChapterIISignatureofContracts

Article5Signatureofcontractsmustcomplywithstatelaws,regulationsandpoliciesundertheprinciplesofequalityandmutualbenefit,consensusthroughconsultationsandmakingcompensationforequalvalueinordertoprotecttheinterestoftheCompany.Nocontractsmaybesignedillegally,andnocontractstothedisadvantageofcompanymaybeenteredinto.

Article6Beforeenteringintoacontract,weshallknowofinallrespectssuchconditionsasthecooperatingparty’screditworthinessandcapabilitytoperformthecontracttobeenteredinto.Nocontractsmaybeenteredintowithentities/individualswithoutgoodcreditworthinessandthecapabilitytoperforminvestigationsonthecooperatingparty’screditworthinessandcapabilitytoperformacontractincludebutarenotlimitedto:

1.Itsbusinesslicenseandotherlicenseifitisinalicensedoperationindustryandstatusofannualinspectionbyindustrialandcommercialauthorities;

2.Itseconomictypeandarticlesofassociation;

3.Theinformationontheopeningofitsbasicaccount（includingaccountname,bankandnumber）;

4.Itsfinancialstatements;

5.Itsoperationhistory,marketsharesandrecentdevelopingtendency;

6.Theconditionsofotherperformancebyit

7.Ifthecooperatingpartyisanaturalperson,weshallknowofinallrespectshis/heridentity,habitualresidenceaddress,andjobbackgroundaswellasthestatusofhis/herpersonalandfamilyproperties

Article7Inmakingacontract,weshallexaminestrictlythequalificationsofthepersonsmakingthecontract.Thelegalrepresentativeofalegalpersonentityorthemainresponsiblepersonofanonlegalpersonentitymaysignthecontract,ifotherpersonasanagentsignsthecontract,he/shemustsubmittheletterofauthorizationproducedbythelegalrepresentativeorthemainresponsibleperson.

Inmakingacontract,weshallexamineinallrespectsthematerialsnecessarytomakethecontract.Whenthepersonhandingthecontractentersintothecontract,he/sheshallrequiretheotherpartytoprovidethecertificateprovingitslegalrepresentativequalification,thecopyofitsbusinesslicensecounterpartandothernecessarymaterialsthatneedtobeprovidedbyitunderspecificconditions,ifthecontractisanespeciallymaterialone,thesaidpersonshallrequiretheotherpartytoprovidedirectlythecounterpartofitsbusinesslicensesealedbytheadministrationforindustryandcommerce,ifitsagententersintothecontractonitsbehalf,thesaidpersonshallrequiretheagenttoprovidetheeffectiveletterofauthorizationissuedandsignedbyitslegalrepresentativeifitisalegalpersonentityorbyitsmainresponsiblepersonifitisanonlegalpersonentity,andexaminewhetherthenameofitslegalrepresentativeisthesameasthatstatedinitsbusinesslicense.Thepersonhandlingthecontractshallberesponsibleforexaminingwhetherthecopiesofmaterialsprovidedbytheotherpartyarethesameasoriginalsthereof.

WhenrepresentingtheCompanytosignacontractwithanexternalparty,thepersonhandlingcontractsmusthavethequalificationstosignthecontract,i.ehe/shemusthavethewrittenletterofauthorizationproducedbythelegalrepresentativeoftheCompany.Nopersonmaysignacontractwithanyexternalpartywithoutorbeyondtheauthorization,otherwise,he/sheshallbearalllegalresponsibilities.

Article8Acontractshallbeenteredintoinwriting.

BeforetheCompanysignsacontractwithanexternalparty,bothpartiestothecontractshalldraftgenerallythecontracttextthroughconsultation,iftheStatelawsandregulationsorministerialruleshavespecialprovisionsinrelationthereto,thestandardcontractformulatedbytheStatecompetentauthorityshallbeusedlegally,andthemodelcontractdraftedbytheCompanyonitsownmayalsobereferenced.

Ifanopenmodelcontractisused,therelevanttermsorprovisionsthereofshallbewritteninclearlyandcompletely;

otherwise,thecontractshallnotbesignedandsealed,suchunnecessarytermsorprovisionsthereofshallbealldeleted,‘/’shallbedrawnintheunnecessaryopenplacetherein,andthecontractshallbefixedwithacheckingseal,officialsealorspecialsealforsigningcontracts.

Article9Contractsshallincludesuchmainclausesasthesubjectmatter（meanscargo,currencylaborandengineeringprojectetc.）,quantityandquality,priceandremuneration,theperiod,locationandmethodofperformance,responsibilityforbreachofthecontract,themethodtosettledisputesandthedateofsignature,andtheguaranteeclauseshallbealsoincludedthereinasfaraspossible.

Article10Acontractshallbecomeeffectiveonlyafteritissignedbythepersonwiththequalificationstosignthecontract（thelegalrepresentativeoragentauthorizedbythelegalrepresentative）andfixedwiththeofficialsealoftheCompanyorthespecialsealforsigningcontracts.

Article11EachbranchoftheCompanyshallsignacontractwithanexternalpartyonlywithinitslegalbusinessscopeorauthorizedscope.IfacontractbeyonditsbusinessscopeorauthorizedscopeneedstobeexecutedthemattershallbeapprovedbytheleadersoftheCompany,thecontractshallbeexecutedbytheleaderoftheCompanywiththeauthoritytodoso,andthespecialauthorizationofsigningthecontractshallbemadeorappliedforinthenameoftheCompany.

Article12AllcontractstobesignedbyeachdepartmentorbranchoftheCompanywithexternalpartiesmustbesubmittedtothelegalcounselsoftheCompanyforexaminationandsignedonlyafterthelegalcounselsexaminethemtobecorrect,expresstheopinionsthereon,andreportonthemtotheleadersoftheCompanyforapproval.

Theexaminationofcontractsshallbesubjecttotheprincipleintegratingthelegality,feasibilityandprofitability.

Eachpersonhandlingacontractandeachexaminershallexpresshis/herexaminationopinionsandmakesignaturesontheFormforExaminingLegalDocuments（seeAnnex2）,andthenonlyafterthecontractisapprovedbytheleadersoftheCompany,mayitbesubmittedforthesignaturebytheotherparty,andeventuallyforthesignaturebythefinancialdepartmentoftheCompany.

Article13Theexaminationofacontractshallbecarriedoutunderthefollowingprocedures:

1.Theexaminationbythepersonhandlingthecontractonhis/herown;

2.Theexaminationbytheresponsiblepersonofthedepartmentorbranchhandlingthecontract;

3.TheexaminationbythelegalcounselsoftheCompany;

4.Theexaminationbythevice-presidentoftheCompanyincharge;

5.TheapprovalbythepresidentoftheCompany;

and

6.ThesignaturebythelegalrepresentativeorpresidentoftheCompanyortherepresentativewiththeauthoritytodoso.

SeeAnnex1forthespecificworkingprocessofexamininglegaldocuments.

Article14Acontractshallhavelegalbindinguponlegalsigning,andmustbecompliedwithstrictlyandperformedinallrespects.Ifsomematterisnotincludedorisnotclearinacontract,themattermaybehandledinaccordancewiththerelevantprovisionsoftheP.R.CContractLaw.

Article15Acontractmaybemodifiedorrescindedafterbothpartiestoacontractreachaconsensusthereon,oralegaloragreedmaterthereforeoccurs.

Article16Themodificationorrescissionofacontractmaybehandled,mutatismutandis,undertheproceduresforenteringintocontracts.

ChapterIIIHandlingofContractsDisputes

Article17Afteracontractdisputearisesbetweenpartiestothecontract,thepersonshandlingthecontractshallberesponsibleforsettlingthecontractdisputeonacoordinationbasisundertheassistanceofthelegalcounsels.

Article18Acontractdisputeshallbesettledthroughconsultationandnegotiationasfaraspossibleinordertoreducethelitigationcosts.

Article19Thecontractdisputethatisreallyunabletobesettledthroughconsultationmaybesubmittedtothecompetentcourtorarbitrationformediation,judgmentorarbitration.Thespecificproposalforhandlingthesameshallbedraftedundertheguidingopinionsofthelegalcounsels,andreportedontotheleadersoftheCompanyforapproval.

Article20Ifwestillhavetheobjectionstotheeffectivejudgmentorarbitralawardrenderedbythecourtorarbitrationinstitution,weshallmakeanappeallegallyundertheopinionsofthelegalcounselsoftheCompany.Iftheotherpartyrefusestoper
