（Thefollowingreferredtoas"PartyA"）and__________________（Thefollowingreferredtoas"PartyB"）,reachedagreementandhereaftersigncontract（inbelowreferredtoas“Contract”）regardingissuesofPartyAcommissioningPartyBtodevelopsystem,maintenanceandoperationalissues.

Article1（General）

1.Bothpartieswillmutuallycooperatetocredibilityandgoodfaithforthepurposeofthejointimplementationofthecontract.

2.ThiscontractappliestoPartyAcommissionedPartyBthefollowingbusinesscontent（Followingreferredtoasthe"Business"）ofallindividualcontracts（Followingreferredtoas"IndividualContract"）:

1Businessanalysisandsystemsconsultingservices

2Applicationdevelopmentandmanagementservices

3Systemmaintenanceservices

4Otherbusinessandtechnicalsupportservices

Article2（IndividualContracts）

1.Bothpartiesintheindividualcontractissuesandotherneedsonthefollowingissuesidentifiedbyagreement,PartyAissuedorderstoPartyBacknowledgeandaccepttheorder,orbothpartiesenteredintoseparatecontracts,individualcontractshadjustsetup.

2.IfPartyBontheParty'sordershasanyquestionsorobjections,shallbeimmediatelysubmittedtotheParty,thePartiesthroughfriendlynegotiations.

3.Iftheindividualcontractwiththeunderlyingcontractbetweenthecontenttoindividualcontractshallprevail.

Article3（Changes）

1.IfPartyAintheindividualcontractthedeliverytimelikethepremiseofofficialchanges,PartyAshallpromptlynotifyPartyBinwritingbybothpartiesconsultthespecificresponses.

2.Kindofchangeasaresultofofficialordeliverycausedbyachangeincontractamount,afterconsultationbythebothpartiestobeconfirmedinwriting.

Article4（Thirdpartyintellectualproperty）

1.Partyintheperformanceofindividualcontractprocess,shouldtakethenecessarymeasurestoprotectthepatentrightsownedbythirdparties,ideas,trademarks,utilitymodels,patentsandotherindustrialpropertyrights（industrialpropertyrights）,copyrightorotherintellectualpropertyrights,orforthoseTheimplementationofrightsandotherrights（collectively,"intellectualproperty"）arenotviolated.

2.SuchasbetweenBandthird-partyintellectualpropertyinfringementcausedbytherelevantobjections,claims,proceedings,damagesandotherdisputes,PartyBshallbearalltheresponsibilityandcostsandtobeaddressed,andshouldprotectthelatterorPartyinterestsofcustomersandtoensureitsexemptioninthedispute.IfPartyAthirdpartyobjectionreceived,claims,proceedings,damagesrequest,shallimmediatelyinformtheParty,andgivepartyBtodealwiththedisputebetweenthirdparties,claims,proceedings,damagesthenecessarypermissionsissuesthesametime,providePartyBwithnecessaryassistance.

3.Paragraph2shallnotapplytothefollowingconditions,thefollowingcircumstances,PartyAshallbearalltheresponsibilityandcostsandtobeaddressed.

1PartyAofficialwrittenbooksunderthespecifiedthird-partyintellectualpropertyrights;

2PartyBdeliverablesindoesnotinfringethirdpartyintellectualproperty,butPartyBbasedondeliverablesforsalesofembeddeddevelopmentproductsandthirdpartyarisingfrominfringementofintellectualpropertydisputesarisebetweenthetime;

4.Inparagraph1ofthissituation,whenthePartyBofallorpartofthedeliverablestoberecognizedasagainstthethirdparty'sintellectualpropertyrights,theemployeeshallbejudgeandtakethefollowingmeasurestoensurethePartywillcontinuetousethedeliverables,However,iftheemployeefailstotakeanyaction,itshouldpaycompensationtothePartyA.

①Modifythedeliverablestoensurethatnoinfringementofintellectualpropertyrightsofthirdparties;

3third-partyapproval,toensurethatPartyAcanusethedeliverables;

IfPartyBfailstotakeanyoftheabovemeasures,thatcompensationforthelossofthePartyA.

Article5（Prohibitionofsubcontracting）

PartyBshallnotbesubcontractedtothirdpartiesinthisbusinessagain,butifPartyAhasbeenmadeinadvanceunlessapprovedinwriting.

Article6（Delivery）

1.PartyBshouldbebasedonindividualcontractwithinthespecifieddeliverylocationanddeliverytime.

2.ToensurethesmoothdeliveryofPartyB,PartyAshallbedecidedbasedonthewellintheplaceofdeliverytoreceivetheappropriatepreparation.

Article7（InspectionandAcceptance）

1.PartyBshallnotifyPartyAinadvanceofdeliveryandrequestedthecheckandacceptanceoftheirgoodpreparation.PartyBshalljointlycheckandacceptance,andtoalldeliverableswerepassedonastheacceptancedateofacceptance.Suchasthedeliveryofdifferentdeliverablesdifferent,youcancheckandacceptance,respectively.

2.PartyAshallpromptlynotifythePartyBinspectionresults,andwithin2weeksafteracceptancePartytosubmitinspectionreports.Partyinthefuture,suchasacceptancewithin2weekstosubmitinspectionreportsarenottoB,thenBistheexpirydateofthatperiodasifPartyA'sinspectionreporthadbeenreceived.

3.Theinspectionmethods,determiningwhetherornotacceptanceandacceptanceofstandards-relatedmatters,referenceshouldbesubmittedbythePartyandapprovedbyPartyA"Testimplementationoftheplan"and"Acceptanceessentialsbook"content.

4.SincetheacceptancedateofPartyAPartyBtocompletethedelivery,deliverytotheownershipof（includingtheCopyrightLawArticle21toArticle28ofthealltherights）transferredbyPartyB.Party.

Article8（Whenunqualifiedacceptanceofthemeasures）

1.Ifallorpartofthedeliverablesunqualifiedacceptance,PartyBshallbesolelyresponsible,withintheperiodspecifiedinthePartytomodifyandre-accepttheParty'sacceptance.However,thePartymaychoosedetermineinpartthroughtheacceptanceofdeliverables.

2.Paragraph1ofthispremiseastheoriginaldateofdeliverytodetermineifthedelay,PartyBcannotbeexempt.

Article9（Procedureofpowersvested）

Sincethedeliverablesofprogramdevelopmentrelatedtotheinvention,creativity,andotherindustrialpropertyrights（industrialpropertyrights）andaccessrightsandassociatedwiththisbook

Forrightsandotherrights,bothpartiesnegotiatedseparately.

Article10（Risk）

Priortothetransferofownership,suchasthedeliverablesofanyloss,damage,deteriorationorotherlossesPartyBbearsalltheresponsibility.ButsincePartyAduetointentionalornegligentinnotinthisrange.

Article11（ProvisionofgoodsPartyA）

1.Inlinewiththeimplementationofthiscontract,providedbyPartyBorPartyspecialpayforthecostofparts,tools,equipmentandothergoods（Followingreferredto"providegoods"）areownedbyPartyAforall.

2.PartyAoftheformerabovetheprovisionofgoods,PartyBshallbeequippedwithhandsafekeeping.

3.LiabilityasaresultoflostordamagedPartyBcustodyofthePartyAprovidinggoods,shallberesponsibleforreplacementorequivalentproductsupplement,ordamages.

Article12（Contractpayment）

PerformanceofindividualcontractsasarewardforPartyAshallbetheamountspecifiedinindividualcontractsorcontractsbasedonsection3ofthisamountofchange（Followingreferredtoas"contractpayment"）,shallpaythepurchaseprice.

Article13（Paymentofthecontractpaymentmethod）

Contractpaymentshouldfollowbypurchaseprice.

Article14（Warranty）

1.Sincethedaybeforetransferofownershipwithin2years（includingpipeline-relatedcivilengineeringworks）or1year（otherwise）ifthereareanydefectsfoundinthedeliverables,therighttonotifyPartyBofanyoneormoreofthefollowingmeasures.

①bornebythePartyAandthePartyAwithintheprescribedtimelimittorepairdefects.

②Thedefectcausedbythelowerpartofthevalueofdeliverablesfrombothpartiesnegotiatedareasonableamountofmoneydeductedfromthecontract,PartyAPartyBreceivednoticethatpartoftheamountshallbeimmediatelyreturned.

③bornebyPartyB,PartyAshallrepairthedefectorentrustathirdpartytorepair,butthePartyshouldbecommissionedthird-partyrepairissuespriorconsultationwiththeParty.

④Ifthesemeasuresfailedtomeetthepurposeofthecontract,thenallorpartoftheterminationofthecontract.

2.Inthecaseofthereturnofdefectiveequipment,receiving,etc.,bythePartyBresponsibleforandbearallcosts.

3.Inadditiontothemeasuresreferredtoinparagraph1,thePartyAtoPartyBtherighttoclaimdamages.

Article15（TechnicalSupport）

1.AccordancewithArticle6,paragraph4,sincetheownershiptransferdatebefore1year,suchasPartyBonthedeliverablesrequiredthenormalfunctioningofthenecessarytechnicalsupporttoPartyBshouldbegiventomeetthecostofaseparateconsultationbythebothparties.ButtheresponsibilityofPartyBresultedindeliveryofmaterialscannotfunctionproperlyunlessthesituation.

2.Overtheprovisionsofparagraph1ofthisperiod,andiftheownerrequiredtogivetechnicalsupporttoPartyB,PartyBshouldbeasmuchaspossiblewith,attheexpenseofbothpartiespriorconsultation.

Article16（Prohibitingassignmentofrightsandobligations）

Withouttheother'spriorwrittenapproval,thiscontracteitherpartyshallnottransfertherightsorobligationstothirdpar
