Item2Bothsideshavereachedagreementonthepriceofthehousetobesoldat(RENMINBI)500000Yuan.(capitalization):

ThepaymentmethodandpaymenttermsofPartyBshallbeclearlystatedbybothpartiesinthepaymentagreement(Appendix3).AfterPartyBpaysforthehouse,PartyAshalldrawoutareceiptconformingtothetaxationregulations.

(I)PartAobtaintheuseperiodoftherightofuseofthestatelandfromYearMonthDaytoYearMonthDay,thereinto,PartBinaccordancetothiscontractgaintherealestate,obtaintheuseperiodoftherightofuseofthestate-ownedlandfromYearMonthDaytoYearMonthDay,asLegallyusethedateofexpiryoftherightofuseofthestate-ownedland.

Item4BothsideshavereachedagreementthatPartAshouldvacatebeforetheday2007Year04Month30DaythishouseandinformPartBtocheckandaccept.PartBshouldcheckthedecoration、equipmentinthehousefromthedayPartBreceivetheinformationin5days.Afterchecking,PartyAshalltransferthekeysofthehousetoPartyB,whichindicatesthetransferenceofthehouse.
Item5PartyApromisesthatifthereisanydamageordemolitiontothehousedecorationsorauxiliaryfacilitiesduringtheperiodfromtheagreement-signingdatetothehouseacceptancedate,itshallpayPartyBthepenaltyofRMBYuan,whichisequivalenttothevalueofthedamagedordemolishedfacilities.
Item6PartyAandPartyBagreetoapplyforthehousetransferenceattherealestateexchangebeforeApril30th,2007.
Item7TherightofthelandwithinthescopeofthehouseandtheprincipalandinterestofthemaintenancefoundationforthepublicplaceshouldbeconsideredasbeingtransferredtoPartBatthesametimewhenthehouseistransferredtoPartB.
Item8Afterthiscontractbecomeseffective,bothPartAandPartBshouldobservethenationalandthiscityrelatedstipulationtopaythetaxandfee.
Beforetherealestateisshiftedholds,thefeeforrealtymanagement、water、electricity、gas、correspondenceandsoonhadnotbeenpaid,theyshouldbedefrayedasAppendixfour.
Item9IfPartBdoesn’tpaythepaymentinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems(I).
(I)Exceedsthetimelimitperoneday,PartBshouldpaythepenaltyin%ofthepaymentwhichhasnotbeenpaidtoPartA.
Item10IfPartAdoesn’tdeliverytherealestatetothePartBinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems(I).
(I)Exceedsthetimelimitperoneday,PartAshouldpaythepenaltyin%ofthepaymentwhichhasbeenpaid.
Item11Undertheprincipalthatbothsideshavegainedagreementontheaddeditemoritemswhichwilldefinitelynotviolateanyitemmentionedabove,moreitemscanbeaddedtothecontractinthesupplementarypart,whichwillbeconsideredaspartofthecontractandenjoythesamelegalforce.
Item12ThiscontractwillgointoeffectfromthedayPartAandPartBsign
Item13Ifanydisputehappensduringthewholeprocess,bothsidesshouldnegotiatefirstwitheachother.Iftheyfailtogetagreementacceptablebybothsides,theycanchoosethewayslistedasfollowingitems(II)tosettlethetrouble:
(I)SubmittoShanghaiArbitrationCommitteeforArbitration.
(II)AppealtotheLocalPeople’sCourt.
