根据《中华人民共和国合同法》、《上海市房屋租赁条例》（以下简称：
《条例》）的规定，甲、乙双方在平等、自愿、公平和诚实信用的基础上，经协商一致，就乙方承租甲方可依法出租的房屋事宜，订立本合同。

1.租赁物业GRANTOFTENANCY
1.1 甲方同意出租坐落在本市：

2.租赁期限TERM
2.1甲乙双方一致同意租赁期限为年。

2.2 乙方对该物业有优先续租权，但须于本合同自然终止日前一个月书面通知甲方。
续租期的月租金可根据届时市场价格进行合理调整。

2.3甲方有责任保证乙方为唯一的房屋使用者。
乙方在没有得到甲方书面许可的情况下，无权以任何理由将物业转租给任何第三者。
该物业的房屋性质为住宅用房，乙方不可用作其它用途。
PartyAshallberesponsibleforensuringPartyB'
sprivilegeforusingthePropertyexclusively.PartyBshallnotbeallowedtosub-letthePropertytoanythirdpartiesforanyreasonwithoutobtainingwrittenpermissionfromPartyA.ThePropertyisforresidentialuseonly.PartyBshallnotusethePropertyforanyotherpurposes.
3.保证金SECURITYDEPOSIT
3.1乙方应支付给甲方RMB￥元（）作为房租、家具家电和一切设备的保证金以保证在整个租赁期限完全遵守条款中的义务。
在整个租赁期限内，甲方将无息保留保证金。
当乙方不履行本合同条款时，甲方有权根据第9.2条，没收保证金。
该保证金不可视为预付的租金。
PartyBshallpayPartyAtwomonthsrentRMB￥assecuritydepositforrental,furnitureandappliances,andallequipmentsinsideforthefullperformanceofitsobligationsduringthewholeleaseterm.ThedepositshallberetainedbyPartyAthroughoutthetermofthisLeasewithoutinterest,withpowertoPartyAtoforfeitthedepositaccordingtoclause9.2hereof,intheeventofanynon-performanceornon-observanceofthisContractbyPartyB.Itisexpresslyacknowledgedthatthedepositshallnotbeusedasadvancerentalpayment.
3.2在合同终止时，在乙方提出书面通知后及乙方将该物业以良好状态（合理磨损、因潜在或结构上的缺陷所造成的损坏、因甲方没有完全履行其对该物业的保养和维修责任所造成的损坏除外）交付给甲方后并在乙方结清所有费用后十个工作日内，甲方应将保证金无息归还乙方。
若有任何由乙方造成的损坏（自然损坏、因潜在或结构上的缺陷所造成的损坏、因甲方没有完全履行其对该物业的保养和维修责任所造成的损坏除外），甲方将从保证金中扣除合理赔偿后，其余部分将由甲方归还给乙方。
如甲方逾期归还保证金，甲方须支付乙方每日0.3%保证金的滞纳金。
AttheexpiryofthisLease,afterPartyB’swrittennoticetoPartyAforleasetermination,anduponthedeliveryofthePropertytoPartyAingoodcondition（fairwearandtear,damagecausedbyinherentorstructuraldefectsoftheProperty,damageresultedfromPartyA'
sfailuretomaintainandrepairthePropertyexcepted）,PartyAshallrefundthedeposittoPartyB（withoutinterest）withinTen（10）workingdaysafterPartyBsettledallpaymentsunderthisLease.IfthereisanylossordamagetothePropertywhichiscausedbydefaultofPartyB（fairwearandtear,damagecausedbyinherentorstructuredefectsoftheProperty,damageresultedfromPartyA’sfailuretomaintainandrepairthePropertyexcepted）,PartyAmaydeductareasonableamountfromthedepositascompensationandrefundthebalancethereoftoPartyB.IntheeventofanylaterefundingoftheDeposit,PartyAshallpayaliquidateddamageattherateof0.3%oftheDepositpereachdayofdelaytoPartyB.

5.房屋使用要求和维修责任RESPONSIBILITIESTOREPAIRTHEPREMISES
5.1 乙方发现该房屋及其附属设施有损坏或故障时，应及时通知甲方修复；
甲方应在接到乙方通知后的5日内进行维修。
逾期不维修的，乙方可代为维修，费用由甲方承担。
IntheeventofanydefectormalfunctionofthePremisesoritsauxiliaryfacilities,PartyBshallinformPartyAintimeforrepairing.PartyAshallrenderrepairworkwithin5daysuponreceiptofPartyB’snotice.IfPartyAfailstorepairaftertheabovedeadline,PartyBcanperformrepairingworkonitsownandPartyAshallberesponsibleforrelatedchargesand/orfeestherefrom.
5.2乙方应合理使用并爱护该房屋及其附属设施。
因乙方使用不当或不合理使用，致使该房屋及其附属设施损坏或发生故障的，乙方应负责维修。
乙方拒不维修，甲方可代为维修，费用由乙方承担。
PartyBshalltakegoodcareofandreasonablyusetheleasedpremisesandaccessoryfacilities.PartyBshallberesponsibleforpromptrepairingorcompensatinganydamageitcausedtothepremisesorfacilitiesresultingfromimproperusethereof.Failingsuch,PartyBshallbearallrelatedchargesoftherepairingworkconductedbyPartyAonbehalfofPartyB.
5.3甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。
甲方对该房屋进行检查、养护，应提前2日通知乙方。
检查养护时，乙方应予以配合。
甲方应减少对乙方使用该房屋的影响。
PartyAshallguaranteenormal/usableconditionandsafetyfortheuseoftheletpremisesandaccessoryfacilitiesduringthetermofthelease.PartyAshallnotifyPartyB2daybeforerepairandmaintenanceworkofthePremises.PartyBshalloffercooperationduringrepairandmaintenancework.PartyAshallminimizenegativeaffectontheuseofthePremisesbyPartyB.
6.乙方的义务PARTYB'
SOBLIGATIONS
乙方同意履行以下义务：

6.1对甲方所提供的家具家电（自然损坏或因潜在缺陷所造成的损坏除外。
已列于家具家电清单，详见附件二）必须爱护地使用，并且有责任使之处于正常保养状态。
如因潜在缺陷而造成家具家电无法正常使用，甲方将负责维修和更换。

electricalappliancesarenotinproperfunction,PartyAshallbeliabletorepairorreplacetherelevantfurniture&
electricalappliances.
6.2未经甲方的书面同意，不得擅自变更固定设施及改变该物业的结构，甲方不得拖延给予书面答复。
Nottoerect,installorremoveanyfixtures,partitioningortomakeanystructuraladditionsoralterationstothePremisewithoutPartyA’spriorwrittenconsent,PartyAshallnotdelayprovidewrittenresponsetosuchrequest.
6.3应严格遵守中华人民共和国的有关法律、条款、规定，对该物业的使用上不允许以任何理由违背法律。
乙方不得在该物业内存放武器弹药及其它任何违禁品。
乙方应对任何违反中华人民共和国法律的行为承担法律责任。
Tostrictlycomplywithandadheretoallthelaws,practices,regulationsanddecreesofthePeople'
sRepublicofChinawhichapplicabletotheuseofthePropertyandspecificallynottopermitthePropertytobeusedforanypurposethatisunlawful.ThePartyBshallnotstorearms,ammunitionandanyotherrestrictedandunlawfulgoodsintheProperty.PartyBshallberesponsibleforanyviolationofPeople’sRepublicofChina’slaws
6.4有义务（合情理地）视情况保护该物业的非结构性的内部，使其免受自然如风、雨等类似情况带来的损害。
长时间离开该物业前，必须关好门、窗。
合理赔偿甲方因乙方的过失或严重疏忽而对物业所引起的任何损失。
Totakeallreasonableprecautions,toprotectthenonstructuralpartoftheinteriorofthePropertyagainstdamagesfromwind,rainandothernaturaleffects,whileleavethePropertyforalongperiodoftime.PartyBshalluseitsbesteffortstomakesurecloseandlockthedoor（s）andthewindowsoftheProperty.ToreasonablycompensatePartyAforanylossordamagetothePropertycausedbythedefaultorgrossactsofnegligencebyPartyB.
6.5遵守住宅小区的一切规章制度和规定.在物业不得产生异常嘈音和声响以至影响安静周围邻居的居住环境。
TocomplywithalltherulesandregulationsintheresidentialcompoundandnotcreateunreasonableloudnoiseinthePropertysoastocausecomplaintsfromneighbors
6.6居住人需自行支付所有水、电、煤气、电话费和网络费。
Occupantshallberesponsibletopayallthewater,gas,electricity,telephoneandInternetbills.
6.7购买私人财产保险。
除非由甲方或甲方的雇员造成的过错，甲方不对乙方的私有财产承担责任。
Purchaseinsurancetoinsurepersonalpossessions.UnlessotherwisecausedbythedefaultornegligenceofPartyA,itsemployeesoritsagents,PartyAshallnotbeliableforanylossordamageofthepersonalpropertyofPartyB.
7.甲方的责任PARTYA'
7.1保证该物业的结构、屋顶、外墙、进出该物业的排水、上水管道、下水道、电路、热水炉和空调机组等处于良好的使用状态并对此负有及时维修责任。
如由于乙方的使用不当而造成的故障，其维修费用则由乙方自行承担。
甲方将对由于未能及时修理该物业的上述设备而对乙方造成的直接损害负责。
