10.装运条件：

货物发运后，卖方应在48小时之内将发货日期、合同号、货名、数量、发票、装箱单以传真形式通知买方。

不允许分批装运、不允许溢短装。

Termofshipment:

Afterloadingiscompleted,theSellershouldnotifytheBuyerbyfaxthecontractnumber,nameofcommodity,quantity,andthedateofshipment,invoice,packinglistwithin48hours.Partialshipmentisnotallowed,moreorlessthanthequantityofcontractisnotallowed.

11.单据：

卖方应提供发票3份、品质证明2份、装箱单3份、非木质包装证明2份、原产地证明2份。

以上单据应表明合同号、货物的名称、规格、数量、包装、合同总价等。

12.质量要求和技术标准：

卖方必须出据由买方确认的原厂家出据的技术标准和质量检验合格证货，到后由买方进行检验。

Qualityrequirementandspecification:

TheSellershallpresenttotheBuyertheoriginalmanufacturesspecificationandthequalitycertificate,whichisconfirmedbytheBuyer.TheinspectionshallbedonebytheBuyerafterarrivalofthegoods.

13.异议与索赔：

双方约定买方在货到目的地之日起45天内，如发现货物的质量、数量规格与本合同规定不符或发现货物无论由于任何原因引起的缺陷或使用不良的原料，买方可申请商检局检验，并有权根据商检局出具的检验证书向卖方提出退换或索赔，由此产生的一切费用均由卖方承担。

Quality/quantitydiscrepancyandclaim:

Incasethequalityand/orquantityandspecificationarefoundbytheBuyertobenotinconformitywiththecontractorshouldthegoodsprovedefectiveforanyreasons,includinglatentdefectortheuseofunsuitablematerialswithin45daysafterarrivalofthegoodsattheportofdestination,theBuyershallarrangeforaninspectiontobecarriedoutbytheBureauandhavetherighttoclaimagainsttheSelleronthestrengthoftheinspectioncertificateissuedbytheBureau.Anyclaimorexchangeapurchaseoccurred,allthechargesshouldonsellersaccount.

14.不可抗力：

卖方对在设备制造及运输期间由不可抗力而引起的延迟交货或不能交货不负任何责任，卖方应立即通知买方所发生的不可抗力，并在其后14天内，通过航空邮件，将由事发当地政府机关颁发的事故证书寄给买方，供其核查，在这种情况下，卖方仍有义务采取必要措施加快交货的速度。

如事故长达10周以上，买方有权撤销合同。

ForceMajeure:

Ifforcemajeureisoccurredthesellerdoesnotshoulderanyresponsibilityforanyfailureordelayindelivery.Thesellershouldnotifythebuyeroftheoccurrenceofforcemajeureandsendthebuyertheoccurrenceproofissuedbythelocalauthorityforfurther

investigationwithin14daysbyairmail.Underthiscircumstancethesellerisstillobligatedtotakenecessarymeasurestoexpeditethedelivery,Ifanydeliveryhereundershallbesodelayedformorethentenweeks,thebuyermayterminatethiscontactwithrespecttosuchdelivery.

15.合同纠纷解决的方式：

凡因执行本合同或有关本合同所发生的纠纷，双方应协商解决如；果不能协商解决，应提交北京中国国际经济贸易仲裁委员会，根据该会的仲裁规则进行仲裁仲。

裁裁决是终局的，对双方都有约束力。

Settlementofdispute:

Anydisputearisingfromtheexecutionof,orinconnectionwiththecontract,shouldbesettledthroughnegotiation.Incasenosettlementcanbereachednegotiation,thecaseshallthenbesubmittedtoChinaInternationalEconomicandTradeArbitrationcommission,Beijing,China,forarbitrationinaccordancewithitsRulesofarbitration.Thearbitrationawardisfinalandbindinguponbothparties.

16.迟交罚款：

如果卖方不能按合同规定的交货期交货时（，除本合同第15条中所述的不可抗力原因外），买方如同意推迟交货，继续履行合同，同时卖方同意支付罚款，继续履行合同的情况下，由支付行从货款中扣除，罚款不应超过货物总值的5%。

罚款的计算为每7天0.5%，不满7天以

7天计算。

如卖方不能在合同规定交货期后的10周内交货，买方有权要求取消合同，而卖方仍应毫无延迟地支付给买方上述罚款。

ShouldtheSellersFailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofForceMajeure,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexceed5%ofthetotalvaluethegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhaverighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.

17.质量保证：

卖方应保证货物所有原料优良，工艺上乘、全新、未经使用且完全符合本合同规定的质量和规格。

从货物抵达目的港之日起12个月之内或自卖方发货起18个月为保证期，以早到日为准。

Guaranteeofquality:

Thesellerguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompilesinallrespectswiththequalityandspecificationstipulatedinthiscontract.Theguaranteeperiodshallbeeither12monthsaftertheBuyer’sreceiptofthecontractgoodsor18monthsaftertheshipmenteffected,whichevercomesfirst.

18.本合同由双方签署正本两份份，甲方一份，乙方一份，生效日为双方签字日。
