Charter13-2DeckandHullMaintenance

1.Mainclausesofshiprepaircontract

1.1worksauthorization

1.ByrequestingtheRepairertocarryouttheWorks,thecustomerauthorizestherepairertodoallandthingsthatareintheoptionoftherepairernecessaryordesirabletocarryoutandcompletetheworksincluding,withoutlimitation:

(a)tooperatethevesseloranymachinery,partordeviceonoraboutthevessel;and

(b)toremovefromthevesselanymachinery,partordevice.

2.TheCustomerwarrantstotheRepairerthatithastheauthoritytorequesttheRepairertocarryouttheworks.

3.WheretheCustomerisactingasanagentinrequestingtheWorks,thenthecustomeragreestobejointlyandseverallyliablewithitsprincipalforallamountspayabletotherepairerarisingoutoftheworksandpayabletothesetermsandconditions.

4.Quotesforanyworksbytherepairerarevalidfortheperiodstatedinthatquoteunlessotherwiseadvisedbytherepairerinwriting.

5.PricesorratesquotedareinAustraliandollarsandexclusiveofalltaxes,dutiesorchargesimposedbyanygovernment,statutoryauthorityoragency.

6.Thecustomercannotwithdrawarequestfortheworkstobedoneorcallfortheworkstoceasebeforecompletionunlesstherepairerotherwiseagreesinwriting.

1.2Dockyardworks

Unlesstherepairerotherwiseagreesinwriting,whereworksaretobecarriedouttoavesseloranymachinery,partordeviceonoraboutthevesselatadockyard,slipway,wharf,jerryoranyotherplace,thecustomerauthorizestherepairertomovethevesselbywhatevermeansandinwhatevercircumstancesthattherepairerconsidersappropriate.

1.3Payment

Thecustomeragreestopaythefullinvolvedprice,plusallotheramountspayabletotherepairerunderthesetermsandconditions,relatingtoorarisingoutoftheworksforthecustomer,afterwhich(butnobefore)thevesselorothergoodsuponwhichtheworkshavebeencarriedoutwillbeavailableforcollectionbythecustomer.

Unlessotherwiseagreedinwritingbytherepairer,ifthecustomerfailstopaythefullinvoicedpriceoftheworkswithintheperiodstatedontherepairer’sinvoice,thecustomershallbeliabletopayinterestonthatamountatarateequaltothebenchmarkratequotedbynationalAustraliabanklimitedfromtimetotimeplus2%calculatedonadailybasisfromitsduedateforpaymentuntiltheamountoutstanding(plusinterest)hasbeenpaidinfull.

Beforemarkingpayment,thecustomermustinspecttheworksandsatisfyitselfthattheworkshavebeencarriedoutinaproperandsatisfactionmanner.Bymarkingpayment,thecustomeristakentohaveacceptedthattheworkshavebeencarriedoutinaproperandsatisfactorymanner.

Thevesselorothergoodsuponwhichtheworkshavebeencarriedoutmustbecollectedfromtherepairer’sworksitewithin[asdetermined]daysaftertheinvoicedateorinaccordancewithotherwrittennotificationbytherepairertothecustomer.

Ifthevesselorgoodsarenotcollectedinaccordancewithclause1.4,thenattherepairer’soption:

1)therepairermaychargethecustomerforstoragecostsatarateof[asdetermined]%oftheinvoicedpriceoftheworksforeachdaythatthevesselorgoodsremainsuncollected;or

2)uponnoticeinwritingtothecustomer,therepairermaycancelthecontractandchargeacancellationfeenottoexceed[asdetermined]%oftheinvoicedpricedoftheworks.

Anyworkscompletiondatequotedbytherepairerisanestimateonlyandtherepairershallnotbeliableforanyfailuretocompletetheworksbythatdate.

1.4Lien

Inadditiontoanyworkman’sorrepairer’slienwhichtherepairermayhaveoverthevesselorothergoodsonwhichtheworkshavebeencarriedout,therepairershallhaveagenerallienoverthatvesselorothergoodsandallotherpropertyofthecustomerthatcomesintothepossessionoftherepairerforanyreasonuntilallamountsowingbythecustomerorownerofthoseassetstotherepaireronanyaccountwhatsoeverhavebeenpaidtotherepairer.

1.5LimitationofLiability

Wherethecustomerisa“consumer”asdefinedbyanyrelevantlawsuchasthetradepracticeact1974(asamended)orsimilarstatelaws,thencertaintermsandrights(theprescribedterms)willbeimpliedintothesetermsandconditionsforthebenefitoftheconsumer,whichtermsandrightsandanyliabilityoftheRepairerflowingfromthemcannotbeexcluded,rescindedormodifiedbyanyprovisionoftheseTermsandconditions.

ExceptedforthePrescribedTerms,anyterms,conditionsorwarrantiesnotexpresslystatedinthesetermsandconditionsdonotformpartofanycontractbetweentherepairerandtheconsumerregardingtheworks.

SubjecttothePrescribedTerms,theliabilityoftherepairerforanybreachofanyPrescribedTermsshallbelimitedto,attheoptionoftheRepairer:

(a)thereplacementofthegoodsorthesupplyofequivalentgoods;

(b)therepairofthegoods;

(c)thepaymentofthecostofthereplacingthegoodsorofacquiringequivalentgoods;

(d)thepaymentofthecostofrepairingthegoods;

(e)thesupplyoftheserviceagain;

(f)thepaymentofthecostofhavingtheservicessuppliedagain,unlesstheCustomerestablishesthatitisnotfairandreasonablefortheRepairertorelyonthisterm.

Exceptasprovidedinthesetermsandconditions,theRepairershallnotinanycircumstancesbeliableincontract,torn,negligenceorotherwiseforanylossordamage(includingconsequential,indirect,special,oreconomiclossordamage)whicharisesoutoforinconnectionwiththeWorksincluding,withoutlimitation,anynegligentactoromissiononthepartoftheRepairerofanyemployee,agentofsub-contractoroftheRepairer.

Thecustomerindemnifiestherepairerforanyliabilityincontract,tort,negligenceorotherwiseincurredbytherepairertoanythirdpersonwhicharisesoutoforinconnectionwiththeworksincluding,withoutlimitation,anynegligentactoromissiononthepartoftheRepaireroranyemployee,agentorsub-contractoroftherepairer.

1.6Forcemajeure

6.Forcemajeure

IftheRepairerbyreasonofanymatterbeyonditscontrolincluding,withoutlimitation,anyactofGod,strike,lock-outorotherinterferencewithwork,war(declaredorundeclared),blockade,disturbance,lightning,fire,earthquake,storm,flood,explosion,governmentalorquasi-governmentalrestraint,expropriation,prohibition,intervention,embargo,unavailabilityordelayinavailabilityofsupplies,equipmentortransport,refusalofordelayinobtaininggovernmentalorquasi-governmentalapprovals,consents,permits,licences,authoritiesorallocationsisunabletoperforminwholeorinpartanyobligationunderthesetermsandconditions,theRepairershallberelievedofthatobligationunderthesetermsandconditionstotheextentandfortheperiodthatitisnotreasonablyabletoperformandshallnotinanywaybeliabletotheCustomerinrespectofsuchinability.

7.Sub-contractingandindemnity

7.1TheRepairershallbeentitledtosub-contractonanytermsthewholeoranypartoftheWorksandanyandallactsorthingsthatareintheopinionoftheRepairernecessaryordesirabletocarryoutandcompletetheWorks.

7.2TheCustomerundertakesthatnoclaimorallegationshallbemadeagainstanypersonbywhomsoevertheWorksisperformedorundertaken(includingallsub-contractorsoftheRepairer),otherthantheRepairer,whichimposesorattemptstoimposeuponanysuchpersonanyliabilitywhatsoeverinconnectionwiththeWorks,whetherornotarisingoutofnegligenceonthepartofsuchpersonand,ifanysuchclaimorallegationshouldneverthelessbemade,toindemnifytheRepaireragainstallconsequencesthereof.

8.Liabilityofemployees,agentsandcontractors

Itisherebyexpresslyagreedthateveryexemptionfromliabilityandeveryright,defenceandimmunityofwhatsoevernatureapplicabletotheRepairerortowhichtheRepairerisentitledhereundershallalsobeavailableandshallextendtoprotecteveryRepaireroragentoftheRepairer(includingeveryindependentcontractorfromtimetotimeemployedbytheRepairer)whileactinginthecourseoforinconnectionwithhisemploymentorengagement.TheRepairerisorshallbedeemedtobeactingasanagentortrusteeonbehalfofandforthebenefitofallpersonswhoareormightbeemployeesoragentsfromtimetotime(includinganyindependentcontractorsorsubcontractorsasaforesaid)andallsuchpersonsshalltothisextentbeorbedeemedtobepartiestothecontracten-idintobytheRepairer.

IIShipRepairandMaintenance

ALLcrewmembers,stevedores,porthangsandotherlaborsworkinginportandshipyardareasarekindlyrequestedtousetheireffortsavoidpotentialhealthandenvironmentaleffectscausedbyseveralkeyoperationsandprocessesintheshipyardindustry.

1.Abrasiveblasting

Thisprocessgeneratesparticulatematter,spentslagandabrasives,andheavymetalsuchaslead,nickell,,zincandcopper,fromthebreakdownoftheremovedpigmentedcoatingandsubstrate.Particulatematterand/orfineduet,causesrespiratoryendotherhumanhealthproblemsIfinhaled.Thedustcanalsodegradeairandwaterquality.

Fugitiveemissionsfromblastingoperationscantravelbeyondtheblastingarea,carriedbyairorbywater.Theycanmigratetootherproductionarenacausingworkerexposure,andpotentialcontaminationofpaintingorotheroperations,contaminationtostormdrains,otherdrainagepathway*,sediment,andwater.Aircancarryfugitiveblastingemissionsoutsidetheshipyardandimpactthegeneralpublicandenvironment.
