TheCommunityDevelopmentAdministration("
CDA"
)isadivisionwithintheDepartmentofHousingandCommunityDevelopmentoftheStateOfMaryland,andislocatedat100CommunityPlace,Crownsville,Maryland21032.TheCDASupplementaryGeneralConditions–
2009Edition(CDASupplementaryConditions)referstothearticlesof,oraddsnewsub-articlesto,the2007AlADocumentA201—GeneralConditionsoftheContractforConstruction.Togetherwiththe2007AlAStandardFormofAgreementBetweenOwnerandContractorandtheAlA
GeneralConditions,CDA'
sSupplementaryGeneralConditionsprovidesacomprehensivecontractagreementthatdelineatesthedutiesandresponsibilitiesofallrelevantpartiesandservestoclarifyandprotecttheinterestsofthelenderintheconstructionadministrationprocess.Thisdocumentshalltakeprecedenceoveranyandallcontractprovisions,generalconditionsoraddendaissuedpriortooraftertheexecutionoftheCDASupplementaryGeneralConditions.TheBuildingLoanAgreemententeredintobytheOwnerandCDAshalltakeprecedenceoverallconflictingcontractprovisions.
CDAgenerallyrecognizesthecompatibilityoftheAlADocumentA201-2007GeneralConditionsoftheContractforConstructionwithitsprogrammaticregulationsanditsinterestsintheconstructionadministrationprocess.WhereasmuchoftherevisedlanguageappearstoenhancetheA201-1997GeneralConditionsratherthansubstantivelychangetheterms,severalprovisionsvarysignificantlyfromthosefoundintheA201-1997andshouldbethoroughlyreviewedbyalleffectedpartiespriortoexecutingtheConstructionContract.Someoftheserevisedprovisionsinclude,butarenotnecessarilylimitedto,proceduresaddressingchangesin
work,retainageandtheparties’reportingobligations.ItisintendedthattheCDA
SupplementaryGeneralConditionsshallbeincorporatedintoallprojectmanualspriortothebiddingprocess.
A.TheContractDocumentsdescribeacompleteprojectreadyforoccupancyandcontemplatefinishedwork-in-placeofindustrystandards,orbetterincharacterandquality.TheContractoragreesthatallworkshallbeincompliancewith
(1)customarygoodindustrypractices,
(2)thefinalapprovedplans,specificationsandaddenda,ifany,and(3)tothebestofhisabilityandknowledge,complieswithallapplicableordinances,codesandregulationsofallpublicbodieshavinganyjurisdictionovertheproject.TheContractorshallcooperatewiththeOwner,Architect,Lender(s),andothercontractorsincoordinatingtheworktobeperformedunderseparatecontracts.TheContractoragreesthatinabsenceofdetailsorthelackoftherepetitionofdetailsonthedrawingsordocuments,thefiguresornotesgivenononeoranothershallbeusedandthatthelackofrepetitionshallnotbecauseforadditionaltimeormoney.
B.Uponcompletionofconstruction,theContractorshallfurnishtoCDAonesetofcompleteasbuiltdrawings.Thesedrawingsshallbeidentifiedandmarkedupneatly,legibly,andinamannerasdirectedbytheArchitectsoastoindicateanyandallmajorandminorvariationsfromtheoriginaldrawings.
C.TheContractorandArchitect,throughtheOwner,areobligatedtoprovidewrittennotificationtoCDAdetailinganydeviationsfromthefinalapprovedcontractdocumentsinregardtochangesinthework,potentialliens,costvariations,unusualandunanticipatedfieldconditions,changesorproblemsinschedulingoftheworkleadingtotheinabilitytocompletetheprojectwithinthetimespecifiedintheapprovedcontractagreementandanyothersignificantmodificationsinconsistentwiththeprovisionsoftheapprovedcontractdocuments.Inaddition
totheowner'
sapproval,CDA'
swrittenapprovalmustbesecuredpriortoexecutinganychangesinthecontractdocumentsaftertheinitialclosingoftheloan.
D.TheContractoragreestomakeagoodfaithefforttoawardtheequivalentof25%ofthetotalapprovedconstructioncontracttocertifiedminoritybusinessenterprisesforcontractsforprofessionalandtechnicalservicesandforprojectrelatedlaborandmaterials.TheContractorshallprovideevidenceofeither(i)compliancewiththisprovisionDor(ii)ifunabletomeetthe25%goal,hisgoodfaithefforttocomply.
E.CDAanditsagentsshallatalltimesduringconstructionand/orrehabilitationhavetherighttoenterandtoinspectallworkdone,andallmaterials,equipmentandothermattersrelatingtotheProject.
F.Afieldprogressmeetingwillbeheldminimallytwiceamonthonaregularlyscheduledbasis.TheBorrower,Contractor,ArchitectandCDAfieldrepresentativeshallmeettodiscussthegeneralprogressofthejobandanyconcernsofanadministrativeortechnicalnature.PreferablytheArchitectshallprovide,orarrangefor,writtenmeetingminutestobekeptandpromptlymadeavailabletoCDA.WithCDAapproval,theContractorcanassumetheresponsibilityofkeepinganddistributingthemeetingminutes.Duringoneofthebimonthlymeetings,asufficientamountoftimeshallbesetasidetoreviewtheapplicationforpaymentindetail.TheBorrower,
Contractor,ArchitectandCDAfieldrepresentativeshallagreeonthepercentageofworkcompletedandinplaceandtheamountofstoredmaterialson-siteandoff-site.Novariationinthepercentageofworkcompletewillbeallowedfromtheamountagreeduponatthismeeting.
G.TheContractorshallprovide100%PaymentandPerformanceBondseachintheamountof100%oftheConstructionContractsatisfactoryinallrespectstoCDAandnamingtheDepartmentofHousingandCommunityDevelopmentorCDAasanObligee(asdeterminedbytheDepartmentofHousingandCommunityDevelopment).Alternatively,theContractormayprovidetwounconditional,irrevocablelettersofcreditacceptableinallrespectstoCDAeachinanamountequalto25%ofthetotalcontractsumoftheConstructionContract.
H.AllfundsdisbursedforworkontheprojectwillbereleasedinasinglepartycheckorthroughwiretransferpayabledirectlytotheOwnershipentity.CDAshallreservetherighttoprovidedualpartycheckspayabletotheOwnerandContractoror,atCDA'
soption,directlytotheContractororsuchpersonsand/orentitiesashaveactuallysuppliedlabor,material,orservicesfortheconstructionoftheproject.
A.ThepartiesacknowledgethattheOwnerhasenteredintolegallybindingagreementswithCDArelativetofundingfromCDAfor,amongotherthings,allorpartoftheconstructioncostsoftheproject.Inconnectiontherewith,theOwnerhascommittedtosatisfyingcertainrequirementsassetforthintheBuildingLoanAgreementthatgovernsconditionsfordisbursements,assurancesofcompletion,retention,changeorders,progressmeetings,eventsandremediesforeventsofdefault,etc.
AlthougheveryefforthasbeenmadetoincorporatetheprovisionsoftheBuildingLoanAgreementthatarerelevanttotheContractor,OwnerandArchitectrelationshipsintotheCDASupplementaryGeneralConditions,itisrecommendedthatallpartiesjointlyreviewthestandardformofthedocumenttoensuretheirunderstandingandacceptanceoftheprovisionsthatmayeffecttheircontractsandagreements.Thisdocumentshalltakeprecedenceoveranyandallcontractprovisions.
B.TheOwnershallprovideimmediatewrittennotificationtoCDAofanyeventorconditionsthatthreatenthequalityandtimelycompletionoftheproject.
ARTICLE3—CONTRACTOR承包商
A.TheContractorcovenantswiththeOwnertofurnishhisbestskillandjudgmentandtocooperatewiththeOwner,ArchitectandCDA.TheContractoragreestofurnishefficientandskilledbusinessadministrationandsupervision,toprovideanadequatesupplyofskilledworkersandmaterials,andtoexecutetheworktoindustrystandardsinthemostefficientandexpeditiousmanner.
B.Priortothecommencementofthework,theContractorshallnotifyCDAandtheArchitectin
writingofthepersonauthorizedtoexecuteanddeliveronbehalfoftheContractoranycertificates,affidavits,noticesorotherinstrumentstheContractorisrequiredtofurnish,whichauthorizationshallremaininfullforceandaffectuntiltheContractorsubstitutesanotherpersonapprovedinwritingbytheArchitectandCDA.
C.TheContractorshallguaranteeagainst
(1)anydefectsinworkmanship,and
(2)anydefectsinmaterialsorequipment,andshallwarrantthatallmaterialsandequipmentshallperformandfunctionasspecifiedinthemanufacturer'
swarranty.AllsuchguaranteesandwarrantiesshallextendforaperiodofoneyearfromthedateofSubstantialCompletion(asdefinedinArticle9Eherein),unlessalongerperiodisspecifiedelsewherebythecontractdocuments.Allwarrantiesforappliances,equipmentandotheritemsshallbesubmittedtotheOwneruponcompletionoftheProject.
D.TheContractorshallimmediatelynotifytheArchitectandCDAofthedeliveryofallpermits,licenses,certificatesandi
