Chapter6ResponsibilitiesofEachPartytotheJointVenture

Article14PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:

Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofChina;

Processingtheapplicationfortherighttotheuseofthesitetotheauthorityinchargeoftheland;

Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthecooperativeventurecompany；

AssistingPartyBasinvestmentandarrangingthetransportationandcommunicationfacilitiesetc.;

Assistingthecooperativeventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;

AssistingthecooperativeventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;

Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocures;

Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.

ResponsibilitiesofPartyB:

Providingcash,machineryandequipment,industrialproperty…inaccordancewiththeprovisionsofArticle11andArticle12,13andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;

Handlingthemattersentrustedbythecooperativeventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc;

Providingnecessarytechnicalpersonnelforinstallmentandinspecting;

Trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;

IncasePartyBisthelicensor,itshallberesponsibleforthestableproductionofqualifiedproductsofthecooperativeventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;

Responsibleforothermattersentrustedbythejointventurecompany.（Note:

Chapter7DistributionofProfitsandRepaymentforPartyB’sInvestment

Article15Thecooperativeventurecompanyshalldistributeitsprofitsinaccordancewiththefollowingprocedureafterpayingtheincometax:

__%asallocationsforreservefunds,expansionfunds,welfarefundsandbonusesforstaffandworkersofthecooperativeventurecompany;

Chapter8Sellingofproducts

Article16TheproductsofcooperativeventurecompanywillbesolebothontheChineseandtheoverseasmarket,theexportportionaccountsfor__%,__%forthedomesticmarket.（Note:

Article19InordertoprovidemaintenanceservicetotheproductssoldbothinChinaorabroad,thecooperativeventurecompanymaysetupsalesbranchesformaintenanceservicebothinChinaandabroadsubjecttotheapprovaloftherelevantChinesedepartment.

Chapter9TheBoardofDirectors.

Article20Thedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.

Article21Theboardofdirectorsiscomposedof___directors,ofwhich___shallbeappointedbyPartyA,___byPartyB.TheChairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmanfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.

Article22Thehighestauthorityofthecooperativeventurecompanyshallbeitsboardofdirectors.Itshalldecideallmajorissuesconcerningthecooperativeventurecompany.Unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.Asforothermatters,approvalbymajorityorasimplemajorityshallberequires.（Note:

Article23Thechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompany.Shouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarily.

Article24Theboardofdirectorsshallconveneatleastonemeetingeveryyear.Themeetingshallbecalledandpresidedoverbythechairmanoftheboard.Thechairmanmayconveneaninterimmeetin
