CO-SALEAGREEMENT

　　thisco-saleagreement（this'agreement'）ismadeandenteredintoasof_________,_________,_________（m/d/y）byandbetweenaaausa,inc.,a_________（placename）corporation（the'company'）,（ii）bbb,inc.（'bbb'）and（iii）ccc（sb）（'ccc（sb）'）.

　　a.concurrentlyherewith,bbbandthecompanyareenteringintothatcertainagreement,datedasofthedatehereof（the'principalagreement;'capitalizedtermsusedhereinandnototherwisedefinedshallhavethemeaningsdefinedintheprincipalagreement）,pursuanttowhich,amongotherthings,bbbwillacquiresharesofcommonstockandwarrantsinconsiderationofthelicensebybbbofthebbblogosandthebbbcontentandprovisionbybbbofcertainbroadcastadvertisingandpromotion.

　　b.toinducebbbtoenterintotheprincipalagreement,ccc（sb）hasagreedtoenterintothisagreementandofferbbbtheopportunitytoparticipateincertainsalesofhissharesofcommonstockofthecompany.

　　nowtherefore,inconsiderationoftheaboverecitalsandthemutualcovenantsmadeherein,thepartiesherebyagreeasfollows:

　　1.rightofco-sale.

　　1.1noticeofsales.intheeventccc（sb）proposestoacceptoneormorebonafideoffers（collectively,the'purchaseoffer'）fromanypersonstopurchasefromhimsharesofthecommonstockofthecompany,hepromptlyshallgivewrittennotice（the'notice'）tobbbdescribingfullythepurchaseoffer,includingthenumberofsharesofcommonstockproposedtobetransferred（the'shares'）,theproposedbonafidetransferpriceandthenameandaddressoftheproposedtransferee.thenoticemaybeincludedasapartofanynoticerequiredtobegivenbyccc（sb）underarticleeight,section1ofthecompany'sbylaws.

　　1.2participationright.totheextentthatthecompanyandotherstockholdersofthecompanyhavenotexercisedtheirrespectiverightsoffirstrefusaltopurchasethesharesinaccordancewitharticleeightofthecompany'sbylaws,bbbshallhavetheright（the'participationright'）toparticipateinccc（sb）'ssaleofthesharesunderthetermsandconditionsspecifiedinthepurchaseoffer.totheextentbbbexercisesitsparticipationrights,thenumberofshareswhichccc（sb）maysellpursuanttothepurchaseoffershallbecorrespondinglyreduced.theparticipationrightofbbbissubjecttothefollowingtermsandconditions:

　　（a）numberofshares.bbbmaysellitsproratashareofthesharescoveredbythepurchaseoffer.bbb's'proratashare'forpurposesofthisagreementisthatnumberofsharesofcommonstockequaltotheproductobtainedbymultiplying（i）theaggregatenumberofsharescoveredbythepurchaseoffer,times（ii）afraction,thenumeratorofwhichisthesumofthenumberofsharesofcommonstockatthetimeownedbybbbandthedenominatorofwhichistheaggregatenumberofsharesofcommonstockatthetimeoutstanding,assumingconversionofalloutstandingpreferredstockofthecompanyandtheexerciseofalloptionsandwarrantsthenoutstanding.

　　（b）exercisenotice.ifbbbdesirestoexerciseitsparticipationrights,bbbshallprovideccc（sb）,withinthirty daysafterbbb'sreceiptofthenotice,awrittennoticeofsuchelection（'exercisenotice'）specifyingthenumberofsharesofcommonstockthatbbbelectstosellpursuanttotheparticipationrights.eachexercisenoticeshallbeirrevocable,unlessotherwiseconsentedtobyccc（sb）.

　　（c）deliveryofcertificates.bbbshalleffectitsparticipationinthesalebydeliveringtothecompanypromptlyfollowingexerciseofitsparticipationright,fordeliverytothepurchaserofthesharesattheclosingofthetransactioncontemplatedbythepurchaseoffer,oneormorecertificates,properlyendorsedfortransfer,representingthenumberofsharesofcommonstockwhichbbbhaselectedtosellpursuanttotheparticipationrights.

　　（d）transferofshares.thestockcertificateorcertificateswhichbbbdeliverstothecompanypursuanttosection1.2（c）shallbedeliveredbythecompanytothepurchaserunderthepurchaseofferattheclosingofthetransactioncontemplatedbythepurchaseoffer;andthecompanyshallreceiveonbehalfof,andpromptlyremittobbb,thatportionofthesaleproceedswhichbbbisentitledtoreceivebyreasonofitsparticipationinthesale.

　　（e）closing.whetherornotbbbexercisesitsparticipationrights,theclosingofthesaleofthesharessubjecttothepurchaseoffershalltakeplacenotlaterthanonehundredtwenty（120）daysfollowingthedatethenoticewasfirstdeliveredtobbb.attheclosing,ccc（sb）maysellanysharessubjecttothepurchaseofferastowhichbbbhasnotexerciseditsparticipationrights;and,ifbbbhasexerciseditsparticipationrights,theconsummationofsuchsaleshallbesubjecttothesalebybbbattheclosingofallsharesofcommonstockwhichbbbhaselectedtosellpursuanttotheparticipationrights.anyproposedsaleontermsandconditionsmateriallydifferentfromthosedescribedinthenotice,aswellasanysubsequentproposedsalebyccc（sb）,willagainrequirecompliancebyccc（sb）withtheprovisionsofthisagreement.

　　1.3termination.thisagreementandtheparticipationrightsgrantedhereundershallterminateuponthefirsttooccurofthefollowing:

　　（a）thetenthanniversaryofthedateofthisagreement;

　　（b）theexecutionofawrittenagreementtoterminatethisagreementbyccc（sb）andbbb;

　　（c）theconsummationofthefirstsaleofsecuritiesofthecompanytothepublicpursuanttoaneffectiveregistrationstatementfiledbythecompanyunderthesecuritiesactofXXXX年,asamended;

　　（d）thefirstdateonwhichbbboranyassigneetowhichsuchparticipationrightshavebeenassignedpursuanttosection2.1hereof（i）owncommonstockrepresentinglessthan10%ofthenumberofsharesofthecompany'scommonstockthatwouldbeoutstandingifallthenoutstandingsharesofthecompany'sconvertiblepreferredstockwerethenconvertedintosharesofcommonstockor（ii）holdlessthan50%ofthenumberofsuchcommonstockequivalentsharesasareissuabletobbbpursuanttotheprincipalagreementoranywarrantsissuablethereunder;or

　　（e）upontheclosingof（i）anyconsolidationormergerofthecompanywithorintoanyothercorporationorcorporationsinwhichtheholdersofthecompany'soutstandingsharesimmediatelybeforesuchconsolidationormergerdonot,immediatelyaftersuchconsolidationormerger,retainstockrepresentingamajorityofthevotingpowerofthesurvivingcorporationofsuchconsolidationormergerorstockrepresentingamajorityofthevotingpowerofacorporationthatwhollyowns,directlyorindirectly,thesurvivingcorporationofsuchconsolidationormerger;（ii）thesale,transferorassignmentofsecuritiesofthecompanyrepresentingamajorityofthevotingpowerofallthecompany'soutstandingvotingsecuritiesbytheholdersthereoftoanacquiringpartyinasingletransactionorseriesofrelatedtransactions;or（iii）thesaleofallorsubstantiallyallthecompany'sassets.

　　2.assignmentofparticipationrights.theparticipationrightsofbbbundersection1hereofmaybeassignedonlytoabbbassignee;provided,however,thatnosuchassignmentofanyofsuchparticipationrightsshallbeeffectiveagainstthecompanyorccc（sb）untilsuchtimeasthecompanyandccc（sb）aregivenwrittennoticebytheassigningpartystatingthenameandaddressoftheassigneeandidentifyingthesecuritiesofthecompanyastowhichtherightsinquestionarebeingassigned;andprovidedfurther,thatanysuchassigneeshallreceivesuchassignedparticipationrightssubjecttoallthetermsandconditionsofthisagreement,includingwithoutlimitationtheprovisionsofthissection2.

　　3.legendedcertificates.

　　3.1legend.eachcertificatesrepresentingsharesofthecommonstocknoworhereafterownedbyccc（sb）shallbeendorsedwiththefollowinglegend:

'thesaleortransferofthesecuritiesrepresentedbythiscertificateissubjecttothetermsandconditionsofacertainco-saleagreementbyandamongtheshareholder,thecorporationandbbb,inc.copiesofsuchagreementmaybeobtaineduponwrittenrequesttothesecretaryofthecorporation.'

　　3.2removaloflegend.thelegendrequiredbysection3.1shallberemoveduponterminationofthisagreementinaccordancewiththeprovisionsofsection1.3.

　　4.generalprovisions.

　　4.1notices.allnoticeshereunder（includingtheexercisenotice）shallbeinwritingandshallbegivenby（i）certifiedorregisteredmail,returnreceiptrequested;（ii）handdelivery;or（iii）nationallyrecognizedovernightcourierservice;anoticeshallbedeemedtohavebeengiven（a）whendeliveredbyhand;（b）threedaysaftermailing,inthecaseofcertifiedorregisteredmail;and（c）onebusinessdayafterbeingforwardedtoanationallyrecognizedovernightcourierserviceforovernightdelivery;ineachcasecorrectlyaddressedtosuchpartyatitsaddresssetforthbeloworsuchotheraddressassuchpartymayspecifybynoticetotheotherpartieshereto:

　　（a）iftothecompanyorccc（sb）,at_________（address）;and

　　（b）iftobbb,at_________（address）,attention:

　　4.2entireagreement.thisagreement,togetherwithalltheexhibitshereto,constitutesandcontainstheentireagreementandunderstandingofthepartieswithrespecttothesubjectmatterhereofandsupersedesanyandallpriornegotiations,correspondence,agreements,understandings,dutiesorobligationsbetweenthepartiesrespectingthesubjectmatterhereof.

　　4.3amendmentsandwaivers.anytermsofthisagreementmaybeamendedandtheobservanceofanytermoftheagreementmaybewaived（eithergenerallyorinaparticular）instanceandeitherre
