2.3XXX’sinvoicesshallbeprovidedtotheAccountingDepartmentof*****,andshallbepayablewithinfifteen（15）daysof*****’sreceiptofsuchinvoices.Anyunpaidoverdueinvoicesshallbesubjecttothefollowinginterestandpenalties:

2.3.22%oftheinvoiceamountwillbebilledbyXXXandpaidby*****asapenaltyifaparticularpaymentremainsoverdueforaperiodof60daysfrom*****’sreceiptoftheXXXinvoice,assuchinvoiceisdueandpayable.

2.4PaymentSurvival.IftheAgreementisprematurelyterminatedby*****,*****’sobligationstopayServicefeetoXXXfortheServicesperformedundertheAgreementpriortoterminationsetforthinArticle11orexpirationoftheAgreementshallsurvivesuchterminationorexpiration.TheamountsofsaidServicefeeshallbecalculatedandpaidbaseduponactualworkcompletedandcostsincurredatthetimeofterminationsetforthinArticle11,plusanadditional1%oftheTotalBudgettocompensatetheworkforterminationby*****（hereinafter“AdditionalCompensation”）.NoAdditionalCompensationshallbepaidiftheAgreementisterminatedbyXXXorasaresultofforcemajeureasprovidedinArticle17hereof.

3WARRANTIESANDREPRESENTATIONS:

3.2.1XXXwarrantsthatitwillrendertheServicesrequestedby*****inaccordancewithhighprofessionalstandardsandthatsuchServiceswillbecompletedinconformancewiththeProposal.

3.2.2APEXwarrantsthatthepersonnelassignedtoperformtheServicesunderthisAgreementshallbecomplianttotheconductofICH-GCPandacceptableto*****,whoseconsentwillnotunreasonablywithheld.

3.2.3XXXfurtherwarrantsthatitshallperformtheServicesincompliancewiththeapplicablelawsofthePeople’sRepublicofChina（“China”or“PRC”）,includinganyprotocolsinclinicalstudiesadoptedinthePRC.

3.3.4ThewarrantiescontainedinthisAgreementareinlieuofallotherwarranties,expressedorimplied.

4COMMUNICATIONS

AnynoticerequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenifdeliveredpersonally,mailedbyprepaid,firstclassmail,orsentbyexpresscourierservice,tothepartytobenotifiedattheaddressessetforthbelow（orsuchotheraddressasshallbedesignatedbywrittennotice;providedthatnoticesofachangeofaddressshallbeeffectiveonlyuponreceiptthereof）:

5NONSOLICITATION

EachPartyagreesnottosolicitanyemployeeoftheotherwithwhomsuchPartyhashadcontactduringaprojectassignmentunderthisAgreementwithoutthepriorwrittenpermissionoftheotherPartyduringthetermoftheprojectassignmentandforaperiodof6monthsthereafter.

6OWNERSHIPANDCONFIDENTIALITY

6.1OwnershipofConfidentialInformation.*****andXXXagreethattheotherpartyistheownerofitsrespectiveConfidentialInformation.

6.1.1XXXacknowledgesthat*****hasaproprietaryinterestintheprotocol,dataspecifications,documentation,oranyinformationinanyformdisclosedtoXXXby*****before,during,orafterthetermofthisAgreement,ordevelopedbyXXXsolelyfor*****（collectively,“*****ConfidentialInformation”）,andthatsuch*****ConfidentialInformationistheexclusiveandconfidentialpropertyof*****,andXXXshallhavenorightsorclaimstosuch*****ConfidentialInformationoranyresearchderivedfromsuch*****ConfidentialInformation.

6.1.2Similarly,*****acknowledgesthatallcomputerprograms,software,applications,globaldatamanagementsystem,theProposalandotherdocumentationgenerallyusedbyXXXandnotdirectlyrelatedtoordevelopedsolelyfor*****aretheexclusiveandconfidentialpropertyofAPEXorthethirdpartiesfromwhomAPEXhassecuredtherightofuse.*****agreesthatanyimprovement,alterationorenhancementtoXXX’ssystems,software,applicationsorprocesseswhicharedevelopedorimplementedduringthecourseoftheServicesshallbetheconfidentialpropertyofXXX（the“APEXConfidentialInformation”）.

6.2Confidentiality

*****shallnotdisclosetheXXXConfidentialInformationtoanypersonorthirdpartyotherthanitsemployeesorconsultantswhoareboundbysimilarobligationsofconfidentiality,andagreenottouseanyoftheotherparty’sConfidentialInformationatanytimeexceptforthepurposesofthisAgreementorexceptasexpresslyauthorizedbythisAgreement.

6.2.2XXX

XXXshallnotdisclosethe*****ConfidentialInformationtoanypersonorthirdpartyotherthanitsemployeesoremployeesofaffiliatedcompaniesoftheXXXGroupwhoareboundbysimilarobligationsofconfidentialityandwhoneedtoknowsuchinformationinordertoperformtheirdutiesincarryingouttheProposalhereunder.XXXagreenottouseanyoftheotherparty’sConfidentialInformationatanytimeexceptforthepurposesofthisAgreementorexceptasexpresslyauthorizedbythisAgreement.

6.3Exceptions

ThePartiesacknowledgeandagreethateachrecipienthereundershallhavenoliabilitytotheotherpartywithrespecttouseordisclosuretoothersnotpartiestothisAgreementofsuchinformationthat:

a.hasbeenalreadypubliclyknownbytherecipientpriortoitsdisclosureby*****orXXX,asthecaseofmaybe,ofsuchinformationtotherecipient;or

b.hasbecomepubliclyknown,withoutfaultonthepartoftherecipientorthroughanyactoromissionoftherecipientinbreachofthisAgreement,subsequenttodisclosureby*****orXXX,asthecasemaybe,ofsuchinformationtotherecipient;or

c.hasbeendevelopedorobtainedbytherecipientwithoutuseof,orindependentfrom,informationreceivedfromtheotherparty;or

d.hasbeenreceivedbytherecipientatanytimefromasourceotherthantheotherparty,lawfullyhavingpossessionofsuchinformationandwhoisundernoobligationtoanyotherpartywithrespecttosuchinformationatthetimeofdisclosure.

6.4AuthorizedDisclosure.IntheeventConfidentialInformationmustbedisclosedtogovernmentalagenciesorisotherwiserequiredtobedisclosedbylaw,therecipientmaynotmakesuchdisclosurewithoutgivingthedisclosingpartypriorwrittennoticeofsuchobligationtodisclosewithsuchnoticebeinggivenasearlyasreasonablypossible.

6.5Survival.ThisArticle6shallsurvivetheterminationorexpirationofthisAgreement.

7SECURITYANDDISPOSITIONOFCOMPUTERFILESANDSTUDYMATERIALS

7.1Materials.ThePartieswillexchangeresearchmaterialsrelatedtotheServiceshereunder.XXXwilltakereasonableandcustomaryprecautions,includingperiodicbackupofcomputerfiles,topreventthelossoralterationof*****’sdata,documentation,andcorrespondence.UponterminationofthisAgreement,APEXwilldisposeof*****computer-storedfilesandstudymaterialsaccordingto*****’sstandardoperatingprocedures.***
