1.Aslongaseachoftheundersignedshareholdersremainsashareholderin

herbesteffortstothebestinterestsandadvancementofthecorporation.
3.ForthecommoninterestoftheCorporation,theundersignedshareholders
agreetothefollowingpeopleappointedandelectedasofficersofthe
Corporation,aslongastheyremainshareholdersoftheCorporationandperform
competently,faithfully,andefficiently.

AnyoftheforegoingofficerswhoceasestobeashareholderintheCorporation
shallsubmithisorherresignationtothecorporationwhenheorshetransfers
hisorhershares.
4（a）.Theundersignedshareholdersagreeanyactiontakenatameetingofthe
shareholdersthatreceivesavoteinfavoroflessthan________%ofthe
shareholdersmaybesubjecttoactionfromthedissentingshareholders.Theymay
requiretheothershareholderstoeither
（1）Rescindtheactionor
（2）Purchase
thesharesofthecorporationownedbythedissenter（s）atapricepershare
computedonaproratabasisaccordingtoSection4（d）ofthisagreementwithin
_______days.Thebelowundersignedshareholdersagreethatshouldtheirvotein

4（b）.Theundersignedshareholdersagreethattheywillnotsell,pledge,
assign,transfer,hypothecate,orotherwisedisposeofthesharesofstockowned
byanyofthem,unlessthesharesofstockhavebeenfirstofferedtothe
corporationatapricecomputedonaproratabasisaccordingtoSection4（d）of
thisagreement.Anysuchoffershallbemadeinwritingandshallremainopen
fortheacceptanceofthecorporationforaperiodofnolessthan______days.
Shouldthecorporationaccepttheoffer,itmustagreeinwritingtopurchase
theentireamountofstockofferedandshallmakeadownpaymentcomprisedof
______%ofthetotalpurchaseprice.Theremainingbalanceofthetotalpurchase
priceshallbepaidasprovidedforinSection4（e）ofthisagreement.Ifthe
Corporationshouldchoosenottopurchasetheshareswithin_______days,the

asprovidedforinSection4（d）ofthisagreement.Anysuchoffershallbeshall

outlinedinSection4（d）ofthisagreement.Afterthisofferingtotheremaining
shareholders,anyamountofstockthatremainsunpurchasedshallbeconsidered
freelytransferableandnolongersubjecttotheprovisionsandlimitationsof
thisagreement.Thisagreementshallnotbarasale,transfer,assignment,or
bequestsharesofstockbyoneoftheundersignedshareholderstoamemberof
hisorherimmediatefamily,whoshall,however,takehisorherstocksubject
toalltheprovisionsandlimitationsofthisagreement.
4（c）.Thepartiestothisagreementagreethatuponthedeathof

________________________________,theexecutors,administrators,orothersuch
legalrepresentativesofthedeceasedshall,within________days,offertosell
totheCorporationallthesharesofstockownedbythedeceasedatthetimeof
hisorherdeath.Itisthewishofthepartiestothisagreementthatafterthe
qualificationofthelegalrepresentativesofthedeceasedshareholder,hisor
herfamilyshallterminateanyandallinterestintheCorporationandthatany
andallmembersofthefamilytowhomthedeceasedhasleftsharesofstock
shallselltotheCorporationallsharesofstockownedbythemwithinaperiod
of_______days.Thepricepershareshallbecomputedonaproratabasis
accordingtotheprovisionsofSection4（d）ofthisagreement.
4（d）.Theundersignedpartiesagreethatasofthisdateoneshareofstockin

priortoasuchtransferasdescribedinSections4（a）,（b）,or（c）shallbe

5.Thepartiesheretoagreethattheywillnotdisposeoftheirsharesofstock
insuchawayastocausetheterminationoftheCorporation'sabilitytobe
taxedasanelectingSmallBusinessCorporationunderSubchapterSofthe
InternalRevenueCodeof1954.
6.EachcertificateofstockoftheCorporationshallcontainthefollowing
information:

Acopyoftheagreement,whichaffectsotherrightsoftheholderofthese
shares,willbekeptonfileattheofficeoftheCorporationat

7.Shouldanydisputearisebetweentwoormoreofthepartiestothisagreement
astotheirrightsunderanyprovisionsofthisagreement,thepartieshereby
agreetorefersuchdisputetotheAmericanArbitrationAssociation,whose
decisiononthequestionsshallbebindingonthepartiesandshallbewithout
appeal.
8.TheCorporationisauthorizedtoenterintothisagreementbyaresolution

9.Thisagreementoranyofitsprovisionsmaybechangedonlybythemutual
consentoftheundersignedparties,andunlesssochangeditremainsbinding

股东协议
