1.WARRANTY-VOYAGE-CARGO. Thevessel,classedasspcifiedinPart Ⅰ hereof,andtobesomaintainedduringthecurrencyofthisCharter,shall,withallconveientdispatch,proceedasorderedtoLoadingPort（s）namedinaccordingwithClause4hereof,orsonearthereuntoasshemaysafelyget（alwaysafloat）,andbeingseaworthy,andhavingallpipes,pumpsandheatercoilsingoodworkingorder,andbeingineveryrespectfittedforthevoyage,sofarastheforegoingconditioncanbeattainedbytheexerciseofduediligence,perilsoftheseaandanyothercauseofwhatsoeverkindbeyondtheOwner'sand/orMaster'scontrolexcepted,shallload（alwaysafloat）fromthefactorsoftheChartererfullandcompletecargoofpetroleumand/oritsproductsinbulk,notexceedingwhatshecanreasonablystowandcarryoverandaboveherbunkerfuel,consumablestores,boilerfeed,culinaryanddrinkingwater,andcomplementandtheireffects（sufficientspacetobeleftinthetankstoprovidefortheexpansionofthecargo）,andbeingsoloadedshallforthwithproceed,asorderedonsigningBillsofLading,directtotheDischargingPort（s）,orsonearthereuntoasshemaysafelyget（alwaysafloat）,anddeliversaidcargo.IfheatingofthecargoisrequestedbytheCharterer,theOwnershallexerciseduediligencetomaintainthetemperaturesrequested.
1.保证--航次--货物 本船具有第一部分所述船级，并应在本租船合同期间保持此种状态，本船将尽力以合理速度驶往按第4条指定的装货港或其附近本船所能安全抵达（始终处于浮泊状态）的地点。
本船应适航，各种输油管、泵及加热管系处于良好工作状态，并在各方面适于航次。
经谨慎处理能满足前述条件的范围内，海上风险及任何其他船东和／或船长无法控制的原因除外。
本船应（在始终浮泊状态下）装载由承租人的代理人提供的满舱满载的散装石油和／或石油制品，但不超过除去燃油、应耗物料、锅炉用料、蔬菜及饮用水、船上定员及其财产（并为货物膨胀留出充分的货舱舱容）后本船所能合理载运的范围。
如此装载后，本船应按所签提单规定的顺序，直接驶往卸货港或其附近本船所能安全抵达（始终处于浮泊状态）的地点，交付上述货物。
如承租人要求对货物进行加温，船东应谨慎处理保持所要求的温度。
2.FREIGHT. FreightshallbeattheratestipulatedinPart Ⅰ andshallbecomputedonintakequantity（exceptdeadfreightasperClause3）asshownontheInspector'sCertificateofInspection.PaymentoffreightshallbemadebyChartererwithoutdiscountupondeliveryofcargoatdestination,lessanddisbursementsoradvancesmadetotheMasterorOwner'sagentsatportsofloadingand/ordischargeandcostofinsurancethereon.Nodeductionoffreightshallbemadeforwaterand/orsedimentcontainedinthecargo.TheservicesofthePetroleumInspectorshallbearrangedandpaidforbytheChartererwhoshallfurnishtheOwnerwithacopyoftheInspector'sCertificate.
2.运费 运费应按第一部分规定的费率，根据检验人员的检验证书上记载的装船数量（不包括第3条规定的亏舱费）计算。
运费应在卸货港交付货物时，由承租人无折扣地支付，但扣减在装货港和／或卸货港为船东或船东的代理人支付的任何费用或垫款及其保险费。
运费不得因货物中含有水分和／或沉淀物而作扣减。
油量检验人应由承租人安排并支付费用。
承租人应向船东提供一份检验证书副本。
3.DEADFREIGHT. ShouldtheChartererfailtosupplyafullcargo,theVesselmay,attheMaster'soption,andshall,uponrequestoftheCharterer,proceedonhervoyage,providedthatthetanksinwhichcargoisloadedaresufficientlyfilledtoputherinseaworthycondition.Inthatevent,however,deadfreightshallbepaidattheratespecifiedinPart Ⅰ hereofonthedifferencebetweentheintakequantityandthequantitytheVesselwouldhavecarriedifloadedtoherminimumpermissiblefreeboardforthevoyage.
3.亏舱费 如承租人未提供满舱满载货物，由船长选择，经承租人要求，船舶可以开始其航次，只要载货油舱所装货物足以使本船处于适航状态即可。
但在此种情况下，应按第一部分规定的费率，根据已装船数量与本船达到本航次最低允许干舷高度时所能载运的数量之差，支付亏舱费。
4.NAMINGLOADINGAND DISCHARGE PORTS.
（a）TheCharterershallnametheloadingportorportsatleasttwenty-four（24）hourspriortotheVessel'sreadinesstosailfromthelastpreviousportofdischarge,orfrombunkeringportforthevoyage,oruponsigningthisCharteriftheVesselhasalreadysailed.However,CharterershallhavetheoptionoforderingtheVesseltothefollowingdestinationsforwirelessorders:

SK.KITTS Caribbean orU.S.Gulfloadingport（s）
PORTSAIDEasternMediterraneanor PersianGulf loadingport（s）
（fromportswestof PortSaid）
（b）IflawfulandconsistentwithPartIandwiththeBillsofLading,theCharterershallhavetheoptionofnominatingadischargingportorportsbyradiototheMasteronorbeforetheVessel'sarrivalatoroffthefollowingplaces:
PlaceOnavoyagetoaportorpartsin:
LAND'SENDUnitedKingdom/Continent（Bordeaux/Hamburgrange）
orScandinavia（including Denmark）
SUEZ Mediterranean（from PersianGulf）
GIBRALTERMediterranean（from WesternHemisphere）.
（c）Anyextraexpenseincurredinconnectionwithanychangeinloadingordischargingport（s）（sonamed）shallbepaidforbytheChartererandanytimetherebylosttothevesselshallcountasusedlaytime.
4.指定装货港和卸货港
（1）承租人至少应于本船在前一航次最后港口或为本航次而加油的港口作好开航准备之前24小时，或者，如船舶已开航，则在签署本租船合同之时，指定装货港。
但是，承租人可选择指示本船前往下列目的港等待无线电指示：
在前往位于下列区域的港口的航次中：
圣·肯茨 加勒比海或美湾装货港
赛得港 东地中海或波斯湾装货港
（从赛得港以西港口）
（2）如果合法并与第一部分和提单相一致，承租人可选择在本船到达下列地点或附近之时或之前，用无线电通知船长所指定的卸货港：
地点 在前往位于下列区域的港口的航次中
地角 英国／大陆（波尔多／汉堡区域）或斯堪的那维亚（包括丹麦）
苏伊士 地中海（自波斯湾）
直布罗陀 地中海（自西半球）
（3）任何与变更（已指定的）装货港或卸货港有关的额外费用，应由承租人支付，本船因此损失的时间应计为实用装卸时间。
5.LAYDAYS. LaytimeshallnotcommencebeforethedatestipulatedinPart Ⅰ,expectwiththeCharterer'ssanction.ShouldtheVesselnotbereadytoloadby4:
00o'clockP.M.（localtime）onthecancellingdatestipulatedinPart Ⅰ,theCharterershallhavetheoptionofcancellingthisCharterbygivingOwnernoticeofsuchcancellationwithintwenty-four（24）hoursaftersuchcancellationdate:
otherwisethisChartertoremaininfullforceandeffect.
5.受载期 除非承租人同意，在第一部分规定的日期之前不起算装卸时间。
如本船在第一部分规定的解约日下午4时（地方时）之前尚未作好装货准备，则承租人可选择在解约日之后24小时之内通知船东解除本租船合同。
否则，本租船合同仍具有完全效力。
6.NOTICEOFREADINESS Uponarrivalatcustomaryanchorageateachportofloadingofdischarge,theMasterorhisagentshallgivetheChartererorhisagentnoticebyletter,telegraph,wirelessortelephonethattheVesselisreadytoloadordischargecargo,berthornoberth,andlaytime,ashereinafterprovided,shallcommenceupontheexpirationofsix（6）hoursafterreceiptofsuchnotice,orupontheVessel'sarrivalinberth（i.e.,finishedmooringwhenatasealoadingordischargingterminalandallfastwhenloadingordischargingalongsideawharf）,whicheverfirstoccurs.However,wheredelayiscausedtoVesselgettingintoberthaftergivingnoticeofreadinessforanyreasonoverwhichChartererhasnocontrol,suchdelayshallnotcountasusedlaytime.
6.准备就绪通知书 本船到达每一装货港或卸货港习惯锚泊地点，船长或其代理人应用信件、电报、无线电或电话通知承租人或其代理人本船已作好装货或卸货准备，而不论本船靠泊与否。
装卸时间（见后规定）从收到通知书6小时后或者本船到达泊位（即在海上装货或卸货泊位靠完泊或在码头边装货或卸货时，系妥缆绳）之时起算，以较早者为准。
如本船递交装卸准备就绪通知书后因承租人不能控制的原因延误本船进入泊位，此种延误不应计为实用装卸时间。
7.HOURSFORLOADINGANDDISCHARGING. ThenumberofrunninghoursspecifiedaslaytimeinPart Ⅰ shallbepermittedtheChartereraslaytimeforloadinganddischargingcargo;butanydelayduetotheVessel'sconditionorbreakdownorinabilityoftheVessel'sfacilitiestoloadordischargecargowithinthetimeallowedshallnotcountasusedlaytime.IfregulationsoftheOwnerorportauthoritiesprohibitloadingordischargingofthecargoatnight,timesolostshallnotcountasusedlaytime;iftheCharterer,shipperofconsigneeprobibitsloadingordischargingatnight,timesolostshallcountasusedlaytime.Timeconsumedbythevesselinmovingfromloadingordischargeportanchoragetoherloadingordischargeberth,dischargingballastwaterorslops,willnotcountasusedlaytime.
7.装货和卸货时数 第一部分规定的连续小时数应是允许承租人使用的装货和卸货时间，但因本船的条件或本船设备损坏而不能在规定时间内完成装货或卸货而造成的任何延误不应计为实用装卸时间。
如船东或港口当局的规则禁止夜间装货或卸货，因而损失的时间不应计为实用装卸时间。
如承租人、托运人或收货人禁止夜间装货或卸货，因而损失的时间应计为实用装卸时间。
本船从装货港或卸货港锚地移至装货或卸货泊位所用的时间和排除压载水及污水所用的时间，不应计为实用装卸时间。
8.DEMURRAGE. CharterershallpaydemurrageperrunninghourandprorateforapartthereofattheratespecifiedinPart Ⅰ foralltimethatloadinganddischargingandusedlaytimeaselsewherehereinprovidedexceedstheallowedlaytimeelsewherehereinspecified.If,however,demurrageshallbeincurredatportsofloadingand/ordischargebyreasonoffire,explosion,stormorbyastrike,lockout,stoppageorrestraintoflabororbybreakdownofmachineryorequipmentinorabouttheplantoftheCharterer,supplier,shipperorconsigneeofthecargo,therateofdemurrageshallbereducedone-halfoftheamountstatedinPart Ⅰ perrunninghourorprorateforpartofanhourfordemurragesoincurred.TheCharterershallnotbeliableforanydemurragefordelaycausedbystrike,lockout,stoppageorrestraintoflaborforMaster,officersandcrewoftheVesselortugboatorpilots.
8.滞期费 如果装货和卸货所用的时间及本合同规定的其他实用装卸时间超过本合同规定的可用装卸时间，承租人应根据第一部分规定的费率，按每一连续小时（不足一小时按比例计算）支付滞期费。
但是，如装货港和/或卸货港出现的滞期系承租人、供货人、货物托运人或收货人工厂内外火灾、爆炸、风暴或由于罢工、关厂、停工或劳动限制或因机器或设备损坏所致，滞期费率应减第一部分规定的每连续小时（不足一小时按比例计算）滞期费的一半。
对本船船长、船员或拖轮或引航员的罢工、停业、停工或劳动限制造成的延误，承租人不负责滞期费。
9.SAFEBERTHING-SHIFTING. Thevesselshallloadanddischargeatanysafeplaceorwharf,oralongsidevesselsorlightersreachableonherarrival,whichshallbedesignatedandprocuredbytheCharterer,providedtheVesselcanproceedthereto,lieat,anddeparttherefromalwayssafelyafloat,anylighteragebeingattheexpense,riskandperiloftheCharterer.TheCharterershallhavetherightofshiftingtheVesselatportsofloadingand/ordischargefromonesafeberthtoanotheronpaymentofalltowageandpilotageshiftingtonextberth,chargesforrunninglinesonarrivalatandleavingthatberth,additionalagencychargesandexpense,customsovertimeandfees,andanyotherextraportchargesorportexpensesincurredbyreasonofusingmorethanoneberth.TimeconsumedonaccountofshiftingshallcountasusedlaytimeexceptasotherwiseprovidedinClauses15.
9.安全靠泊--移泊 本船应在承租人指定并获得的、本船能驶抵、停留和驶离且一经到达即可挂靠的安全地点或码头、或船边或驳船边装货和卸货。
货物过驳的任何费用、风险和危险由承租人承担。
承租人有权在装货港和／或卸货港将船舶从一个安全泊位移至另一个安全泊位，但须支付移至下一个泊位所需的一切拖带费和引航费，以及抵达和驶离该泊位所需的航路费、额外代理费、加班费和其他费用，以及因使用多泊位而引起的额外港口费用。
移泊所用时间应计为实用装卸时间，但第15条另外规定者除外。
10.PUMPINGINANDOUT. ThecargoshallbepumpedintotheVesselattheexpense,riskandperiloftheCharterer,andshallbepumpedoutoftheVesselattheexpenseofth
