MEMORANDUMOFAGREEMENT

Thisagreementisenteredintothis（Day,Month&Year）byandbetween（NameandCompleteAddressofSponsor）（hereinafterreferredtoas'Sponsor'）andKansasStateUniversity,2FairchildHall,Manhattan,KS,66506-1103（hereinafterreferredtoasthe'University'）.?

WorkwillbeperformedatKansasStateUniversityintheDepartmentof（Dept.Name）.

¡¡¡¡Whereas,theprojectcontemplatedbythisAgreementisofmutualinterestandbenefittoUniversityandtoSponsorandwillfurtherinstructionalandresearchprojectobjectivesofUniversityinamannerconsistentwithitsstatusasanon-profit,tax-exempteducationalinstitution.

¡¡¡¡Now,therefore,thepartiesheretoagreeasfollows:

¡¡¡¡1.STATEMENTOFWORK.?

¡¡¡¡TheUniversityagreestouseitsbesteffortstoperformtheprojectasdescribedinAppendixAhereof.

¡¡¡¡2.PRINCIPALINVESTIGATOR/PROJECTDIRECTOR.?

¡¡¡¡Theprojectwillbedirectedby（PI/PDName）.?

If,foranyreason,（s）heisunabletocontinuetoserveasprincipalinvestigator/projectdirectorandamutuallyacceptablesuccessorisnotavailable,Universityand/orSponsorshallhavetheoptiontoterminatesaidprograminaccordancewithClause15-TERMINATION.

¡¡¡¡3.PERIODOFPERFORMANCE.?

¡¡¡¡Theprojectshallbeconductedduringtheperiodof（StartDateandEndDate）andwillbesubjecttorenewalonlybymutualagreementoftheparties.

¡¡¡¡4.PROJECTCOSTSANDPAYMENT.?

¡¡¡¡Inconsiderationoftheforegoing,SponsorwillpayUniversityforcostsincurredintheperformanceoftheproject,withoutanitemizedaccounting.Paymentshallnotexceedthetotalestimatedcostof（EnterAmount）.?

Sponsorshallmakepayment（withinthirty（30）daysofthereceiptofaninvoicefromUniversity）or（shallpay$___________uponthefullexecutionofthisagreementand$__________onorabout[date]）.

¡¡¡¡5.REPORTS.?

¡¡¡¡BriefprogressreportsoftheprojectwillbemadeperiodicallybyUniversitytoSponsorandafinalreportwillberenderedoncompletionoftheproject.?

DuringthetermofthisAgreement,representativesofUniversitywillconsultand/ormeetwithrepresentativesofSponsortodiscussprogressandresults,aswellasongoingplansoftheprojectandUniversitywillprovideprojectinformationtoSponsorasreasonablyrequested.

¡¡¡¡6.FACILITIES.?

¡¡¡¡TheUniversitywillprovidetheutilitiesandoffice,laboratoryandfieldspaceneededfortheproject.

¡¡¡¡7.PROPERTY.?

¡¡¡¡AllequipmentdetailedintheprojectbudgetandpurchasedfromthisfundshallbethepropertyoftheUniversity.

¡¡¡¡8.PUBLICITY.?

¡¡¡¡SponsorwillnotusethenameofUniversity,norofanymemberofUniversity'sprojectstaff,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofanauthorizedrepresentativeofUniversity.?

UniversitywillnotusethenameofSponsor,noranyemployeeofSponsor,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofSponsor.

¡¡¡¡9.INSURANCE.?

¡¡¡¡Universityrepresentsthatithasadequateliabilityinsurance,suchprotectionbeingapplicabletoofficers,employees,andagentswhileactingwithinthescopeoftheiremploymentbyUniversity.?

TheUniversityhasnoliabilityinsurancepolicyassuchthatcanextendprotectiontoanyotherperson.

¡¡¡¡10.BACKGROUNDINTELLECTUALPROPERTY.?

¡¡¡¡"BackgroundIntellectualProperty"meanspropertyandthelegalrightthereinofeitherorbothpartiesdevelopedbeforeorindependentofthisAgreementincludinginventions,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyinformationembodyingproprietarydatasuchastechnicaldataandcomputersoftware.

BothpartiesagreetoprovidetheBackgroundIntellectualPropertynecessarytocompletetheobjectivesoftheproject.?

BothpartiesshallretainallrightstotheirrespectiveBackgroundIntellectualPropertyprovidedforthispurpose.?

Neitherpartyshallassumeanyrightsintheotherparty'sBackgroundIntellectualPropertyprovidedforthisprojectotherthantherighttousesaidBackgroundIntellectualPropertytoachievetheobjectivesofthisproject.

¡¡¡¡11.PROJECTINTELLECTUALPROPERTY.?

¡¡¡¡"ProjectIntellectualProperty"meansthelegalrightsrelatingtoinventions（includingSubjectInventionsasdefinedin37CFR401）,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyotherlegallyprotectableinformation,includingcomputersoftware,firstmadeorgeneratedduringtheperformanceofthisAgreement.

¡¡¡¡OwnershipofProjectIntellectualPropertyshallvestinthepartywhosepersonnelconceivedthesubjectmatteranddiligentlypursuedreducingthesubjectmattertopractice,andsuchpartymayperfectlegalprotectionthereininitsownnameandatitsownexpense.?

JointlymadeorgeneratedProjectIntellectualPropertyshallbejointlyownedbythePartiesunlessotherwiseagreedinwriting.ThePartiesagreetodisclosetoeachother,inwriting,eachandeveryInventionwhichmaybepatentableorotherwiseprotectableundertheUnitedStatesPatentlawsinTitle35,UnitedStatesCode.ThePartiesacknowledgethattheywilldiscloseInventionstoeachotherandtheawardingagencywithintwo

（2）monthsaftertheirrespectiveinventor（s）firstdisclosetheinventioninwritingtotheperson（s）responsibleforpatentmattersofthedisclosingparty.?

AllwrittendisclosuresofsuchInventionsshallcontainsufficientdetailoftheinvention,identificationofanystatutorybars,andshallbemarkedconfidential,inaccordancewith35U.S.C.205.

SponsorshallreceivethefirstoptiontonegotiateforalicensetocommercializetheProjectIntellectualPropertyofUniversity,subjecttoanyrightsoftheGovernmenttherein.?

SponsorisherebygrantedanexclusiveoptiontonegotiatethetermsforalicensetoProjectIntellectualPropertyofUniversity,foraninitialoptionperiodofthree（3）monthsaftersuchinventionhasbeenreportedtoSponsor.?

ThetermsofsubsequentlicensingagreementsforUniversityownedand/orJointlyownedIntellectualPropertywillbenegotiatedingoodfaithandbymutualagreementbythePartiestothisAgreement.

¡¡¡¡12.CONFIDENTIALITY/PUBLICATIONS.?

¡¡¡¡DuringthetermofthisAgreement,andforaperiodoffive（5）yearsthereafter,eachpartywillmaintaininconfidenceallconfidentialBackgroundIntellectualPropertyandProjectIntellectualPropertyofaparty,aswellasallotherConfidentialInformationofapartydisclosedbythatpartytotheotherinconnectionwiththisProject.?

Neitherpartywilluse,discloseorgrantuseofsuchConfidentialInformationexceptasrequiredtoperformunderthisAgreement.?

EachpartywilluseatleastthesamestandardofcareasitusestoprotectitsownConfidentialInformationtoinsurethatstudents,interns,employees,agentsandconsultantsdonotdiscloseormakeanyunauthorizeduseofsuchConfidentialInformation.?

Anystudent,intern,employee,agentorconsultantofthereceivingpartymustbenotifiedoftherestrictionsontheuseofthedisclosingparty'sConfidentialInformationandmustagreewiththoserestrictionsbeforebeingallowedaccesstotheConfidentialInformation.?

EachpartywillpromptlynotifytheotherupondiscoveryofanyunauthorizeduseordisclosureoftheConfidentialInformation.

¡¡¡¡Eitherpartymaypublishitsresultsfromthisproject.?

However,thepublishingpartywillprovidetheotherpartyathirty（30）dayperiodinwhichtoreviewproposedpublications,identifyproprietaryorconfidentialinformation,andsubmitcomments.?

Thepublishingpartywillnotpublishorotherwisediscloseproprietaryorconfidentialinformationinaccordancewiththeproceduresdescribedinthisarticleandthepublishingpartywillgivefullconsiderationtoallcommentsbeforepublication.?

Furthermore,uponrequestofthereviewingparty,publicationwillbedeferredforuptosixty（60）additionaldaysforpreparationandfilingofaPatentapplicationwhichthereviewingpartyhastherighttofileortohavefiledatitsrequestbythepublishingparty.

¡¡¡¡13.MODIFICATION.?

¡¡¡¡AnyagreementtochangethetermsofthisAgreementinanywayshallbevalidwhenthechangeismadeinwritingandapprovedbyauthorizedrepresentativesofthepartieshereto.

¡¡¡¡15.TERMINATION.?

¡¡¡¡PerformanceunderthisAgreementmaybeterminatedbySponsoruponathirtydayadvance,writtennotice.?

IntheeventofearlyterminationofthisAgreementbySponsor,SponsorshallpayallcostsaccruedbyUniversityasofthedateofthenoticeoftermination,includingnon-cancelableobligations,whichshallincludeallnon-cancelablecontractsandfellowshipsorpostdoctoralassociateappointmentscalledforinAppendixA.?

Inaddition,SponsorwillpayallotherreasonablecostsincurredbytheUniversityduringthetimeperiodbetweenthenotificationdateandtheterminationdate,whicharenecessarytoterminatetheproject.?

AnyobligationofsponsorforfellowshipsorpostdoctoralassociatesshallendnolaterthantheendofUniversity'sacademicyearfollowingtermination.?

ReimbursementforincurredcostsandobligationswillnotexceedthetotalestimatedprojectcostasshowninClause4.

PerformancemaybeterminatedbyUniversityuponathirtydayadvance,writtennoticeifcircumstancesbeyonditscontrol
