7.Within30daysafterthesigningandcomingintoeffectofthiscontract,theBuyershallproceedtopaythepriceforthegoodstothesellerbyopeninganirrevocableL/CforthefullamountofUSD30,000infavoroftheSellerthroughabankatimportport.

8.ThecontractismadeoutinChineseandEnglish,bothversionbeingequallyauthentic,byandbetween______astheSellerand______astheBuyerwherebytheSelleragreestosellandtheBuyeragreestobuytheundermentionedgoodssubjecttothefollowingtermsandconditions.

11.TheCustomerandNEXPRESSeachagreeandundertakethatduringtheTermandThereafteritwillkeepconfidentialandwillnotuseforitsownpurposesorwithoutthepriorwrittenconsentoftheotherpartydisclosetoanythirdpartyanypartorallinformationconcerningthetermsofthisAgreementunlesssuchinformationisinthepublicdomainotherthanasaresultofabreachofthisclause．

12.合同允许______%的溢短差额。

13.应支付的______（国名）货币数目应依官方汇率确定。

14.凡应执行本合同所发生的或与本合同有关的争议，双方应通过友好协商解决。

经协商不能解决的，应提交______（第三方名称）仲裁机构根据该仲裁组织的仲裁程序规则进行仲裁。

按照下述条款，卖方同意售出买方同意购进以下商品。

9.交货日期以提单所载日期为准，双方同意在合同约定的交货期的基础上，允许有前后六天的装运宽限期。

若一次订货分批装运，则每一批货为合同项下的单独买卖。

10.在合作期间，由于地震、台风、水灾、火灾、战争或其他不可预见并且对其发生和后果不能防止和避免的不可抗力事故，致使直接影响合同的履行或者不能按约定的条件履行时，遇有上述不可抗力的一方，应立即将事故情况电报通知对方，并应在15天内提供事故的详细情况及合同不能履行，或者部分不能履行，或者需要延期履行的理由的有效证明文件。

此项证明文件应由事故发生地区的有权证明的机构出具。

11.用户及NEXPRESS均同意并承诺，在服务期间及之后，在没有对方书面露面同意之情况下，将对本协议条款之所有内容保密，不将其用于自己之用途，亦不向第三方透漏任何或全部与本协议有关之内容。

除非此等咨询为公开情况，否则即被视为违反本条款。

16.IfanytermsandconditionsoftheAgreementarebreachedandthebreachisnotcorrectedbyanypartywithin______daysafterawrittennoticethereofisgivenbytheotherparty,thenon-breachingpartyshallhavetheoptiontoterminatethisAgreementbygivingwrittennoticethereoftothebreachingparty.

18.EachlotofequipmentandmaterialstobeshippedbytheSellershallbeF.O.B.deliveryat______port（place）.Eachlotisatoneportonly.ThetitleandriskoftheequipmentandmaterialsshallbetransferredfromtheSellertotheBuyerimmediatelyafterthesamehavepassedtheship'srailofthecarryingvesseldesignatedbytheBuyer.

19.Inaccordancewiththe“LawofthePeople’sRepublicofChinaonChinese-ForeignEquityJointVentures”andotherrelevantChineseLawsandregulations,ABCCompany（China）andXYZCompany（USA）,adheringtotheprincipleofequalityandmutualbenefitandthroughfriendlyconsultations,agreetojointlyinvestandsetupajointventureenterpriseinBeijing,thePeople’sRepublicofChina.ThePartiestothisContractherebysignedandconcludedthisContract.

20.ThisAgreement,whendulysignedbythePartiesconcerned,shallremaininforcefortwoyearstobeeffectiveasfromFebruary1,2009toJanuary31,2010.IfnowrittenobjectionisraisedbyeitherPartyonemonthbeforeitsexpiry,thisAgreementwillbeautomaticallyextendedforanotheryear.ShouldoneofthePartiesfailtocomplywiththetermsandconditionsofthisAgreement,theotherPartyisentitledtoterminatethisAgreement.
