为确保本合同的正确执行，自买卖双方在传真中草签本合同之日或第十七条款中的先决条件取消后起的三个银行工作日内，买方将购船款的10％作为定金支付到卖方所指定的xx银行（地址省略）的联合帐户内。
该定金将保留在上述银行的买卖双方的联名账户中，收到双方联名的书面指示后才会放款。
由此定金而产生的利息，应归入买方。
因保持和建立联合帐户而产生的任何银行费用则由买卖双方平均分担。

4.Inspections 验船

买方有权检查该船的船级记录，并在＿＿＿（时间）内宣布是否予以接受，
卖方应在＿＿＿＿（地方）为买方安排船舶检查。
买方保证检验不应给船舶造成不合理的延误。
如果买方造成了此种延误，则应补偿卖方因此遭受的损失。
在检验期间，船舶的轮机日志和甲板航海日志应提供给买方查阅。
在进行了漂浮检验之后如果船舶被接受，即卖方在买方完成检验后的72小时内收到书面或电传通知，本交易即为确定和无条件的，仅受本合同条款约束。
如果卖方在上述规定的时间内没有收到买方船舶的船级记录和接受船舶的通知，押金立即退还买方，该合同随即归于无效。
4a）和4b）二选一；

5. Notices,TimeandPlaceofDelivery 交船地点和时间

如果卖家在营运中已经谨慎处理仍然预见到,该船在解约之日仍然无法准备好交船,他们应该书面通知买家何时可以准备好交船,并提出一个新的解约日.买家在收到本通知后根据第十四条的规定在2个连续日历日之内有权力选择取消本合同或者接受新的日期作为解约日.如果买家在收到卖家的通知以后的2个连续日历日之内没有行使其选择权,或者接受了新的日期,卖家通知中所提的新的日期将被视作新的解约日，并用来替代六十一行所定的旧解约日。
如果在定立新解约日的情况下本合同依然存在，其他所有条款包括第五条的a）和c）将保持完全有效和不作任何变动。
取消与否将完全不会影响买家根据第十四条该船在原解约日未准备就绪的情况下所享有的权力。

6. Drydocking/DiversInspection 进船坞/水下摸底

ClassificationSocietyoftheVessel’sunderwaterpartsbelowthedeepestloadline,the

extentoftheinspectionbeinginaccordancewiththeClassificationSociety’srules.Ifthe

rudder,propeller,bottomorotherunderwaterpartsbelowthedeepestloadlinearefound

broken,damagedordefectivesoastoaffecttheVessel’sclass,suchdefectsshallbemade

goodattheSellers’expensetothesatisfactionoftheClassificationSocietywithout

在交船时，卖方应在交船港将船舶入干坞以接受船级社对船底和夏季载重线以下的水下部分的检验。
如果船舵、螺旋浆、船底或其它夏季载重线的以下的水下部分发现有断裂，损坏或缺陷以至影响船级社对其签发清洁的船级证书，则卖方应负担费用将此类断裂、损坏或修复至船级社认为满意并不会对这些水下部分加批注的状态。
