SpecialProvisions

1.ThiscontractismadepursuanttoorreferringtotheprovisionsinContractLawofthePRC,theRealPropertyLeaseOrdinanceofShenzhenSEZanditsDetailedRulesforImplementationandotherrelevantrulesandregulationsandformsapatternforpartiesagreedtoapply.

2.Thepartiesshallreadthiscontractthoroughlybeforesigningitandtheclausesofthiscontractmaybeaddedordeletedbythepartieshereto.

3.Beforesigningthiscontract,thelessorshallprovidethelesseethetitlecertificateofrealpropertyorothervaliddocumentswhichcancertifythelessor’sownershipoftherealpropertyandtheidentificationdocumentsofthelessor.Iftherealpropertyisauthorizedtobemanagedbyotherparty,theletterofauthorizationshallbesubmitted;iftherealpropertytobeleasedisownedjointlybyseveralparties,consentfromalltheownersandthecertificateofauthorizationshallbesubmitted.Thelesseeshallprovidetothelessortheidentificationdocumentsofthelessee.

4.Thepartiesshallenterintothecontractinaccordancewiththeprincipleoffreedom,justiceandgoodfaith.Neitherpartymaycompeltheotherpartyunderitswilling,andanythirdpartyshallnotinterfereillegally.

5.Theconclusionandperformanceofthecontractbythepartiesshallbeinaccordancewithlegalprovisionsandneitherpartyshallviolatetherelevantlegalprovisionsrelatingtoproceedingsorcommitillegalactions.

6.Thecontractshallbebindinguponthepartiesheretoupontheexecution.Thepartiesshallperformtheobligationshereinbasedontheagreementandmaynotalterorterminateunilaterallythecontractotherthantheeventthattheagreedorstatutoryconditionsoccur.

7.Theblankpartshereinshallbefilledinbythepartiesconcernedininkandbeconfirmedbytheparties’signaturesorstamps.Anychangeheretoshallbeconfirmedbytheparties’signatureorstamps.

8.Theblanks（informofunderlining）hereinshallbefilledinupontheagreementreachedbythepartiesconcerned.Theclauseshereofmarkedby口areforthepartiesconcernedtochoose.

9.Thepartiesconcernedcanchoose,supplement,fill-inormodifyanyprovisionsinthiscontractpattern.Anycontentshereinremainedunchangedandthecontentsfilledinbythepartiesconcerned（signedorstampedbythepartiesforconfirmation）willbedeemedasthecontentsofthecontractagreedbyandbetweenthepartiesheretoupontheexecution.

10.Anychoice,supplementation,addingormodificationtothiscontractinhandwrittenshallprevail.

11.Theexecutedcontractshallberegisteredwithandfiledbytherealpropertyleaseadministrationauthorityintime.

12.Theoriginalcopiesofthiscontractwillbesetbythepartiesheretowithreferencetopracticalsituation.Thecontentshereinshallbeensuredtobeidenticalthroughtheparties’carefulcheck.Eachpartyshallpossessatleastoneoriginalcopy.

13.Anymaterialmodification,waivertotheoriginalcontractorlossoftheoriginalcopy（ies）hereofshallbeprocessedbytheparty（ies）concernedtotheoriginalregistrationauthority.

Article1

PartyBshallobtainPartyA’swrittenconsentforanychangetotheagreedpurposeoftheProperty.ThepurposetobechangedshallalsobeappliedtothecompetentauthorityandcomplyingwiththeapprovedpurposeoftheProperty.

Article7

PartyAshalldeliverthePropertytoPartyBbefore____（day）____（month）_____（year）andshallproceedwiththerelevantdeliveryprocedure.

IfPartyAfailstodeliverthePropertytoPartyBbeforetheabove-givendate,PartyBshallbeentitledtorequireanextensionofthetermofthisContractaccordingly.Boththepartiesheretoshallconfirminwritingandapplytotheoriginalregistrationauthorityforrecordingsuchextension.

BoththepartiesheretoshallconfirmtheconditionandtheancillarypropertyofthePropertyanditsaccessoryfacilitiesandlistthemintheannexestothiscontractwhenthePropertyisdelivered.

Article10

Duringthetermofthelease,PartyAshallbeartheusechargeforthelandoccupiedbythePropertyandthetaxes,administrationfeeofthepremisesand________arisingfromleasingoftheProperty.PartyBshallbearthechargesforuseofwaterandelectricity,cleaning,premisesmanagementfeesand______arisingfromusingoftheProperty.

Article11

PartyAwarrantiesthatthedeliveredPropertyanditsaccessoryfacilitiescansatisfythepurposeofleasingthePropertyandthesafetyofthePropertycansatisfytherelevantlegalrequirements.

PartyBshallbeentitledtoclaimagainstPartyAforcompensatinganypersonalorpropertydamagesufferedinthePropertyduetoPartyA’sdefault.

Article12

PartyBshallusereasonablythePropertyanditsaccessoryfacilitiesandshallnotusethePropertyforillegalpurpose.PartyAshallnotinterferewithordisturbPartyB’snormalandreasonableuseoftheProperty.

Article13

PartyBshallnotifyPartyApromptlyandapplytheeffectivemeasurestopreventtheexpansionof,duringtheusingoftheProperty,anydamageormalfunctionofthePropertyoritsaccessoryfacilitieswhichmayaffectthesafetyornormaluseofthePropertyandnotduetothedefaultofPartyB.PartyAshallrepairorauthorizedirectlyPartyBtorepairthePropertywithin7daysafterreceivingthenoticefromPartyB.WherePartyBcannotnotifyPartyAorPartyAfailstorepairthePropertywithintheaboveagreedperioduponreceivingPartyB’snotice,PartyBhastherighttorepairthePropertyonbehalfofPartyAafterhavingthesituationfiledwithrelevantregistrationauthority.

Ineventofemergencywheretheimmediaterepairisnecessary,PartyBshallrepairthePropertyonbehalfofPartyAinadvanceandthennotifyPartyAintime.

PartyAshallbeartherepairexpensesincurredfromtheabovetwosituations（reasonableexpensesincurredbyPartyBforrepairingonbehalfofPartyAorforpreventingthedamagefromexpansionincluded）.PartyBshallbeartheexpensesincurredfromtheexpandeddamageduetoPartyB’sfailureinnotifyingpromptlyoradoptingtheeffectivemeasures.
